Mr. Ehsan Zargar has been the Chief Operating Officer and Executive Vice President of HRG Group, Inc. since January 2017 and its Corporate Secretary since February 2012 also its General Counsel since April 1, 2015. Mr. Zargar served as a Senior Vice President of HRG Group, Inc., until March 23, 2017. He served as Deputy General Counsel of Harbinger Group Inc. He served as a Vice President and Counsel of Harbinger Group Inc. since February 2012. Mr. Zargar served as a Vice President, Counsel and Assistant Corporate Secretary of HGI. Mr. Zargar joined HRG Group in June 2011 as a Member of the legal department and served in positions of increasing responsibility. Prior to HGI, Mr. Zargar worked in the New York office of Paul, Weiss, Rifkind, Wharton & Garrison LLP from November 2006 to June 2011, where he served as an Associate in the corporate group. At Paul, Weiss, he represented a variety of clients in a board range of capital markets and securities transactions and public and private mergers & acquisitions, as well as corporate governance and securities laws compliance matters. Mr. Zargar worked as an Associate at a major Canadian law firm focusing on general corporate matters. He has been a Director of Spectrum Brands Holdings, Inc. since August 31, 2017. Mr. Zargar received a law degree from Faculty of Law at University of Toronto and a B.A from the University of Toronto.

Mr. George C. Nicholson has been Senior Vice President and Chief Accounting Officer of Zap.Com Corporation since January 4, 2016. Mr. Nicholson has been Chief Financial Officer at HRG Group, Inc. since January 20, 2017 and has been its Chief Accounting Officer & Senior Vice President since November 19, 2015. Mr. Nicholson served as Acting Chief Financial Officer at HRG Group, Inc. from January 4, 2016 to January 20, 2017. Mr. Nicholson served as Vice President and Controller of Fidelity & Guaranty Life Insurance Company from August 2007 to May 2013. He served as Chief Accounting Officer of Capital Bank Corporation and Capital Bank from September 6, 2005 to July 30, 2007. From October 1999 to December 2002, Mr. Nicholson served as President and Chief Financial Officer of London Pacific Life and Annuity Company (London Pacific) in Raleigh, North Carolina, a publicly traded life insurance company specializing in fixed accumulation products aimed at the U.S. retirement-savings market. From September 1994 to October 1999, Mr. Nicholson served as London Pacifics Chief Financial Officer and Secretary. Since leaving London Pacific, he has spent time as a Merger and Acquisition consultant in Raleigh, North Carolina, advising clients on business development, strategic acquisitions, asset valuations and capital strategies and as a finance officer in the investment research and accounting division of Nationwide Insurance. Mr. Nicholson has been employed by HGI Asset Management since may 2013. Prior To That, Mr. Nicholson served as Vice President and Controller of Fgl Insurance from August 2007 to May 2013. He previously held executive positions at nationwide mutual insurance company and london pacific life & annuity company. Prior to his time at London Pacific, Mr. Nicholson is a certified public accountant, held various positions (including Senior Manager) at the accounting firm of Ernst & Young LLP from January 1985 to September 1994. He has been a Director of Zap.Com Corporation since January 4, 2016. He holds a Master of Business Administration degree from the University of Kentucky and a Bachelor of Business Administration degree from Eastern Kentucky University.
