Mr. Roger L. Hawley Co-Founded Zogenix, Inc. in August 2006 and served as its Chief Executive Officer from August 2006 to April 2015. Mr. Hawley served as Interim Chief Commercial Officer of Zogenix Inc. since August 1, 2014. Mr. Hawley served as an Executive Vice President of Commercial and Technical Operations at InterMune Inc. from July 10, 2003 to January 6, 2006. From January 2006 to August 2006, he served as a consultant to CG Pharma, Inc. From August 1987 to February 2001, he served in various management positions in corporate finance, sales and marketing and regional sales at GlaxoSmithKline Inc., (GSK). Mr. Hawley served much of his accomplished career at GlaxoSmithKline, where he spent 18 years in increasingly Senior Sales, Marketing and Financial Management positions. His last position at GSK was Vice President of Sales-CNS/GI Division. From 1976 to 1987, he held various financial management positions with Marathon Oil Company, including serving four years in London, England. While at Marathon, he was a Certified Treasury Manager and a Certified Public Accountant. From 2001 to 2002, he served as General Manager and Vice President of Sales and Marketing at Elan Pharmaceuticals, Inc., where he was responsible for Elan's Neurology and Primary Care Business Unit and directed the sales and marketing activities. He served as the Chief Commercial Officer of Prometheus Laboratories Inc. from October 2002 to July 2003. Mr. Hawley has extensive Sales and Marketing experience in the Pharmaceutical and Biotechnology Industries. Mr. Hawley is an experienced pharmaceutical executive and director with more than 25 years of industry experience. He has held senior management roles in both private start-up companies as well as small to mid-sized public companies. His senior level experience includes executive management, finance and accounting, sales and marketing. He has been the Chairman of the Board at Dar??? Bioscience, Inc. since May 28, 2015. He has been a Director of Zogenix, Inc. since August 2006. He served as a Director of Alios BioPharma, Inc. He served as a Director of Cypress Bioscience, Inc. from April 26, 2007 to December 2010 and Targeted Genetics from 2006 to 2010. He served as a Director of AmpliPhi Biosciences Corporation from August 16, 2005 to April 13, 2010. During his career, Mr. Hawley was a Member of the board of directors of two previously publicly-traded biopharmaceutical companies and has served in various executive positions involving commercial operations, partnership management, sales and corporate finance. Mr. Hawley holds a BS in Accounting from Eastern Illinois University.

Ms. Ann D. Rhoads has been a Consultant of Zogenix, Inc since January 16, 2017. Ms. Rhoads served as the Chief Financial Officer, Executive Vice President, Secretary and Treasurer at Zogenix, Inc. since March 2010 until January 16, 2017. Ms. Rhoads was responsible for Zogenix's financial strategy. She served as the Chief Financial Officer at Premier Healthcare Alliance, LP since 2000 until end of 2009 and also served as its Senior Vice President. She assumed management responsibilities for information technology and the ethics and compliance departments at Premier Purchasing Partners in financial management, strategic planning, business development, information technology, ethics and compliance. She served as Vice President of Sprout Capital IX, L.P. and Sprout Capital X, L.P. She served as Vice President, Strategic Initiatives at Premier, Inc. from August 1998 to 2000. Prior to joining Sprout, Ms. Rhoads served as a Management Consultant of Bain & Company Inc., where she concentrated on strategy and competitive analysis. She worked at Fresenius Kabi Pharmaceuticals Holding, Inc. She spent four years with Merrill Lynch in its private equity/LBO group, Merrill Lynch Capital Partners Inc. (now Stonington Partners) and in its Mergers & President, Strategic Initiatives at Premier Inc. and was responsible for overseeing strategic investments. She served as Chief Financial Officer and Senior Vice President of Premier, Inc. From 1993 to 1998, Ms. Rhoads served as Vice President of Sprout Group, a venture capital affiliate of Donaldson, Lufkin & Jenrette (now part of Credit Suisse First Boston). She has been a Director of IRIDEX Corporation since July 18, 2017. She has been an Independent Director of Novellus Systems Inc. since February 2003 and Globus Medical, Inc. since July 29, 2011. She has been a Director of Evoke Pharma, Inc, since June 2013. Ms. Rhoads received a Bachelor of Science degree in Business Administration in Finance rom the University of Arkansas and an MBA from the Harvard Business School.

Dr. Gail M. Farfel, Ph.D., has been the Chief Development Officer and Executive Vice President at Zogenix, Inc. since July 6, 2015. Dr. Farfel serves as an Advisor to Ariotech. With 20 years experience in Clinical Development, Regulatory Strategy and Medical Affairs, she advises companies on asset evaluation, clinical development program planning and regulatory strategy for new chemical entities, new indications and new formulations. Her expertise spans many indications in Psychiatry and Neurology including affective disorders, substance abuse, neurodegenerative diseases and pain. Her Key Accomplishments Include: led or participated in clinical development of 19 NCEs, including 11 commercialized products such as Zoloft, Zyrtec and Lyrica. She has expertise in depression and dysthymia, panic disorder, GAD, PTSD, sleep disorders, schizophrenia, substance abuse liability, multiple sclerosis, Alzheimer's disease and other dementias, epilepsy, Parkinson's disease, ADHD, neuropathic pain and other pain syndromes, TBI and SCI. She is experienced in global regulatory submissions including INDs, CTDs, NDAs, sNDAs, MAAs and 505(b)(2), with formulations for capsules, tablets, chewable tablets, sprinkles, oral solutions, IV and patch; multiple successful FDA Advisory Committee Meeting outcomes including two first indications: Zoloft for Posttraumatic Stress Disorder and Exelon for Parkinson's Disease Dementia; successful leader of collaborations between large multinational companies; between large pharma and biotech; and public-private partnerships. She has a proven track record in US, EU and Japanese regulatory approvals and new product/new indication launches during her career. She served as the Chief Clinical Development and Regulatory Officer at Marinus Pharmaceuticals, Inc. since December 2012. She served as Vice President and Therapeutic Area Head for Neuroscience Clinical Development and Medical Affairs of US Neuroscience at Novartis Pharmaceuticals. At Novartis, she oversaw a portfolio of products including Gilenya (fingolimod), Exelon and the Exelon Patch and the antidepressant agomelatine. Prior to Novartis, she held a variety of leadership positions in Clinical Development and Global Medical Affairs at Pfizer, Inc., where she directed programs through all stages of clinical development and regulatory submissions including development of the first product approved globally to treat Posttraumatic Stress Disorder. She serves as a Director of International Discovery Sourcing Consultants LLC. She serves on the Board of PrintedArt. She is a Member of the PhRMA Clinical Research Subcommittee. She is the author of over 50 scientific articles in the areas of neuropsychopharmacology and drug treatment. Dr. Farfel received the Ginsburg Prize for Dissertation Excellence. She trained as a Biochemist and Behavioral Pharmacologist, receiving a BA in Biochemistry from The University of Virginia and a PhD in Neuropsychopharmacology from The University of Chicago, where she trained as a Behavioral Scientist and Neurotoxicologist.
