Mr. Larry J. Miller has been the Chief Executive Officer of Codorus Valley BanCorp, Inc. since 1986 and has been its President since 1986. Mr. Miller served as the Chief Executive Officer of PeoplesBank, a subsidiary of Codorus Valley BanCorp. Inc. from 1988 to March 8, 2016 and its President from 1986 to March 8, 2016. He has been Executive Chairman of PeoplesBank, A Codorus Valley Company since March 8, 2016. Mr. Miller served as Vice Chairman of PeoplesBank since 2004 and has been its Director since 1981. Mr. Miller has been the Chairman of Codorus Valley BanCorp Inc. since August 9, 2015 and served as its Vice Chairman from 2004 to August 9, 2015 and its Director since 1986. He served as the Chairman of United Way of York County; the York County Economic Development Corporation; YorkCounts; and in other leadership capacities for various non-profit organizations. Mr. Miller attended York College of Pennsylvania, is a graduate from The Pennsylvania School of Banking at Bucknell University.

Mr. Matthew A. Clemens, SPHR has been Chief Administrative Officer of Peoplesbank, a Codorus Valley Company since March 2016 and serves as its Senior Vice President. Mr. Clemens served as Senior Vice President of Human Resources Division at Peoplesbank, A Codorus Valley Company until March 2016.

A. Dwight Utz serves as Executive Vice President and Chief Operating Officer for Codorus Valley Bancorp, Inc. Prior to joining PeoplesBank, a Codorus Valley Company, A. Dwight Utz served as Chairman of the Board and President of VantageSouth Bancorp and as President, CEO and Director of ECB Bancorp/East Carolina Bank. A. Dwight Utz is active on the board of directors of Central Penn College, the SpiriTrust Lutheran Foundation's board, the Large Community Bank Council of the Independent Community Bankers of America organization, and the Pastoral Council at St. Joseph's Church. A. Dwight Utz has been Member of Community Depository Institutions Advisory Council at FRB of Philadelphia since December 19, 2017. A. Dwight Utz has a degree in business administration from Central Penn College and is a graduate of the Stonier Graduate School of Banking at the University of Delaware.

Ms. Amy L. Doll serves as the Chief Lending Officer and Senior Vice President of Peoplesbank, A Codorus Valley Company at Codorus Valley Bancorp Inc.

Mr. Charles Thomas Field, CPA serves as Chief Financial Officer and Senior Vice President of PeoplesBank, a Codorus Valley Company, a wholly owned subsidiary of Codorus Valley Bancorp, Inc. since November 9, 2016. Mr. Field serves as Treasurer and Assistant Secretary of Codorus Valley Bancorp Inc. since November 9, 2016. He served as Senior Vice President and Chief Financial Officer of East River Bank, Inc. in Philadelphia from 2014 to November 2016. Mr. Field served as the Chief Financial Officer and Senior Vice President at The Westchester Bank Holding Corporation since 2008 until 2013. He served as Senior Vice President and Chief Financial Officer of Interchange Financial Services Corp. since February 2003 and also served as its Principal Accounting Officer. Mr. Field served as Chief Financial Officer and Senior Vice President of Interchange Bank, a subsidiary of Interchange Financial Services Corp. He served as Vice President of Finance and Treasurer of Viatel Inc. from 1999 to 2002 and as its Treasurer from 1998 to 1999. Mr. Field served as Corporate Controller of Horsehead Industries Inc. from 1995 to 1998. He served as Manager in financial institutions Audit Group for Deloitte & Touche, LLP from 1987 to 1995. From 1987 to 1995, Mr. Field is a member of the American Institute of Certified Public Accountants (AICPA). He is a graduate of Michigan State University with a B.A. in Financial Administration and earned his Certified Public Accountant (CPA) license in the state of Illinois.

Mr. Jeffrey R. Hines, also known as Jeff, has served as a Director of Codorus Valley Bancorp, Inc. and PeoplesBank, a Codorus Valley Company since 2011. Since 2008, Mr. Hines has served as President and Chief Executive Officer, as well as a Member of the Board of Directors, of York Water Company, Inc. Mr. Hines also serves leadership roles on numerous non-profit and trade organizations.
