Mr. Kevin E. Grant, CFA is the founder of CYS Investments, Inc. has been its Chairman of the Board, Chief Executive Officer and President since January 2006 and has been its Chief Investment officer since September 2011. In January 2005, Mr. Grant formed Sharpridge Capital Management, L.P. (Sharpridge), which served as a sub-advisor to CYS Investments, Inc., prior Manager through August 2011. Prior to forming Sharpridge, Mr. Grant was Vice President and Portfolio Manager at Fidelity Investments, where he had direct or indirect responsibility for management of a number of mutual funds??? fixed income assets, as well as separate accounts for Fidelity's institutional clients. Over the course of his career at Fidelity, Mr. Grant's mutual fund responsibilities included the Mortgage Securities Fund, Investment Grade Bond Fund, Total Bond Fund, the fixed income portion of Fidelity Puritan Fund and Strategic Income Fund. Prior to joining Fidelity in 1993, Mr. Grant was head of Mortgage Strategy for Morgan Stanley & Co. Incorporated. He began his investing career at Aetna Bond Investors in 1985. He earned a BA in Economics and an MBA from the University of Hartford. Mr. Grant is a Chartered Financial Analyst, a member of the CFA Institute and the Boston Security Analysts Society.

Mr. Thomas A. Rosenbloom has been an Executive Vice President of Business Development, Secretary and General Counsel of CYS Investments, Inc. (Cypress Sharpridge Investments, Inc.) since September 2011. Prior to joining Sharpridge in May 2007, Mr. Rosenbloom served as Partner in Foley & Lardner LLP's Transactional & Securities Practice Group, from February 2005 to May 2007 and a member of its Private Equity & Venture Capital, Emerging Technologies, Life Sciences and Nanotechnology Industry Teams. From 1996 through January 2005, he was a partner with Epstein, Becker & Green, P.C. During his tenure at Foley & Lardner and Epstein, Becker & Green, both national law firms, he represented middle-market public companies, entrepreneurs, founders, emerging businesses, start-up corporations and partnerships in diverse industries. Mr. Rosenbloom represents middle-market public companies, entrepreneurs, founders, emerging businesses and start-up corporations and partnerships in diverse industries. He manages and negotiates mergers and acquisitions, private equity and venture capital financings and private placements (including Tenant in Common Offerings). While in private practice, he was responsible for developing and managing all aspects of client relationships, including analyzing and evaluating financing, acquisition and divestiture opportunities, writing and developing business plans and providing other planning and financial advice, including with respect to intellectual property protection, labor and employment, immigration and real estate matters. He has experience managing and negotiating numerous public offerings. Mr. Rosenbloom is also well-versed in general corporate matters such as joint and strategic ventures; executive compensation arrangements and agreements; and license, distribution, employment and non-compete agreements. He seeks to provide counsel that goes substantially beyond identifying and handling narrow legal issues. He strives to understand the client's short and long term business objectives, propose alternative solutions for achieving those objectives and assist in carrying out all aspects of the client's business plan. He is a frequent speaker at various private equity, investing and entrepreneurship conferences and panels, including at Harvard Business School and Babson College on topics such as the State of the Venture Capital Industry, Negotiating Venture Capital and Angel Term Sheets and he has authored a case study for the HBS class Legal Aspects of Entrepreneurship. In March and April 2005, Mr. Rosenbloom judged the E-Idol Business Plan Competition at the annual HBS Entrepreneurship Conference and the HBS Business Plan Competition. In 2004, he was named a Massachusetts Super Lawyer, an honor received by only 5% of Massachusetts attorneys. Prior to Foley, he was a member of Epstein, Becker & Green, P.C. Before joining Epstein Becker & Green, he spent seven years with O'Connor, Broude & Aronson, a boutique law firm that served emerging businesses and high growth technology companies. Mr. Rosenbloom is admitted to practice in Massachusetts and New York. He is a member of the American Bar Association, the Massachusetts Bar Association and the New York State Bar Association. He received his J.D. from the Boston University School of Law in 1988 and his bachelor's degree from the University of Wisconsin in 1985. Mr. Rosenbloom's community activities include fundraising for Children's Hospital, Department of Urology and Masserves as chusetts Brain Tumor Society and coaching local CYO basketball.

Mr. Richard E. Cleary has been the Chief Operating Officer and Assistant Secretary of CYS Investments, Inc.(alternate name Cypress Sharpridge Investments, Inc.) since January 2006 and June 2007 respectively. Mr. Cleary serves as Vice President of Cypress Sharpridge Investments, Inc. He served as Chief Operating Officer, Vice President and Assistant Secretary of Cypress Sharpridge Advisors LLC. Prior to joining Cypress Sharpridge Investments, Inc. and Cypress Sharpridge Advisors LLC in January 2006, he served as Partner at Merathon Advisory, a strategic consulting firm from 2004 to 2006. From 2000 to 2004, he served as Director of Corporate and Business Development of OneSource Information Services, or OneSource. Prior to OneSource, Mr. Cleary's work experience includes building Thomson Financial's First Call research and quantitative services businesses in Asia and with Schooner Capital, a private equity firm. At Schooner Capital, he led investments in digital assets management, including portfolio company Iron Mountain's digital archive business. Mr. Cleary's other prior work experience was at Donaldson, Lufkin & Jenrette Securities and Xerox Corporation.

Mr. Jack DeCicco, CPA, has been the Chief Financial Officer and Treasurer of CYS Investments, Inc. since June 1, 2016. Mr. Decicco served as Chief Financial Officer of Annaly Commercial Real Estate Group, Inc. (formerly, Crexus Investment Corp.) since April 25, 2013. He was most recently appointed to serve as Chief Accounting Officer of Annaly effective December 2015. In addition, he served as the Chief Financial Officer and Secretary of Annaly's wholly-owned captive insurance company since its inception in January 2014. From March 2012 to April 2013, he served as the Chief Accounting Officer of CreXus and Chimera Investment Corporation. From September 2002 to March 2012, he served in various roles of increasing responsibility within Ernst & Young LLP's New York office Assurance practice. At Ernst & Young LLP, he was a Senior Manager where he served in a dual capacity role as both a financial statement auditor, serving publicly traded companies (primarily mortgage REITs) and private companies and as the technical accounting subject matter resident in Ernst & Young LLP's Global Real Estate Center. Mr. DeCicco is a Certified Public Accountant and holds a B.S. degree from The Pennsylvania State University.
