Mr. Thomas A. Rosenbloom has been an Executive Vice President of Business Development, Secretary and General Counsel of CYS Investments, Inc. (Cypress Sharpridge Investments, Inc.) since September 2011. Prior to joining Sharpridge in May 2007, Mr. Rosenbloom served as Partner in Foley & Lardner LLP's Transactional & Securities Practice Group, from February 2005 to May 2007 and a member of its Private Equity & Venture Capital, Emerging Technologies, Life Sciences and Nanotechnology Industry Teams. From 1996 through January 2005, he was a partner with Epstein, Becker & Green, P.C. During his tenure at Foley & Lardner and Epstein, Becker & Green, both national law firms, he represented middle-market public companies, entrepreneurs, founders, emerging businesses, start-up corporations and partnerships in diverse industries. Mr. Rosenbloom represents middle-market public companies, entrepreneurs, founders, emerging businesses and start-up corporations and partnerships in diverse industries. He manages and negotiates mergers and acquisitions, private equity and venture capital financings and private placements (including Tenant in Common Offerings). While in private practice, he was responsible for developing and managing all aspects of client relationships, including analyzing and evaluating financing, acquisition and divestiture opportunities, writing and developing business plans and providing other planning and financial advice, including with respect to intellectual property protection, labor and employment, immigration and real estate matters. He has experience managing and negotiating numerous public offerings. Mr. Rosenbloom is also well-versed in general corporate matters such as joint and strategic ventures; executive compensation arrangements and agreements; and license, distribution, employment and non-compete agreements. He seeks to provide counsel that goes substantially beyond identifying and handling narrow legal issues. He strives to understand the client's short and long term business objectives, propose alternative solutions for achieving those objectives and assist in carrying out all aspects of the client's business plan. He is a frequent speaker at various private equity, investing and entrepreneurship conferences and panels, including at Harvard Business School and Babson College on topics such as the State of the Venture Capital Industry, Negotiating Venture Capital and Angel Term Sheets and he has authored a case study for the HBS class Legal Aspects of Entrepreneurship. In March and April 2005, Mr. Rosenbloom judged the E-Idol Business Plan Competition at the annual HBS Entrepreneurship Conference and the HBS Business Plan Competition. In 2004, he was named a Massachusetts Super Lawyer, an honor received by only 5% of Massachusetts attorneys. Prior to Foley, he was a member of Epstein, Becker & Green, P.C. Before joining Epstein Becker & Green, he spent seven years with O'Connor, Broude & Aronson, a boutique law firm that served emerging businesses and high growth technology companies. Mr. Rosenbloom is admitted to practice in Massachusetts and New York. He is a member of the American Bar Association, the Massachusetts Bar Association and the New York State Bar Association. He received his J.D. from the Boston University School of Law in 1988 and his bachelor's degree from the University of Wisconsin in 1985. Mr. Rosenbloom's community activities include fundraising for Children's Hospital, Department of Urology and Masserves as chusetts Brain Tumor Society and coaching local CYO basketball.
