Mr. Mark A. Noyes has been the Chief Executive Officer and President of Consolidated Edison Solutions, Inc. since May 12, 2016. Mr. Noyes serves as the Chief Executive Officer and President of Consolidated Edison Development, Inc. (ConEdison Development) and Consolidated Edison Energy Massachusetts Inc. (ConEdison Energy) and served as its Vice President. He has been Chief Executive Officer and President of Clean Energy Corporations since December 2016. He served as the Chief Operating Officer and Vice President of Consolidated Edison Energy Massachusetts Inc. He served as Principal and Managing Partner for B4U Services. He served as the Chief Executive Officer and President of WebGen Systems, Inc. from January 2005 to July 2006. He served as WebGen's Chief Operating Officer. He joined WebGen after 15 years with Consolidated Edison Company. Before WebGen, Mr. Noyes spent over 15 years with Con Edison, gaining experience in all aspects of the power sector on both the regulated and non-regulated side. As Vice President of Asset Management and Domestic Acquisition of Con Edison Development, he directed all asset acquisition and management activities. Prior to 1999, he worked with Con Edison of New York, progressing through various positions with increasing responsibility in Substation and Transmission Operations, technical management at the Waterside Generating Station and Director of asset acquisition and management for Con Edison Energy. In addition, he was honored by Crain's New York Business as one of the 'Top 40 under 40,' an honor bestowed upon those who are recognized as 'rising stars' in their respective industries. He is a Certified Energy Manager and Certified Sustainable Development Professional with the Association of Energy Engineers. Mr. Noyes earned his MBA from Rutgers University and holds Bachelor's Degree in Electrical Engineering from Worcester Polytechnic Institute.

Mr. Robert N. Hoglund has been the Chief Financial Officer and Senior Vice President of Consolidated Edison Inc. and its subsidiary Consolidated Edison Company of New York since September 1, 2005. Mr. Hoglund served as the Chief Financial Officer and Controller, Orange and Rockland Utilities, Inc., a subsidiary of Consolidated Edison Inc. from June 2006 to October 2009. He served as Senior Vice President of Finance of Con Edison from June 2004 to September 1, 2005. From April 1997 to March 2004, he was employed at Citigroup Global Markets Inc., where he served as Managing Director in the Mergers & Acquisitions Group. He managed the Citigroup's investment banking coverage of North American utilities. Previously, he served at Merrill Lynch, the formerly Barr Devlin (now part of Soci???t??? G???n???rale), and Morgan Stanley. Mr. Hoglund holds a Bachelor's degree in English with high honors, a Master's degree in Business Administration and a Juris Doctor each from the University of Virginia.

Ms. Elizabeth D. Moore, Esq. has been Senior Vice President of Consolidated Edison Inc since May 2013 and has been its General Counsel since May 2009. Ms. Moore serves as a General Counsel of Cecony at Consolidated Edison Inc. since May 2009. Ms. Moore was a Partner of Nixon Peabody LLP from January 1995 to April 2009. She serves as a Trustee of Rochester Institute of Technology. She serves as a Trustee Emeritus of Cornell University.

Mr. Robert Muccilo has served as Chief Accounting Officer, Vice President and Controller of Consolidated Edison, Inc. and Consolidated Edison Company of New York, Inc. since July 1, 2009. Mr. Muccilo has also served as Chief Financial Officer and Controller of Orange and Rockland Utilities, Inc. since November 2009. He served as Assistant Controller of Consolidated Edison Company of New York, Inc. (CECONY) from April 2008 to June 2009 and General Manager ??? Central Field Services of CECONY from August 2006 to March 2008.

Mr. James J. Dixon, also known as Jim, P.E. has been the Chief Legal Officer of Consolidated Edison Development, Inc. since July 2011. Mr. Dixon served as a Vice President of Energy Services for Consolidated Edison Solutions, Inc. since December 2006. He joined Consolidated Edison Solutions, Inc. in January 2004 as Vice President and General Counsel. He served positions of increasing responsibility at the Consolidated Edison Company of New York (Con Edison) as an Electrical Engineer in its construction, operations and engineering design organizations. Mr. Dixon is a seasoned executive with more than 20 years of varied energy industry experience, is responsible for developing and delivering energy-based performance contracts and demand-side energy solutions for government, institutional, commercial and industrial clients. He was an attorney in Con Edison's Law Department Nuclear Regulatory and Commercial Litigation Services sections, eventually attaining the position of Assistant Corporate Secretary for CECONY since August 2002. During his time in the Law Department, he served as Consolidated Edison Solutions, Inc' first dedicated legal counsel from 1998 to 2002. He also provides legal counsel and support to two of Consolidated Edison, Inc.'s other competitive energy businesses: Con Edison Energy and Con Edison Development. Mr. Dixon is a registered professional engineer in New York State and retired with the rank of major from the U.S. Army Reserve. In the Reserve, he commanded a Combat Heavy Engineer Company and served as Executive Officer for an Engineer Battalion. He is admitted to practice law in New York, the District of Columbia and several federal courts. Mr. Dixon is a Member of the New York State Bar Association. He serves as Vice Chairman of the National Association of Energy Services Companies (NAESCO). He is an honors graduate of both the basic and advanced officer courses at the United States Army Engineer School. Mr. Dixon received a Bachelor's degree in Electrical Engineering from Manhattan College and a law degree (J.D.) from New York Law School.

Mr. Joseph P. Oates has been the Chief Executive Officer and President of Con Edison Transmission since September 2016 and January 2016 Respectively. Mr. Oates served as the Senior Vice President of Business Shared Services at Consolidated Edison Co. of New York Inc. since September 2012 until August 2015. Mr. Oates served as Vice President and Treasurer of Consolidated Edison Inc., and its subsidiary Consolidated Edison Co. of New York Inc. from April 2004 to May 2008. Mr. Oates was responsible for Con Edison's financial services, financial planning, risk management and cash forecasting and other treasury-related functions. He also served as the Vice President of the Bronx and Westchester division of Con Edison of New York from November 2003 to January 2004 and where he was responsible for the overall operation of the electric distribution system in the Bronx and Westchester County. He served as Vice President and Treasurer of Con Edison Inc. for Consolidated Edison Inc. since January 2004. Mr. Oates joined Con Edison Inc. in 1987 from Central Hudson Gas & Electric and has served as a director in Central Operations of Con Edison of New York from February 2001 to July 2001 and Project Manager - Corporate Planning of Con Edison of New York from April 1999 to February 2001. He served as Vice President of Energy Management of Consolidated Edison Inc., from July 2001 to November 2003 and was responsible for forecasting demand and procurement of electricity and natural gas for Con Edison's regulated utility companies. Mr. Oates holds an MBA from Fordham University and Bachelor's and Master's degrees in Mechanical Engineering from Manhattan College.
