Ms. Beth E. Mooney has been the Chairman and Chief Executive Officer of KeyCorp. since May 1, 2011 and serves as its President. Ms. Mooney serves as the Chief Executive Officer of KeyBank National Association. She served as the Chief Operating Officer at KeyCorp from November 2010 to May 1, 2011 and also served as its Vice Chairman since April 2006. She served as Head of Key Community Banking of KeyCorp since April 2006 and leads its Business Banking, Wealth Management, Private Banking, Key Investment Services and KeyBank Mortgage. She served as Senior Executive Vice President of Regions Financial Corporation and its subsidiary, Amsouth Bank since June 2000. She joined KeyCorp in April 2006. She has over 30 years of experience in retail banking, commercial lending and real estate financing. She served as the Chief Financial Officer and Head of finance at AmSouth Bancorporation and its subsidiary Amsouth bank from February 2004 to April 4, 2006. She served as a Member of Management Board of Regions Financial Corporation. She served as Head of Finance and Credit Group of AmSouth Bank since February 2004. She served as Group Head of Tennessee and North Louisiana Banking Group from June 2000 to February 2004 of AmSouth and AmSouth Bank. At Bank One, she served as Regional President in Akron and Dayton and served as President from June 1999 to June 2000 of Bank One Ohio, NA and Chief Operating Officer from June 1998 to June 1999 of DPL Inc., electric public utility. She also completed other line assignments of increasing responsibility at Bank One Corporation, CitiCorp. Real Estate Inc., Hall Financial Group and Republic Bank of Texas/First Republic. Ms. Mooney has been a Director of KeyCorp. since November 18, 2010. She serves as Board Chairman of Neighborhood Progress Inc. She serves as Vice Chairman of Keybank National Association. She has been Independent Director of AT&T Inc. since September 2013 and Greater Cleveland Partnership since April 2014. She serves as a Trustee on the Boards of the Musical Arts Association, Cleveland Clinic Foundation, Village Capital Corporation and a Member of The Financial Services Roundtable. While working in Ohio, Ms. Mooney served on the Boards of numerous civic and community organizations, including the Ohio Foundation of Independent Colleges, Ballet Met and the Miami Valley Economic Development Coalition, among others. She served as an Executive Director of KeyCorp from 2010 to 2011. She was similarly involved in community and civic work in Nashville and Birmingham. In 2006, USBanker magazine listed him as fifth among the nation's top ten banking Chief Financial Officers. She received the YWCA Women of Achievement Award in 2008 and was recognized in USBanker's The 25 Most Powerful Women in Banking editions in 2005, 2006, 2007 and 2008. She was selected as one of the 2007-2008 Distinguished Alumni recipients from the Cox School of Business at Southern Methodist University. Ms. Mooney received her B.A. in history from the University of Texas in 1977 and received her Master of Business Administration Degree from Southern Methodist University in 1983.

Mr. Christopher Marrott Gorman, also known as Chris, has been Vice Chairman and President of Banking at KeyCorp since June 6, 2017. Mr. Gorman serves as the Chief Executive Officer of Keybank National Association. Mr. Gorman served as the President of KeyCorp. Mr. Gorman has been President of Key Corporate Bank since 2010. He served as the President of Key Corporate Bank at KeyCorp. since December 1, 2010. He served as President of KeyBanc Capital Markets at KeyCorp from 2003 to 2010. He served as Executive Vice President of Gradison Mcdonald Asset Management. He served as Executive Vice President of KeyBanc Capital Markets Institutional Banking Group. He served as an Executive Vice President of Institutional Banking of KeyCorp since 2002 until 2010. He served as Senior executive Vice President of KeyCorp from March 11, 2010 to December 01, 2010. He served as Head of National Banking Business at KeyCorp from March 11, 2010 to December 01, 2010. Previously, he served as Executive Vice President and Head of Corporate Banking, which was comprised of KeyCorp's Middle Market and Large Corporate business units. Mr. Gorman served as Senior Managing Director and Deputy Director of Investment Banking for McDonald Investments Inc. He joined Key in 1991 from Bankers Trust Company, where he served in the Corporate Finance Department. He has 27 years experience in corporate and investment banking. He serves as the Chairman and Chief Executive Officer of Keybank National Association. He serves as the Chairman of the Board at Keybank National Association. He served as Vice Chairman of Keybank National Association since 2010. He serves as Director of Gradison Mcdonald Asset Management. He serves on Miami University's Business Advisory Council. He is actively involved in various charities and not-for-profit organizations, including serving as past Chairman of the KeyCorp United Way Campaign for 2003; Board Member, Business Volunteers Unlimited; The Cleveland Commission on Economic Partnerships and Inclusion; Cleveland Zoological Society; Firestone Country Club; Hathaway Brown School and MWV Pinnacle Capital Fund, L.P. He serves as the President of Key Foundation Board of Trustees. Mr. Gorman holds a Bachelor's Degree in Finance from Miami University in 1983.

Mr. Paul N. Harris has been General Counsel of KeyCorp. since 2003 and as its Secretary since October 2003. Mr. Harris served as an Executive Vice President at KeyCorp. He is responsible for KeyCorp.'s Law Group, which oversees the legal affairs of KeyCorp, its affiliates and major lines of business and support groups. He manages the internal legal staff as well as the services of outside counsel. He joined KeyCorp in February 2003 after serving as partner-in- charge of the Cleveland office of Thompson Hine LLP from 2000 to 2003. Mr. Harris joined Thompson Hine in 1983 as an associate corporate and securities practice area and left Thompson Hine in 1988. He served as Assistant Secretary of Revco D.S., Inc. (CVS Revco D.S., Inc.) since July 1993. From prior to May 1989 to July 1993, Mr. Harris served as Senior Counsel for Revco D.S., Inc. He rejoined Thompson Hine in 1997. He is a Member of the American Society of Corporate Secretaries and the Cleveland Bar Association. Active in the Cleveland community, Mr. Harris is a trustee and immediate past president of the board of trustees of the Friends of the Cleveland School of the Arts and is a trustee of Hawken School, The Cuyahoga Community College Foundation and The Children's Museum of Cleveland. Mr. Harris serves as a member of the Cleveland-Marshall College of Law Visiting Committee. Mr. Harris received a Bachelor of Arts Degree from the University of Chicago in 1980 and his Law Degree from Stanford Law School in 1983.

Mr. Edward J. Burke, also known as EJ, serves as Co-President of Commercial and Private Banking for Key Community Bank at KeyCorp. since April 2014. Mr. Burke served as an Executive Officer of KeyCorp since May 2014. He served as an Executive Vice President of KeyCorp. He served as Co-President of Commercial & Private Banking - Key Community Bank since April 2014. Mr. Burke served as Group Head of Real Estate of KeyCorp. since August 2005 and served as its Group Head of Corporate Banking Services of Key National Banking. Mr. Burke is responsible for KeyBank Real Estate Capital, the third-largest commercial Real Estate Lender in US. He served as Head of KeyBank Real Estate Capital markets for KeyCorp since August 2005, where he was responsible for all off balance sheet capital markets activities, including mezzanine, equity, commercial mortgage-backed securities (CMBS), Agency and Life Company products. Mr. Bruke formerly led Key Corporate and Investment Bank's commercial mortgage lending area. He also served as Managing Director of Key's Commercial Mortgage Division. Prior to KeyBank, Mr. Burke served as President and Founding Member of Kansas City-based National Realty Funding, LC., that was acquired by KeyCorp in 2000. He has been Vice Chairman of Mortgage Bankers Association since 2011 and serves as its Director. He serves on the Mortgage Banker's Association Commercial Real Estate/Multifamily Board of Governors. Mr. Burke has a Bachelor of Science degree from Boston College and an MBA from Oklahoma City University.

Mr. Andrew J. Paine, III, also known as Randy has been the President of KeyBanc Capital Markets Inc. since August 2013. Mr. Paine has been Co-Head of Key Corporate Bank and Executive Vice President of KeyCorp. since August 18, 2016. He serves as Executive Vice President of KeyBank NA. Mr. Paine served as the Head of Corporate and Investment Banking businesses at KeyBanc Capital Markets Inc. since 2010. Mr. Paine served as Managing Director of KeyBanc Capital Markets Inc. Mr. Paine joined the Investment Banking Department of McDonald Investments in 1993. As a Managing Director and Manager of the Industrial Investment Banking Practice, Mr. Paine works with industrial clients on a broad array of assignments, including mergers and acquisitions advisory, public equity offerings and public and private placements of debt. Mr. Paine has completed advisory and capital raising transactions involving public and private companies across numerous industries. Mr. Paine's transaction experience includes assisting Crossmann Communities, Inc., a regional homebuilder, Johnson Oil Company (dba Bigfoot Food Stores), Kite Development/Eli Lilly & Company, Anthem, Inc.; Marsh Supermarkets, Inc., Adorn, Inc., Elkhart; Budget Group Inc. with a secondary equity offering, the proceeds of which were used to purchase Budget Rent-A-Car Corporation from Ford Motor Company and two subsequent public equity offerings; Miller Pipeline Corporation and a subsidiary of NiSource, Inc. Mr. Paine worked for the Special Services Division of Arthur Andersen & Company in Chicago, Illinois. Mr. Paine graduated cum laude from DePauw University with a BA in Economics.

Mr. Joe Calabrese, also known as Jim, has been National Head of Investments for Key Private Bank at KeyCorp. since May 16, 2016. Mr. Calabrese is responsible for the development and execution of Key's private client and institutional investment strategy, which includes a full range of investment management services for affluent individuals, families, business owners and institutions. Mr. Calabrese has extensive experience in providing integrated advisory services across all facets of wealth, including investments; trusts and estates; tax planning; philanthropy; family education; capital advisory; risk management and insurance advisory; and financial reporting and expense management. He has an exceptional record of industry leadership and provided clients with first-class service and results. He specializes in wealth transfer issues. He served as the Chief Executive Officer of Geller Family Office Services LLC since September 16, 2013 and served as its President. He served as the Chief Executive Officer and President of CTC myCFO, LLC (alternate name, Harris myCFO, Inc.), where he built significant brand presence, forged a business culture that attracted top talent and assembled client-focused teams dedicated to the advocacy of client interests in all wealth matters. Mr. Calabrese served as an Executive Vice President and Head of Private Wealth Group of Harris Private Bank at BMO Harris Bank National Association (alternate name, Harris National Association). Mr. Calabrese was responsible for the strategic direction, growth and delivery of Harris Private Bank's investment advisory, fiduciary and private banking solutions for individuals and families of substantial wealth. Mr. Calabrese joined Harris Private Bank in 2002 from its Canadian counterpart, BMO Harris Private Banking. Mr. Calabrese serves as a Member of Board of Expert at Exchange Networks, LLC. He served as a Director of Junior Achievement and served on the Board of Trustees for the Goodman Theatre. He has been a Chartered Accountant since 1984. Mr. Calabrese graduated from McGill University, Montreal, with a joint honors Degree in Economics and Finance.

Mr. Peter D. Hancock has been the Chief Executive Officer and President of AIG Property Casualty Inc. since March 2011. Mr. Hancock serves as the Chief Executive Officer at AIG and Chartis. He served as the President and Chief Executive Officer of American International Group, Inc. from September 1, 2014 to May 14, 2017. He served as an Executive Vice President at American International Group, Inc. He served as an Executive Vice President of General Insurance at American International Group, Inc. Mr. Hancock served as an Executive Vice President of Finance, Risk and Investments at AIG Financial Products Corp., and American International Group, Inc., since February 2010. He oversaw finance, risk, audit, investments, strategic planning and AIG Financial Products Corp. He co-founded Integrated Finance Limited (IFL) in 2002 and served as its President. He was Chief Executive Officer of Chartis at American International Group, Inc since March 2011. He was Executive Vice President of Finance Risk and Investments at American International Group, Inc since February 2010. He began his career in 1980 at JP Morgan (JPM). Mr. Hancock joined Key in December 2008. During his 20 years with JPM, he was responsible for founding its Global Derivatives Group in 1991, managing its Fixed Income and Credit businesses since 1995 and 1997, respectively and finally served as its Chief Financial Officer and Chief Risk Officer from January 1999 to September 2000. He served as the Head of Key National Banking at KeyCorp., from December 1, 2008 to February 6, 2010 and its Member of Executive Council until February 6, 2010. Mr. Hancock served as Managing Director of J.P. Morgan & Co. Inc. from February 1999 to June 1999, of J.P. Morgan Securities Inc., from April 1995 to June 1996 and Morgan Guaranty Trust Company of New York from January 1990 to April 1995. He served as the Chief Financial Officer of J.P. Morgan & Co. Inc. and Morgan Guaranty Trust Company of New York since June 1999. He has spent his entire career in financial services, including 20 years at J.P. Morgan. He served as Managing Director of Trinsum. Mr. Hancock served nearly 30 years in the financial services business and his experience includes a broad range of business building and team management, risk management, capital markets and finance positions. Mr. Hancock served as Vice Chairman at KeyCorp from December 2008 to February 6, 2010 and was responsible for Key National Banking. He served as Vice Chairman of the Board of Directors of J.P. Morgan Securities Inc., from June 1996 to April 1999. He serves as a Director of Integrated Finance Limited. He served as a Director of American International Group, Inc. from September 1. 2014 to May 14, 2017. He served as a member of the Board of Directors of J.P. Morgan Securities Inc., from May 1995 to April 1999. He served as Member Executive Council at KeyCorp until February 06, 2010. Mr. Hancock earned his Bachelor of Arts degree in Politics, Philosophy and Economics from Oxford University in 1980.

Mr. Sterling Kozlowski serves as President of Maine District, Keybank at KeyCorp. Mr. Kozlowski served as President of the Keybank's Buffalo region since 2006 and has been in the area for more than a decade. He oversee a statewide network of 62 branches and 100 ATMs in 15 of the state's 16 counties, stretching from the northern border with Canada to the upscale beach resort areas just north of Boston. He came to Buffalo 11 years ago. He served as Senior Vice President for National Small-business Banking at HSBC, before moving over to head Key's local operations. Mr. Kozlowski spent nearly 23 years with HSBC, working in the Rochester and Albany areas but also in New York City and Westchester County.

Mr. Adam D. Warner has been President at Key Equipment Finance Limited since July 2001. Mr. Warner is the President of Key Equipment Finance at GEA Food Solutions B.V. Mr. Warner served as a Member of Executive Council at KeyCorp. He serves as the President and Chief Operating Officer of Commercial Leasing Services of Key National Finance. He served as the President and Chief Operating Officer of Commercial Leasing Services of Key Equipment Finance, Inc., since October 2006. Mr. Warner joined Key Equipment Finance as President and Chief Operating Officer of express leasing services in August 2001. He served as Senior Vice President of Sales and Marketing of Mellon Leasing Corporation, where he worked since 1988 and served as its Vice President and Chief Operating Officer. He worked with McDonnell Douglas Finance Corp., where he served as Operations Manager from 1985 to 1988. Mr. Warner serves as a Director of Equipment Leasing and Finance Association.

Mr. Bruce D. Murphy has been the President of Community Development Banking of KeyCorp at Keybank National Association since July 1990, including Community Development Lending, Residential Mortgage Lending, the Minority/Women's Business Enterprise Program and Regulatory Compliance. Mr. Murphy serves as an Executive Vice President of Key Bank National Association since 1990. Mr. Murphy leads Keycorp's construction lending for affordable housing, commercial loans for small business and residential mortgage lending in low-to-moderate income markets. He also leads the making of equity investments in affordable housing and tax credit projects. Mr. Murphy is responsible for the Minority/Women's Business owners supplier diversity program. In 1990, he joined Human Resources for AmeriTrust, which later merged into Society Corp., Key's predecessor. Prior to joining Cleveland, he spent 12 years in a wide range of both planning and operations functions in Retail and Human Resources at Mellon National Bank in Pittsburgh. He served as a Director of Center for Financial Services Innovation, Inc. He is a member of the Community Reinvestment Committee of the Consumer Bankers Association to Cuyahoga Community College Board of Trustees. He also serves on the national board for Social Compact, Inc., and a member of the Bankers Collaborative of the National Community Reinvestment Coalition, Center for Financial Services Innovation Inc., and Bank Administration Institute. He is a member of Leadership Cleveland; Board President of the United Black Fund; Past Chairman of the Board of Directors of Recovery Resources and A.M. McGregor. In addition, he is a booster for the Strongsville Athletic Booster Club and has coached youth basketball, soccer and football in Strongsville. Mr. Murphy earned a bachelor of arts degree in communications and a masters degree in public management from the University of Pittsburgh. He has also studied at the ABA Graduate School of Human Resources and the University of Michigan's Human Resources Executive Education Program.
