Mr. Jeffrey S. Edell, also known as Jeff, has been the Chief Financial Officer of Cinedigm Corp (Formerly known as Cinedigm Digital Cinema Corp) since June 9, 2014. Mr. Edell served as the Chief Executive Officer and President at Soundelux Entertainment Group, Inc from 1995 to 2000. He was Chief Executive Officer of Edell Ventures, which he founded in 2009. Prior to that, he was Chief Executive Officer of Inferno Entertainment. Mr. Edell served as the President, Chief Operating Officer and Finance Director of Cookie Jar Entertainment Holdings (USA), Inc (DIC Entertainment) since June 2006. At Cookie Jar Entertainment Holdings (USA), Inc, he helped successfully integrate the largest independent licensing business in Pan-Europe in Copyright Promotions Limited (CPL), and founded and launched Kidsco, an independent Kids Cable Network, with partners Sparrowhawk Media (NBC/Universal) and Nelvana (Corus). Mr. Edell also spearheaded the design, development and launch of the DIC on-line cartoon and gaming network. His efforts culminated in the sale of DIC to Cinar parent, Cookie Jar Entertainment in late 2008. While at Intermix he helped to stabilize a delisted NASDAQ company, hire its new Chief Executive Officer , reconstruct its Board of Directors, raise appropriate capital and obtain a relisting on the AMEX. He was also instrumental in the corporate transaction for the launch of MySpace. As Chairman he oversaw the Board and interacted with Intermix's major shareholders. Intermix was sold to NewsCorp in 2006 for approximately $700mil. He spearheaded the growth of a small post production entity into a multi-national entrainment powerhouse with businesses spanning post production services, digital distribution to theme park and theatre design and production. His tenure culminated in a sale of a portion of the business to John Malone's Liberty Media Corporation in 2000 for total consideration approximating $128mil. He then oversaw the initial integration efforts of the Sound/Music post production services branches of Todd-A-O, Four Media and Soundelux into Liberty subsidiary, Ascent Media/Discovery Communications formerly Liberty Livewire, with over $500mil in revenues. Mr. Edell managed Cookie's operating units worldwide, including consumer products, television and home entertainment. He has leveraged his financial, operational and management experience across several industries throughout his extensive business career while focusing on the New Media/Technology and TV and Filmed Entertainment areas, more specifically in: content creation and distribution, merchandising and licensing, entertainment services, advertising, cable, online social networking communities, software and the kids' space. He has worked extensively throughout the US and abroad and in both the public and private sectors. Mr. Edell has successfully completed mergers and exit deals on behalf of a number of private and institutional investors. During the past year, Mr. Edell has been providing consulting services to a variety of entities spanning a multitude of markets including: Film production, film finance and distribution, new media, mobile, e-learning and edutainment. He was the first Chairman/Chief Executive Officer of elabor.com. He has also held senior level positions within the Transamerica Group (public:NYSE) and KPMG, where he specialized in the entertainment area and obtained his Certified Public Accountant designation. Additionally, in 1994, he assisted in taking the $120mil revenue family vitamin business, public and served on its board until it was successfully sold in 2003 to Inverness Medical (public:Nasdaq) Prior to that, Mr. Edell served as a Co-Chief Executive Officer and President of Vertical Branding Inc. from November 29, 2005 to June 13, 2006. He served as the President and Co-Chief Executive Officer of Mfc Development Corp. since November 29, 2005. Mr. Edell served as the President and Chief Executive Officer of Soundelux Entertainment Group Inc. from 1995 to 2000. He founded eLabor Inc. and served as its Chief Executive Officer. From 1995 to 1999, he served as President and Executive Producer of Hastings & Edell Productions Inc. From 1992 to 1995, he was a Partner at DF & Co. He founded elabor.com. He served as the Non Executive Chairman of Mfc Development Corp. since June 2006. He served as the Chairman of Intermix Media Inc. (formerly, eUniverse Inc) from November 14, 2003 to December 7, 2004. He served as the Non Executive Chairman of Vertical Branding, Inc. from June 13, 2006 to 2007. He serves as Director of Milamber Limited. He served as a Director of Whoop, Inc. since March 2009. Mr. Edell served as an Executive Director of Cookie Jar Entertainment Holdings (USA), Inc. He served as a Director of Soundelux Entertainment Group Inc. From 2000 to 2002, he served as a Director of International Vitamin Corporation (formerly known as IVC Industries, Inc.). He served as a Director of Mfc Development corp since November 29, 2005. He served as a Director of Vertical Branding, Inc. from November 29, 2005 to December 20, 2007. He served as Director of MySpace. He served as a Director of Intermix Media Inc. from October 31, 2003 to December 7, 2004. He served as a Director of eLabor Inc. In 2000, Mr. Edell was named 'Entertainment Entrepreneur of the Year,' by NASDAQ and Ernst and Young and is a member of the Academy of Television Arts & Sciences, the Academy of Motion Picture Arts and Sciences and the Young President' Organization. He is a frequent speaker at UCLA Anderson Graduate School of Business, USC Marshall School of Business and Pepperdine Graduate School of Business. He was a member of the Young President Organization (YPO). He is also Entrepreneur in Residence and Professor at Florida State University's College of Motion picture Arts. Prior to his time at UVA, he attended Lehigh University where he studied accounting and business. Mr. Edell was also a member of the 2005 US Maccabi Basketball team to Israel and the 2006 US Maccabi Soccer team and was the starting goal-keeper at the games in Sydney, Australia where his USA team lost in the Bronze medal round. Mr. Edell holds a Bachelor of Science in Commerce from the McIntire School of Commerce at the University of Virginia with an emphasis on Accounting, Taxation and Law and holds a Certified Public Accountant designation while at KPMG. He attended Lehigh University where he studied Accounting and Business.

Mr. Gary S. Loffredo has been the General Counsel and Secretary of Cinedigm Corp. (formerly known as Cinedigm Digital Cinema Corp.) since September 2000 and has been its President of Digital Cinema Services and Executive Vice President of Business Affairs since October 2011. Mr. Loffredo serves as a Secretary of AccessDM and Hollywood Software. He served as an Interim Co-Chief Executive Officer at Cinedigm Digital Cinema Corp. from June 2010 to December 2010 and also served as its Senior Vice President of Business Affairs. From March 1999 to August 2000, he served as Vice President, General Counsel and Secretary of Cablevision Cinemas LLC. Mr. Loffredo served as an Attorney of the law firm of Kelley Drye & Warren LLP from September 1992 to February 1999. He served as a Director of Cinedigm Corp. from September 2000 to October 15, 2015.

Mr. William S. Sondheim, also known as Bill, has been the President of Cinedigm Entertainment Corp at Cinedigm Corp. since October 2013. Mr. Sondheim serves as President of Gaiam Americas, Inc. He served as the President of Gaiam Inc. since November 2010. Mr. Sondheim served as an Executive Vice President of DualDisc Worldwide, a division of Sony BMG Music Entertainment. Mr. Sondheim has extensive work experience in the music and entertainment field with positions in Goodtimes Entertainment, Polygram Video USA, Orion Home Video and Columbia Pictures Home Video. He joined Gaiam in 2007 and served as its President of Entertainment and Worldwide Distribution since April 2007. He served as President of Good Times Entertainment, Ltd. and PolyGram Video at PolyGram Filmed Entertainment. Mr. Sondheim serves as chairperson for the music industry trade association working group whose members include the RIAA, NARM, CES and Universal Music Group. He served as an Independent Director of Trudy Corp. from June 27, 2007 to June 23, 2010. Mr. Sondheim is a graduate of Kenyon College.

Mr. Ronald L. Chez, also known as Ron, has been the President and Sole Owner of Ronald L. Chez, Inc. since 1971. Mr. Chez has been a Strategic Advisor of Cinedigm Corp. since April 2017 and also since July 31, 2015. Mr. Chez has been Co-Chairman of Merriman Holdings, Inc. since September 2010. He serves as the Non-Executive Chairman of EpiWorks, Inc. and a Managing Member of Nalu LLC. He served as a Lead Director of Cinedigm Corp. since July 15, 2016 until April 2017. He has been Director at Merriman Holdings, Inc. since September 8, 2009. He was a Consultant and Board Member for Motorola Process Control and Motorola Teleprograms and as a Board Member and Investor of Preview Media (now Travelocity). He served on the Advisory Boards of JP Morgan Chase and Hambrecht & Quist Access Technology Fund, as an Advisor to Motorola's New Ventures Program and on the board and investment committee of Abbott Capital. He serves as the Chairman of the Chez Family Foundation, which funds college scholarships for inner city students and activities that are supportive of military veterans, including the Center for Wounded Veterans and Higher Education, at the University of Illinois. He is a member of the Phi Beta Kappa Society. He graduated from the University of Illinois (with special honors) with a Bachelors of Arts degree in Political Science.

Mr. Erick Opeka has been an Executive Vice President of Digital Networks at Cinedigm Corp., since June 2014. Leading Cinedigm's over-the-top (OTP) entertainment networks business, Mr. Opeka is responsible for the strategic xplanning, launch and operation of Cinedigm's portfolio of direct-to-consumer digital networks, which is available online, on mobile devices, gaming consoles, and connected TVs. Previously, he served as Senior Vice President of Digital Distribution for Cinedigm, a position he held at New Video before NV's acquisition by Cinedigm, where he oversaw the distribution of its 50,000+ hours of content in the digital ecosystem and helped grow it into the largest aggregator of digital content in North America.

Ms. Yolanda Macias has been an Executive Vice President of Acquisitions, Forecast, Planning & Digital Sales at Cinedigm Corp. since October 2013 and also serves as its Head of Digital Video & Television Sales Division. Ms. Mac??as is responsible for sourcing, evaluating, negotiating and acquiring content from independent producers and studios for all distribution platforms. She also heads digital video and television sales division and oversees the Forecast, Planning and Analysis team for Cinedigm. Prior to, she was employed at Gaiam Inc. while at Gaiam, she headed up the acquisitions and digital sales teams securing deals with content providers such as Crown Media ' Hallmark and the Jim Henson Company and forging new television deals with various networks. She served as an Executive Vice President of Acquisitions & Business Development at Gaiam Vivendi Entertainment. She helmed the launch and established the distribution strategy for Vivendi Entertainment's digital distribution services along with acquiring rights for branded content such as National Geographic, WWE, NFL and Shout!Factory. She was as part of the executive team, built Vivendi Entertainment to an attractive profitable business and assisted its sale to Gaiam Inc. Prior to Vivendi, she served as Vice President of DIRECTV Spanish-language and International Services for DIRECTV, Inc. She launched and oversaw all aspects of the Spanish-language and Chinese-language programming service as well as international and ethnic programming developments for the DIRECTV service. Prior to DIRECTV, she held executive positions at Technicolor and The Walt Disney Company. She has more than 20 years of home entertainment experience. While at DIRECTV, she was honored as one of the Top 50 Women in Business by the Los Angeles Business Journal. she was also honored as one of the Elite Women 2009, 2010, 2011, 2012, 2013 in the home entertainment industry and was recognized as an industry digital driver in 2010, 2011, 2012 and 2013. She received her MBA from the J.L. Kellogg Graduate School of Management at Northwestern University and her B.S. degree from California State University, Northridge.

Ms. Susan Margolin has been the President of Docurama and Special Acquisitions at Cinedigm Corp since October 2013 and served as its Co-President of Cinedigm Entertainment Group. Ms. Margolin leads one of North America's largest home entertainment distributors. Ms. Margolin serves as board member of BAFTA NY and is a member of IFP and New York Women in Film and Television, where she serves on the advisory board. She has built a reputation for sales and marketing prowess on over 25 years of experience in the distribution business. Ms. Margolin is known in the industry for her dedicated support of filmmakers and the independent film community. Since launching New Video's Docurama Films?? in 1999, she has championed more than 300 celebrated, award-winning non-fiction films, from D.A. Pennebaker's Bob Dylan: Dont Look Back to Danfung Dennis's critically acclaimed Hell and Back Again, releasing in theaters and across VOD, digital and DVD. She is a 'Digital 25: Leaders in Emerging Entertainment' honorees, an annual award given by the Producers Guild of America. Ms. Margolin is a graduate of Brown University.

Ms. Bobbi Levine has been Senior Vice President of Production at Cinedigm Corp. since April 2000. Ms. Levine oversees the production of all physical, digital, VOD and theatrical content. She manages the Cinedigm in-house studio as well as relationships with outsourcing partners. She works with iTunes, Netflix, Amazon, HULU, Google, PlayStation, Xbox, VUDU and other digital partners from the onboarding stage to the management of aggregated content, scheduling and delivery. She manages physical content for all product lines which have included Docurama, Flatiron, Cinedigm, Tribeca, A&E/History, MLB, Scholastic, Arthouse Films, GKIDS and Drafthouse and oversees material delivery to replication partners. She joined Cinedigm Entertainment Group (Formerly, New Video) in 2000 as Vice President of Operations. Prior to Cinedigm, Ms. Levine held positions at BMG Entertainment, National Captioning Institute and 20th Century Fox Home Entertainment (Formerly, CBS/Fox Video).

Mr. David W. Gajda has been an Executive Chairman of Hollywood Software at Cinedigm Corp. since February 14, 2011. Mr. Gajda served as the Chief Executive Officer of Hollywood Software, Inc. is a well-known and respected leader in the entertainment technology sector. He has helped many of the top entertainment companies, including Sony Pictures, MGM Studios, EMI Music, Universal Music, and others, develop long term technology strategies. He was a co-founder of Hollywood Software (which was acquired by Cinedigm in 2003). He served as President and Chief Operating Officer of Hollywood Software Inc. until April 2005 and also served as its Chief Executive Officer since 1997. Mr. Gajda served as Senior Vice President of International Marketing at Cinedigm Digital Cinema Corp. since April 6, 2005. He serves as Executive Chairman of Hollywood Software, Inc. Mr. Gajda owned and managed a strategic consulting company, DWG International Inc., from 1990 to 1997.
