Mr. Gordon S. Weber, J.D., has been Vice President and General Counsel at CHF Solutions, Inc. (also known as Sunshine Heart) since May 15, 2017. Mr. Weber served as Vice President, General Counsel and Secretary of Vascular Solutions, Inc. He served as General Counsel at Vascular Solutions Inc since February 2013. He served as Associate General Counsel ??? Commercial for Smiths Medical from October 2010 to February 2013. Before joining Smiths Medical, Mr. Weber practiced law for 13 years and served as a Partner in the Corporate group at Faegre Baker Daniels LLP (also known as Faegre & Benson LLP). He began his career with the accounting firm known as KPMG. Mr. Weber practice is focused on public company reporting, corporate governance and compliance, general corporate counseling, mergers and acquisitions, securities offerings and development, licensing and supply arrangements. Mr. Weber generally works with companies in the software, technology, financial services and medical device markets. He assists publicly held companies in preparing periodic reports and proxy statements, in responding to Securities and Exchange Commission inquiries, in compliance with Sarbanes-Oxley and other regulatory requirements and with general corporate governance matters. Public companies which Mr. Weber has represented include Stellent, Inc., HMN Financial, Inc., Hutchinson Technology Incorporated, CIMA LABS INC., BUCA, Inc., Angeion Corporation and Minntech Corporation. He has counseled clients on public/public mergers, acquisitions of public company subsidiaries, acquisitions of significant assets of public companies and private company acquisitions. Mr. Weber also has played a lead role in initial and follow-on public offerings, Rule 144A transactions and private placements. He has represented companies such as Guidant Corporation, Hutchinson Technology Incorporated, EZ Gard Industries, Inc., Zimmer Spine (formerly Centerpulse Spine-Tech), Minntech Corporation and GalaGen Inc. in the negotiation and consummation of complex development, licensing and supply agreements. Some of Mr. Weber's representations include representation of SurModics, Inc. in its $11 million acquisition of BioFX Laboratories, Inc.; representation of Stellent, Inc. in its $60 million acquisition of Optika Inc.; representation of RBC Capital Markets (formerly Dain Rauscher Wessels) in the $34 million follow-on offering of shares of common stock of Stellent, Inc.; Representation of International Multifoods Corporation in the off-shore placement of $200 million of its 6.602% Notes; and many more. Prior to joining Faegre & Benson, he had a 13 year career in finance and accounting. Mr. Weber spent seven of those years at Osmonics, Inc. His responsibilities at Osmonics included financial reporting, financial analysis of acquisition candidates and serving as Corporate Controller. During his tenure at Osmonics, its sales and net income grew from $46.7 million and $3.9 million, respectively, to $164.9 million and $9.8 million, respectively. Mr. Weber began his career with KPMG LLP. He is admitted to the Bar of Minnesota. He is also involved in eco education. He received his J.D., summa cum laude, in 1997 from the William Mitchell College of Law and a B.A., magna cum laude, Phi Beta Kappa, in Accounting and Economics in 1985 from the Luther College.
