Owen S. Littman serves as General Counsel and Secretary of Cowen Inc. (???Cowen???). Mr. Littman joined Cowen Investment Management (formerly known as Ramius LLC (???Ramius???) in October 2005 as its Senior Transactional Attorney, becoming the General Counsel of Ramius in February 2009 and the General Counsel of Cowen in July 2010. From September 1997 to October 2005, Mr. Littman was an Associate in the Business and Finance Department of Morgan, Lewis & Bockius LLP. Mr. Littman also represented underwriters in initial public offerings of securities. Mr. Littman received a BA, cum laude, in Public Policy and Economics from Duke University in 1994 and a JD from New York University School of Law in 1997.

Mr. Stephen A. Lasota, CPA has been the Chief Financial Officer at Cowen Group, Inc. since November 2009 and serves as its Principal Accounting Officer. Mr. Lasota serves as the Chief Financial Officer at Ramius Advisors, LLC. Previously, he was the Chief Financial Officer and Managing Director at Ramius LLC. Mr. Lasota began working at RCG in November 2004 as the Director of Tax and was appointed Chief Financial Officer in May 2007. He was a Senior Manager at PricewaterhouseCoopers LLP. Mr. Lasota holds the Certified Public Accountant designation.

Mr. Peter Anthony Cohen serves as Chairman of the Board of Cowen Inc. Previously he served as Chief Executive Officer and Chairman of Cowen Inc. Mr. Cohen serves as Special Advisor at Mistral Acquisition Company. He has been an Advisor at Tempus Applied Solutions Holdings, Inc. since November 23, 2016. He serves as an Operating Partner at TriArtisan Capital Advisors LLC. Mr. Cohen served as President at Cowen Inc. from November 2009 to September 2014. Prior to that, he was a Co-Founder, Founding Partner, Principal, Managing Member and Chairman of Ramius, LLC. He formed Republic New York Securities and Republic Asset Management for Republic National Bank of New York in 1991. He joined Shearson Lehman Brothers in 1970 and served as an Assistant to the Chairman since 1973. At various periods throughout the 1970's, he was directly responsible for finance, operations and administration, equity, debt trading and sales, real estate investing and lending, investment and merchant banking, commodities trading and the investment management businesses. Mr. Cohen left in 1978 for one year to worked directly for Edmond Safra at Republic NY Corporation and Trade Development Bank Holdings in Geneva, Switzerland and returned to Shearson in 1979. In 1981, Shearson merged with American Express, where he served as President and Chief Operating Officer. He served as Managing Officer of Ramius HVB. He managed Shearson's acquisitions of Lehman Brothers and E.F. Hutton & Company in 1984 and 1988, respectively. He was a Generalist in Securities Analysis and Investment Banking at Shearson Lehman Brothers in 1970. He began his career on Wall Street at Reynolds & Co. in 1969. He served as Chief Actuary and Senior Vice President of Presidential Life Insurance Company. He served as the Chairman of Republic New York Securities Corporation. He has been Vice Chairman and Director of Scientific Games Corporation since September 2004 and September 2000, respectively and also serves as its Lead Independent Director. He has been Vice Chairman and Director of AT&T Government Solutions, Inc. since 1997. He served as Vice Chairman and a Director of Republic New York Corporation. He has been a Director of Andover Apparel Group since 1981. He serves as a Trustee of The Mount Sinai Hospital. He has been a Director of Safe Auto Insurance Group, Inc. since November 5, 2004 and Safe Auto Insurance Company since May 2002. He serves as a Director of United Services Management Corporation, Portfolio Recovery Associates Inc., The Depository Trust Company, The Ohio State University Foundation and The New York City Opera. He serves as a Member of the Advisory Board at GermanCapital GmbH. He served as a Director of Tempus Applied Solutions Holdings, Inc. from July 31, 2015 to November 17, 2016.
