Ms. Elizabeth Runyan Geise is a Partner at Goodwin, Procter & Hoar LLP. She is a partner in the firm's law and insurance coverage disputes. Mr. Christopher D. Moore is a Partner at Goodwin, Procter & Hoar LLP. Chris Moore is a partner in the firm's Litigation Department. His practice focuses on complex business litigation, including securities and corporate governance, SEC and stock exchange investigations, mergers and acquisitions, real estate partnership disputes, civil RICO defense and products liability. Mr. Moore's experience includes work in a wide variety of trial and appellate matters in state and federal courts across the country. Prior to joining Goodwin Procter in 1999, Mr. Moore was an associate in the Civil, Criminal, and Constitutional Litigation Group at Sidley & Austin in Washington, D.C., where his practice focused on the areas of telecommunications, financial institutions, and complex civil and criminal matters in both trial and appellate courts. His appellate experience includes numerous federal appeals across the country involving the Telecommunications Act of 1996 and several cases before the U.S. Supreme Court addressing physician-assisted suicide, the Religious Freedom Restoration Act, and federal Indian law. Before joining Sidley & Austin in Washington, D.C., Mr. Moore served as a law clerk to The Honorable Michael S. Kanne of the U.S. Court of Appeals for the Seventh Circuit. He completed his J.D. from Northwestern University School of Law, 1995 and B.A. from Cornell University, 1988.

Mr. Daniel P. Adams is a Partner in the Business Law Departmentat at Goodwin Procter LLP. He is based in the Boston office of the firm. Mr. Adams practices in the area of corporate, which includes securities and corporate finance. He works on a wide variety of corporate and securities matters, including public and private mergers and acquisitions, public and private offerings of securities, securities law compliance for public companies and other matters of general corporate and securities law. Mr. Adams is admitted to practice in the Bar of Massachusetts. He has received a J.D., magna cum laude, in 1999 from Harvard Law School and a B.A. in 1996 from Tufts University.

Mr. William R. Hanlon is a Partner at Goodwin, Procter & Hoar LLP. He is co-leader of the Litigation Department in Goodwin Procter's Washington DC office, focuses his practice on complex litigation, including class actions, product liability and insurance coverage, with litigation of claims in numerous state and federal trial and appellate courts. Mr. Hanlon was a partner at Shea & Gardner, prior to is combination with Goodwin Procter in 2004. Prior to his work with Shea & Gardner, he served as Law Clerk to Judge Arlin M. Adams on the U.S. Court of Appeals for the Third Circuit from 1979 to 1980. Mr. Robert S. Insolia has been a Managing Partner of Goodwin Procter LLP since February 1, 2012. Mr. Insolia is the leader of the Business Law Department in Goodwin Procter's New York office, represents and advises a wide range of clients involved in the capitalization of real estate through public and private capital markets. A member of the firm's nationally recognized REITs & Real Estate Capital Markets Practice, Mr. Insolia has assisted clients with complex real estate financings (including senior and subordinate debt structures), and preferred equity and mezzanine financings; portfolio acquisitions and dispositions of real estate and loans secured by real estate; REIT IPOs and follow-on public equity and debt offerings; mergers and acquisitions of real estate operating companies; contributions of real estate for stock and operating partnership units; creation of commingled funds to invest in real estate, public and private real estate companies, and high-yield debt secured by real estate; creation of private equity opportunity funds; commercial mortgage securitizations; and the restructuring of real estate partnerships in anticipation of public market executions. Many of these transactions have involved significant multifamily, office, hospitality, industrial and retail properties throughout the United States. Mr. Insolia is admitted to practice in New York. He completed his J.D. from Fordham University School of Law in 1984 and a B.A. from New York State University College at New Paltz in 1979.

Mr. Wayne A. Budd has been Senior Counsel of Goodwin Procter LLP since 2004. Mr. Budd served as an Executive Vice President and General Counsel of John Hancock Financial Services Inc of Boston, MA since 2000 until 2004. He served as Executive Vice President and General Counsel of John Hancock Life Insurance Company. Mr. Budd served as Group President of New England of Bell Atlantic Corporation (now Verizon Communications Inc.) from 1996 to 2000, where he was responsible for regulatory and legislative functions for the New England region. He served as a Senior Partner in the Corporate and Litigation Departments of Goodwin and Procter in Boston MA. He served as a Senior Partner of Goodwin Procter LLP from 1993 to 1996. Mr. Budd has over 40 years of legal experience in the public and private sectors. Mr. Budd held a number of high-profile positions in federal and state government over the course of his career. From 1992 to 1993, he served as an Associate Attorney General of the United States. He oversaw the Civil Rights, Environmental, Tax, Civil and Anti-Trust Divisions at the Department of Justice, as well as the Bureau of Prisons. Mr. Budd served as a Senior Partner at the Boston law firm of Goodwin Procter LLP from 1993 to 1996. He was U.S. Attorney for Massachusetts, served as the Bay State's Chief Federal Prosecutor and representing the Federal Government in all matters involving civil litigation from 1989 to 1992, where he was recognized for his efforts in combating drugs, street crime and gang violence. He is the past Chairman of the National Board of the American Automobile Association Mr. Budd also served on the U.S. Sentencing Commission from 1994 to 1997. Mr. Ira J. Levy is a Partner at Goodwin, Procter & Hoar LLP. He is a partner in the firm's Litigation Department, has a diverse intellectual property practice, working on matters involving patents, copyrights and trademarks. He has extensive experience with disputes involving biotechnology, pharmaceuticals and chemistry; electronics, computers and telecommunications; mechanical devices; industrial and consumer products; and the Internet, new media and e-commerce. He is resident in the firm's New York office. Mr. Levy has been an active member of the New York Intellectual Property Law Association, International Trademark Association, American Intellectual Property Law Association, Association of Patent Law Firms, American Bar Association, Pharmaceutical Trademarks Group and the Legal Aid Society. He has also acted as pro bono counsel to the United Way of New York City and cyberangels.org. and is a past member of the Board of Directors of the New York Intellectual Property Law Association. At the request of the International Trademark Association, Mr. Levy was co-chair its 2002 Trademarks in Cyberspace conference in New York and Brussels. Mr. R. Todd Cronan is a Partner at Goodwin, Procter & Hoar LLP. Mr. Cronan is a partner in the Litigation Department at Goodwin Procter LLP and a member of the firm's Securities Litigation & SEC Enforcement Practice. He has also been a member of the Executive Committee of the firm. Mr. Cronan's practice focuses on representing public companies and emerging growth companies, and their boards of directors, and the institutions that fund their growth. His areas of expertise include the representation of such companies, and their directors and officers, in securities litigation and SEC enforcement matters. He also regularly advises boards of directors on strategies to avoid disruptive and costly litigation in a transactional context. Mr. Cronan is a member of the Massachusetts Bar, as well as the bar of the U.S. Court of Appeals for the First, Second and Third Circuits and the U.S. District Court for the District of Massachusetts. Mr. Yash A. Rana serves as Chair of The Hong Kong Office and Head of Asia Practice at Goodwin Procter LLP. Mr. Rana served as a Partner in Private Equity and Mergers and Acquisitions Group at Goodwin Procter LLP and Head of its India Practice. He served as Vice President of Qwest Capital Funding, Inc. Mr. Rana's practice includes representing strategic and financial clients in cross border mergers and acquisitions, leveraged buyout transactions, early and late stage venture capital and growth equity investments, PIPEs, joint ventures and other corporate transactions. He has extensive knowledge of the communications industry, including communications services, fiber builders and related construction services. Mr. Rana has represented clients in such diverse industries as media, financial services, consumer goods, manufacturing, energy, cleantech and technology, including software, internet services, video and internet game development, online advertising, electronic trading platforms and hardware. Mr. Rana has over 10 years of experience advising companies, sponsors and promoters in mergers and acquisitions and financing transactions. Among other Goodwin Procter clients, he has represented AIG, General Catalyst Partners, Goldman Sachs, Highland Capital Partners, J.P. Morgan, Lincolnshire Management, TA Associates and Viacom (and its MTV Networks division). Mr. Rana has also represented major investment banks in offerings and as financial advisors to companies engaged in mergers and acquisitions. Before joining Goodwin Procter in 2005, Mr. Rana oversaw mergers and acquisitions and securities transactions for Qwest Communications International Inc. and was a transactional lawyer at O'Melveny & Myers LLP in New York. While at Qwest, Mr. Rana was instrumental in executing several complex transactions, including Qwest's acquisitions of US West and LCI Communications; the sale of Qwest's directories business to The Carlyle Group and Welsh, Carson, Anderson & Stowe in one of the largest leveraged buyouts at the time; PIPE transactions involving BellSouth and Microsoft; Qwest's $13 billion debt exchange offer; and the initial public offering of KPNQwest. In addition, he served on the Board of Directors of the Qwest Foundation, the charitable arm of Qwest. Mr. Rana's prior experience also includes representation of the Anschutz group, TCW and GTE/Verizon. He holds J.D. from Columbia Law School in 1995 and B.A. from Knox College in 1992.
