Ms. Suzanne L. Niemeyer, J.D. serves as the Managing Director, General Counsel and Secretary at Actua Corporation (formerly, ICG Group, Inc). Ms. Niemeyer has been with Actua Corporation since January 2000 and manages all aspects of Actua's legal function. Ms. Niemeyer has been responsible for evaluating, structuring and negotiating dozens of complex acquisitions, dispositions and restructurings. She advices Actua's management and Board of Directors on a diverse range of legal issues, provides legal support to Actua's partner companies and participates in the development of Actua's business strategy. She oversees Actua's compliance with securities laws and other regulatory matters and is responsible for establishing corporate governance policies and practices. She also serves as the Secretary at Internet Capital Group Operations, Inc. Prior to joining Actua, she practiced in the business department at Dechert LLP, where she was a member of the mergers and acquisitions and corporate and securities practice groups. While at Georgetown University Law Center, Ms. Niemeyer was a notes editor for Law and Policy in International Business. She holds a J.D from Georgetown University Law Center and a B.A. from Duke University.

Mr. John A. Loftus, Jr., serves as the Managing Director of Actua Corporation (formerly, ICG Group, Inc). Mr. Loftus leads acquisitions of leading vertical cloud companies and works with entrepreneurs to build great businesses. Mr. Loftus serves as a Senior Vice President of eSolutions at Eggrock Partners, Inc. He serves as Senior Advisor at Cedar Lake Partners LLC. Mr. Loftus has over 25 years of experience as a serial entrepreneur, private equity investor and operational executive. Mr. Loftus served as an Executive Vice President and Managing Director of Portico Systems, Inc. He founded Swinford Group LLC. Mr. Loftus served as an Executive Vice President and Managing Director of Information Technology Group at Safeguard Scientifics Inc. from September 7, 2005 to May 2, 2008. Mr. Loftus served as the Chief Technology Officer and Senior Vice President of Safeguard Scientifics Inc. from December 2003 to September 7, 2005. He joined Safeguard in 2001 as a Principal and served as its Senior Vice President since December 2003. He co-founded Gestalt LLC and also served as its Chief Technology Officer from September 2001 to May 2002. He served as a Senior Vice President of Professional Services at Breakaway Solutions, Inc., where he managed all strategy and implementation consulting engagements including the m-business Practice and implementation in United States and Europe. In addition, Mr. Loftus was part of the senior management team that took Breakaway Solutions public in October 1999. He served as Senior Vice President of e-Solutions of Breakaway Solutions, Inc. from May 1999 to August 2001. He served as the Senior Vice President and Chief Technology Officer of WPL Laboratories, where he managed WPL Laboratories' successful expansion into e-business that culminated with its recognition as an Inc. 500 company. He served the first 14 of his career at GE and PECO Energy. Mr. Loftus served as the Director of Enterprise Systems of PECO Energy from September 1992 to February 1997. From February 1983 to September 1992, he served various executive and management positions at General Electric. Mr. Loftus served as the Chairman of the Computing Advisory Board at LaSalle University. He served as Chairman and Director of Mantas, Inc. He serves as a Director of Ben Franklin Technology Partners of Southeastern Pennsylvania, Investment Arm, the Mid-Atlantic Capital Alliance and Acsis. He serves as a Director of Versify Solutions, Inc. Mr. Loftus has been a Director of InstaMed Communications, LLC since October 19, 2015. Mr. Raymond Kirk Morgan, CPA, has been the Chief Financial Officer of Actua Corporation (formerly, ICG Group, Inc) since February 2006 and also serves as its Principal Accounting Officer. Mr. Morgan's responsibilities include the oversight of all of Actua's internal financial operations, including accounting, budgeting, financial due diligence, financial systems, internal and external reporting and treasury. He served as a Vice President of Finance and Controller of Actua Corporation. Prior to joining Actua in 1999, Mr. Morgan served as an Audit Manager of Philadelphia office at PriceWaterhouseCoopers, LLP, where Mr. Morgan was a member of the middle market and growing company practice. He serves as Director of Procurian USA LLC and MSDSonline. He is a CPA and member of the American and Pennsylvania Institute of Certified Public Accountants. Mr. Morgan holds a B.S. in Accounting from Pennsylvania State University in 1989.

Mr. Vincent P. Menichelli, also known as Vince, serves as the Managing Director of Actua Corporation (formerly, ICG Group, Inc). Mr. Menichelli primarily focuses on overseeing Actua's investments, providing strategic, operational and financial guidance to Actua's partner companies and evaluating new acquisition opportunities. He has been advising and investing in early stage and middle market growth companies for more than 15 years. He is a Co-Founder of Trestle Ventures and serves as its Managing Partner. He served as Vice President of Operations of Actua Corporation since his joining in May 2000. Prior to joining Actua, he spent nine years with Arthur Andersen LLP and Coopers & Lybrand LLP and served as a Senior Manager in the technology practice of Arthur Andersen LLP. Mr. Menichelli provided management consulting services including financial analysis, market research, merger and acquisition transaction support, due diligence and business valuation as well as audit and accounting services across a broad range of industries. In addition, he worked with clients on numerous venture capital investments, acquisitions, initial public offerings and company sales. He serves on the board of The Talk Market and Weather Trends International, Inc. He served as a Director of Metastorm Limited until February 2011. He serves as a Director of Orbius, Inc and BOLT Solutions Inc. He serves as a Director of Parchment Inc, GovDelivery, SeaPass and Freeborders Inc. He serves as Board Member of Orpheus Media Research, LLC. He serves as a Member of Board of Managers at Trestle Ventures. He served as a Member of Supervisory Board of GoIndustry AG. He served as a Member of Supervisory Board of GoIndustry DoveBid plc. He served as a Director at WhiteFence, Inc., StarCite, Inc., and Vcommerce Corporation. He is a Certified Public Accountant. Mr. Menichelli holds an M.B.A. in Finance from Lehigh University and B.S. in Accounting from Bloomsburg University.

Mr. Scott Powers, J.D., has been Managing Director of Actua Corporation (formerly, ICG Group, Inc) since November 3, 2017 and serves as its Assistant General Counsel. Mr. Powers served as Senior Vice President of Actua Corporation until November 3, 2017. Mr. Powers manages virtually all aspects of Actua's legal function and advises its management and directors on a myriad of legal issues. He is instrumental in the evaluation, structure, negotiation and execution of a variety of complex corporate and commercial transactions involving Actua and its businesses, such as mergers and acquisitions, debt and equity financings and licensing arrangements and he is involved in the continued development of Actua's business strategy. He also focuses on ensuring Actua's compliance with securities laws and other regulatory requirements, as well as corporate governance and other general corporate matters. He has been with Actua since 2006. Prior to joining Actua, he practiced in the business department at Dechert LLP as a member of Dechert's mergers and acquisitions and corporate and securities practice groups. At the James E. Beasley School of Law at Temple University, he was an Associate Research Editor of the Temple Law Review. Mr. Powers holds a J.D. from James E. Beasley School of Law at Temple University and a B.S., summa cum laude, degree majoring in Economics from Fordham University.
