Dr. Charles R. Hageboeck, also known as Skip, Ph.D., serves as the Chief Executive Officer of City Holding Company and President of City Holding Company at City National Bank of West Virginia Inc. Dr. Hageboeck has been the Chief Executive Officer and President of City Holding Co. and City National Bank - West Virgini since February 1, 2005. He served as Chief Financial Officer and Executive Vice President of City Holding Co. and City National Bank - West Virgini from June 2001 to January 2005. He served as the Chief Financial Officer of Peoples Bank Corporation of Indianapolis since 1995 and also served as its Principal Accounting Officer, Senior Vice President and Secretary. He served as the Chief Financial Officer of Peoples Bank & Trust Company, a subsidiary of Peoples Bank Corporation of Indianapolis since 1995 also served as its Secretary and Senior Vice President. He served as Director of Forecasting at Roche Diagnostics Corp., Indianapolis, IN from 2000 to 2001. He served as a Manager of NBD Bank's funding and ALCO departments. He has been a Director of City Holding Co. since February 1, 2005. He serves on the Board of Directors of Peoples Building Corporation, Peoples Investment Services, Inc., and PIC, Ltd. He serves on the Board of Directors of the Indianapolis Arts Council and on the faculty of the American Bankers Association Graduate School of Bank Investments and Financial Management. He was the Chairman of the Asset and Liability Committee at NBD Bank, N.A. in Indiana. Dr. Hageboeck earned his BS degree in Economics from Butler University and his MA and PhD degrees in Economics from Indiana University.

Mr. Craig G. Stilwell has been an Executive Vice President of Retail Banking at City Holding Co. and its subsidiary City National Bank since February 23, 2005. Mr. Stilwell served as Executive Vice President of Marketing & Human Resources of City Holding Company and its subsidiary, City National Bank, Charleston, WV from May 2001 to February 2005 and served as Director of Human Resources and Marketing. He served as Senior Vice President and Director of Marketing for Peoples Bank & Trust Company (Peoples), a subsidiary of Peoples Bank Corporation of Indianapolis since 1988. During his 20 years with Peoples, Mr. Stilwell served as Assistant Cashier and Branch Manager. He served as Senior Vice President, Human Resources & Marketing, Peoples Bank Corp. of Indianapolis, IN from 1978 to 1999. Mr. Stilwell joined Peoples in September, 1978. Mr. Stilwell served as Industry Consulting Leader-Financial Services, Olive LLP, Indianapolis, IN from 1999 to 2001. He is a Board Member of the Community Bankers Association Insurance Agency and the Indiana Communities for Drug Free Youth. He served as a Director of Peoples Investment Services, Inc. He is a Member of the Indiana Chapter of the Bank Marketing Association. He served as Chairman of the Product and Pricing Committee and the CRA Committee of Peoples Bank Corp. of Indianapolis and also serves on the Asset and Liability Management Committee and a Secretary of the Compliance Council. Mr. Stilwell is a graduate of Hanover College.

Mr. John A. Derito has been an Executive Vice President of Commercial Banking at City Holding Co. since June 25, 2004. Mr. DeRito has been Executive Vice President of Commercial Banking at City National Bank at City Holding Co. since June 25, 2004. Mr. DeRito served as Credit Officer for the West Virginia Central Region of BB&T. He served as Senior Vice President and Credit Officer of One Valley Bank. He has over 20 years experience in commercial banking. He served as Controller of Carbon Industries, an ITT subsidiary, located in Charleston, West Virginia. He served as Chairman of the Carolinas-Virginias Chapter of the Risk Management Association (RMA) along with being a three-time chairman of the West Virginia Chapter. He is also a member of the Board of Regents and faculty of the RMA Carolinas-Virginias Commercial Lending School, located at East Carolina University in Greenville, North Carolina. He has also served as Chairman of the Lending School. Mr. DeRito is Magna Cum Laude graduate of the University of Charleston, is a licensed Certified Public Accountant and has been President of the Charleston Chapter of CPA's. He is also a graduate of the American Bankers Association Stonier Graduate School of Banking.

Mr. David L. Bumgarner, also known as Dave, has been Chief Financial Officer of City Holding Company and City National Bank since February 23, 2005. Mr. Bumgarner has been Senior Vice President of City Holding Company since February 23, 2005. He serves as Principal Accounting Officer of City Holding Company. Mr. Bumgarner is a graduate of West Virginia University and is a licensed CPA. Before joining the Company, he was Audit Senior Manager at Arnett & Foster, P.L.L.C., in Charleston, the largest public accounting and consulting firm in West Virginia from August 2000 to January 2005.

Mr. Jeffrey Dale Legge, also known as Jeff, has been Chief Administrative Officer, Chief Information Officer and Senior Vice President at City Holding Co. and City National Bank since December 2005. Mr. Legge served as Assistant Vice President of Data Processing for City Holding Co. from 1993 to 1997. From 1997 to 1998, he served as Vice President of Data Processing. He served as Senior Vice President and Director of Data Processing for City Holding Co. since 1998.
