Ms. Patricia Kessler Poppe is President, Chief Executive Officer & Director of CMS Energy Corporation and its Principal subsidiary, Consumers Energy Company (???Consumers Energy???). Mr. Barba has been the Chief Accounting Officer, Controller and Vice President of CMS Energy Corp., since February 2003. He has been a Chief Accounting Officer, Vice President and Controller of Consumers Energy Company, a subsidiary of CMS Energy Corp., since January 2003. He has been Chief Accounting Officer and Vice President of CMS Enterprises, a subsidiary of CMS Energy Corporation. since 2003. At CMS Energy, he is responsible for corporate accounting policy, financial and regulatory reporting, accounting operations, internal control, financial forecasting and budget services. Mr. Barba serves as Vice President, Controller and Chief Accounting Officer of Consumers Funding LLC. Previously, he served as Vice President and Controller of Consumers Energy Company from June 2001 to 2003. From 1997 to June 2001, he served as controller of CMS Generation and prior to 1997, he spent nine years in public accounting, focusing on the energy industry. He is a certified public accountant and a member of the Michigan Association of CPAs. Mr. Barba is a 1988 graduate of the University of Michigan, earning a Master's degree in Accounting concurrently with a Bachelor's degree in Business Administration.

Mr. Garrick J. Rochow has been Senior Vice President of Operations since July 2017. Mr. Rochow served as Senior Vice President of Distribution and Customer Operations at Consumers Energy Company and CMS Energy Corp. from July 1, 2016 to July 2017. Mr. Rochow served as Vice President of Customer Experience, Rates & Regulation and Quality since January 2015. Mr. Rochow served as a Vice President of Customer Operations and Quality at Consumers Energy Company since November 15, 2013 until January 2015. He served as Vice President of Energy Delivery at Consumers Energy Co. since 2010. He is responsible for the engineering and planning of theConsumers Energy's electric and natural gas distribution systems. Mr. Rochow leads the development and execution of plans to maintain, upgrade and expand the distribution systems that provide safe, reliable and affordable energy service to the utility's 2.9 million customers. He also oversees low- and high-voltage electric distribution, forestry, electrical system control and monitoring, gas pipeline integrity, gas metering and regulation and gas transmission, compression and storage. Mr. Rochow serves as the utility's Combustion Turbine Business Manager and was responsible for the operation and maintenance of the 930-megawatt Zeeland plant and other combustion turbine units with a total capacity of up to 400 megawatts. He joined Consumers Energy in 2003 and held several leadership positions, including site production manager at the utility's J.H. Campbell Generating Complex near West Olive. He began his utility career as an environmental lead at the Holland Board of Public Works and also served as a maintenance superintendent at that municipal utility. Mr. Rochow earned a Bachelor's degree in Environmental Engineering from Michigan Technological University and master's degree in business administration from Western Michigan University. He also has attended an Executive Education program at the University of Wisconsin-Madison's Wisconsin School of Business.

Ms. Catherine M. Reynolds, also known as Cathy, has been Senior Vice President, General Counsel and Manager of Consumers 2014 Securitization Funding LLC since 2014. Ms. Reynolds has been Senior Vice President and General Counsel of CMS Energy Corporation and Consumers Energy Company since October 2013. She served as Deputy General Counsel of CMS Energy Corporation and Consumers Energy Company from 2012 to 2013. Ms. Reynolds served as Vice President and Company Secretary at CMS Energy Corporation. and its subsidiaries, Consumers Energy Co. and CMS Enterprises Company since September 1, 2006 until 2012. She joined Consumers Energy in 1979 and has been its Assistant General Counsel of General Practice Group since July 2004. She serves as Vice President and General Counsel of Ener Bank USA, an affiliate of CMS Energy. Ms. Reynolds is responsible for managing CMS Energy and Consumers Energy corporate secretary activities, as well as investor services and the corporate records department. She has experience as a trial Lawyer and in regulatory work and has been concentrating on corporate, marketing and electronic commerce. Ms. Reynolds served as a Legal Department Manager of CMS Energy and was responsible for day-to-day supervision of attorneys involved in legal matters such as contracts, property, the environment, human resources, insurance, zoning and property taxes. She served in the legal department's litigation and general practice groups, later focusing on marketing, electronic commerce and corporate issues, where she joined in 1983. Ms. Reynolds earned a Law degree from Thomas M. Cooley Law School in 1983 and a Bachelor of Science degree from Michigan State University in 1979.

Mr. Rejji P. Hayes has been the Chief Financial Officer and Executive Vice President at Consumers Energy Company and CMS Energy Corporation since May 1, 2017. Mr. Hayes served as the Chief Financial Officer of ITC Holdings Corp. from August 13, 2014 to October 26, 2016 and also served as its Executive Vice President from May 2016 to October 26, 2016, Interim Chief Financial Officer from June 20, 2014 to August 13, 2014, Senior Vice President from August 13, 2014 to May 2016, Vice President of Finance from February 20, 2012 to August 13, 2014 and Treasurer from February 20, 2012 to November 18, 2015. He served as an Assistant Treasurer and Director of Corporate Finance and Financial Strategy at Exelon Corporation in Chicago, where he was responsible for developing financial strategy and planning, structuring and executing debt and equity financings. Prior to his role at Exelon, he served as Vice President of Mergers and Acquisitions at Lazard Freres & Co. LLC, where he assessed strategic opportunities, performed valuations and led merger and acquisitions transactions for corporate clients. He is an Alumni Trustee of Phillips Andover Academy and a Board Member of the Cranbrook Institute of Science. He served on the Boards of The University of Illinois at Chicago's College of Liberal Arts and Sciences and the McGaw YMCA prior to relocating to Michigan. Mr. Hayes holds a Master of Business Administration from Harvard Business School and a Bachelor of Arts from Amherst College.

Mr. Jean-Francois Brossoit, also known as JF, has been Senior Vice President of Transformation, Engineering and Operations Support at CMS Energy Corporation and Consumers Energy Company since November 1, 2017. Mr. Brossoit served as Senior Vice President of Transformation & Operations Support at CMS Energy Corporation and Consumers Energy Company since July 8, 2017 until November 1, 2017. Mr. Brossoit served as Senior Vice President of Transformation & Shared Services at Consumers Energy Company until July 8, 2017. Mr. Brossoit served as Senior Vice President of Transformation and Shared Services at CMS Energy Corporation from April 1, 2017 until July 8, 2017 and its Vice President of Transformation & Shared Services from November 17, 2016 to April 1, 2017. He was responsible for quality as well as supply chain, work management, corporate safety and business services, including fleet, facilities, emergency management, real estate and general services. Ms. Gleespen has been Chief Compliance Officer of Consumers Energy Company since January 21, 2016. Ms. Gleespen has been Vice President and Corporate Secretary of Consumers Energy Company since October 1, 2013, responsible for securities law matters, corporate records, investor services and corporate secretary functions. Ms. Gleespen joined Consumers Energy Co. as supervisory assistant general counsel and has extensive background in corporate governance, disclosure regulations, U.S. Securities and Exchange Commission reporting and compliance. Mr. Venkat Dhenuvakonda Rao, also known as DV, has been Senior Vice President of Strategy for CMS Energy Corporation since 2016. Mr. Rao served as Senior Vice President of Strategy & Business Planning at Consumers Energy Company from September 1, 2016 to July 2017 and served as its Treasurer July 1, 2012 until 2016. Mr. Rao has been Senior Vice President of Strategy & Business Planning at CMS Energy Corp. since September 1, 2016 and served as its Treasurer July 1, 2012 until 2016. He served as the Chief Executive Officer, President, Chief Financial Officer and Treasurer at Consumers 2014 Securitization Funding LLC since 2014.
