Mr. Joseph B. Bower joined in 1997 as Senior Vice President and Chief Financial Officer of CNB Bank (the ???Bank???) and Treasurer of CNB Financial Corporation (the ???Corporation???). In 2003, Mr. Bower was promoted to Executive Vice President and Chief Operating Officer of the Bank and Secretary of the Corporation. Currently he is serving as President and Chief Executive Officer of the Bank and the Corporation. He served as the Chief Financial Officer at Mifflinburg Bank & Trust Company. He also served a period of time with the Mifflinburg Bank as internal auditor and controller. Bower recently was chairman of the PA Bankers Association where he still sits on the board and is chair of the personnel committee and a member of the executive committee. He also is on the American Bankers Association political action committee and is currently a director of the CNB Bank board and CNB Financial Corporation. Mr. Bower has been Member of Community Depository Institutions Advisory Council at FRB of Philadelphia since December 19, 2017. Prior to his career in banking, he worked as a CPA for the predecessor of Baker Tilley in Williamsport, PA. He graduated from Montgomery Area High School in 1981. After graduation, he enlisted in the army where he served for two and a half years before he received an ROTC scholarship to become an officer. Mr. Bower later graduated magna cum laude from Lycoming College with a B.A. in accounting and from the U.S. Army Ordinance School Officer Basic Course.

Mr. Joseph E. Dell, Jr., also known as Joe, has been Chief Commercial Banking Officer and Senior Executive Vice President of CNB Bank since February 2017. Mr. Dell serves as the Chief Lending Officer of CNB Financial Corp., and has been its Senior Executive Vice President since February 24, 2017 and also served as its Executive Vice President until February 24, 2017. He is responsible for developing new business relationships and expanding the Bank's commercial lending presence throughout the western region of Pennsylvania. Mr. Dell works closely with the executive management team at CNB in the development of strategic goals. He served as Senior Vice President and Chief Lending Officer of CNB Bank since December 31, 2014 and served as its Senior Commercial Lending Officer. Mr. Dell worked in the financial industry for 30 years in the areas of lending, collections, corporate banking, credit administration and commercial banking Mr. Dell serves as Senior Vice President of Commercial Lending at CNB Financial Corp. He served as Chief Lending Officer\Commercial Line of Business Manager and Executive Vice President of First Security Group, Inc., from September 1, 2011 to January 28, 2013. Mr. Dell served as Chief Lending Officer and Executive Vice President of FSGBank, N.A. since 2011 and since February 9, 2012 respectively. He served as an Executive Vice President, Chief Lending Officer and Commercial Line of Business leader of First Commonwealth Bank from January 1998 to March 2010. He oversaw all lending activity and is responsible for managing and developing the overall loan portfolio of the organization. He has three decades of experience in community banking. Mr. Dell has a strong background in commercial, small business and consumer lending and held a number of leadership roles. He is an Active Community Leader and Volunteer, he served in a number of roles including the Board of Directors for YMCA in Indiana County, Pennsylvania and Campaign Chairman of the American Heart Association's Heart Walk. Mr. Dell has Master of Business Administration degree from Waynesburg College, a Bachelor of Science Degree from Clarion State College and completed the Stonier Graduate School of Banking. He graduated from Stonier Graduate School of Banking, as well as several other ABA, RMA and PBA, commercial banking programs.

Mr. Brian William Wingard serves as Chief Financial Officer, Executive Vice President and Treasurer of CNB Financial Corp. Mr. Wingard had been Chief Financial Officer and Treasurer of CNB Financial Corp., since April 17, 2012. and served as its Principal Accounting Officer. Mr. Wingard has been Chief Financial Officer and Executive Vice President of CNB Bank a subsidiary of CNB Financial Corp since March 2012. and served as its Interim Treasuer and Interim Chief Financial Officer since November 2011. He served as an Interim Chief Financial Officer and Interim Treasurer of CNB Financial Corp. and served as the Chief Financial Officer of CNB Bank since November 8, 2011. He served as a Controller and Assistant Vice President of CNB Financial Corp. since November 2007 and served as Controller and Assistant Vice President of CNB Bank. Mr. Wingard served as a certified public accountant in public practice with Parente Randolph, LLC, since 1998.

Mr. Mark D. Breakey serves as the Chief Credit Officer and Senior Executive Vice President of CNB Financial Corp. Mr. Breakey serves as Chief Credit Officer of CNB Bank (also known as Country National Bank), a subsidiary of CNB Financial Corp. and has been its Executive Vice President since May 1995. Mr. Breakey served as the Senior Vice President and Senior Loan Officer of CNB Financial Corp. He served as a Senior Vice President and Credit Risk Manager of County National Bank since May 1995 and also served as Credit Risk Manager of CNB Financial Corp. Mr. Breakey joined CNB Bank in 1991 and served as Vice President and Business Development Officer for it's St. Marys market area. Since that time, he served as Senior Vice President/Senior Lender and also served as Senior Vice President of Credit Administration at CNB Bank. He worked for Mellon Bank in Erie. With his vast knowledge of finance, Mr. Breakey offered his expertise by leading a $2 million capital campaign as President of the Board of Directors for the Clearfield YMCA. He serves as Director of ERIE Bank at CNB Financial Corp. In July, 2003, Mr. Breakey was appointed to the PSU Graduate School Alumni Society Board of Directors for a two-year term as a representative for Penn State Erie, The Behrend College. He involved in a number of organizations in the community that include the Clearfield Kiwanis Club where he served as President. He also served as President of Robert Morris Associates of State College, an organization that promotes excellence in commercial lending. Mr. Breakey serves on the Loan Committee for the North Central PA Regional Development and Planning Commission and Member of the Downtown Clearfield Business District Authority. He has taught numerous courses at Pennsylvania Bankers Association. He taught courses for the Erie Business College and was an adjunct instructor for the Penn State DuBois Campus' Business program. Mr. Breakey graduated Johnsonburg Area High School. He holds a B.A. in English Literature from the Pennsylvania State University in 1980 and holds his M.B.A. from Penn State in 1994. He graduated from the Pennsylvania Bankers Association (PBA) School of Commercial Banking and graduated with honors from the Stonier Graduate School of Banking at the University of Delaware.

Mr. Richard L. Greslick, Jr., also known as Rich, serves as the Chief Operating Officer and Senior Executive Vice President of CNB Financial Corp. Mr. Greslick has been Chief Operating Officer and Senior Executive Vice President of CNB Bank since December 2012. Mr. Greslick has been a Secretary of CNB Financial Corp. since 2009. He served as Senior Vice President of Administration at CNB Bank, a subsidiary of CNB Financial Corp. He served as Vice President of Operations at CNB Bank (formerly, Country National Bank), a subsidiary of CNB Financial Corp. Mr. Greslick joined CNB permanently after college graduation to participate in the CNB Bank's Management Training program, which he completed in April, 1999. Following this intensive training, he obtained a position in the CNB Bank's Finance Department as Finance Assistant, Purchasing Manager and in 2003, earned a promotion to Banking Officer and Controller. Mr. Greslick has been a Director of CNB Financial Corp., and CNB Bank since November 2011. He graduated from Clearfield Area High School in 1994 and a 1998 graduate of Indiana University of Pennsylvania, with a B.S. in Accounting. He completed a summer internship working in the Internal Audit Department of CNB's Main office in downtown, Clearfield. In 2005, Mr. Greslick holds a Degree from the Graduate School of Bank Investments and Financial Management from the University of South Carolina.

Mr. Dennis L. Merrey, also known as Denny, founded Clearfield Powdered Metals, Inc., and served as its Chief Executive Officer and President. Mr. Merrey served as the President and Chief Executive Officer of Clearfield Machine Company and served 8 years as Artillery Officer for the United States Army Reserves. He is a Co-founder and the Chairman of Shoot for the Magic Charity sporting Clays event benefiting Big Brothers/Big Sisters of Clearfield County. He served as the Chairman of CNB Bank until December 31, 2016. Mr. Merrey served as the Chairman of CNB Financial Corp., and its subsidiary County National Bank (Alternatively, CNB Bank) from November 21, 2007 to December 31, 2016. He serves as the Vice Chairman of Clearfield Area Health Services and Clearfield Hospital. He has been a Division Chairman for the 2005 Clearfield YMCA Capital Campaign and Division Chairman in 2002 for the Clearfield Education Foundation benefiting Lock Haven University's Clearfield campus. In addition, He served as Co-Chairman for the Foundation in 1997. He served on the Board of Trustees at West side United Methodist Church. For the Joseph and Elizabeth Shaw Public Library Building Fund Campaign, he served as Division Chairman in 1993. He has been a Director at CNB Financial Corp. since June 1991, Holiday Financial Services Corp. since June 4, 1991 and CNB Bank since 1990. He has served on the Board of Directors of Clearfield County Industrial Development Corporation and on the Board of Directors for Clearfield County Economic Development Corporation, where he was Chairman for three years on each, with a total of 18 years of service to the industrial development efforts of Clearfield County. He served on the Clearfield Municipal Authority Board of Directors, with 2 years as Vice Chairman for the Clearfield Area United Way. Mr. Merrey graduated from Clearfield Area High School. Mr. Steven R. Shaffner Shilling, also known as Steve, has been an Executive Vice President of Private Client Solutions at CNB Bank since March 2017 and Executive Vice President of Private Client Solutions at CNB Financial Corporation since June 8, 2017. Mr. Shilling has overall responsibility for leading the Wealth Management divisions of CNB Bank, ERIEBANK, a division of CNB Bank and FCBank, a division of CNB Bank. His responsibilities include overseeing the comprehensive offering of financial planning, investment management and trust services to families, charitable organizations and institutional clients at CNB Bank. He has over twenty years of experience in the wealth and investment management industry with a particular focus on leadership and client service. He served as Senior Vice President and Market Manager where he managed multiple new wealth offices for First Niagara Private Client Services and Huntington Wealth Advisors in the Northwestern PA region. He served as Senior Vice President of Wealth and Asset Management at CNB Bank from July 10, 2015 to March 2017. Previously, Mr. Shilling served as Senior Vice President and Market Executive for National City's Private Client Group, Senior Vice President and Private Client Manager for the Private Bank at Bank of America in Charlotte, NC and also worked for Goldman Sachs Private Wealth Management in Philadelphia, PA.
