Mr. Donovan R. Jones, MBA, BA has been the Chief Executive Officer and President of CounterPath Corporation since April 30, 2008 and April 24, 2006 respectively. Mr. Jones leads global Sales, Marketing, Development and Operations activities and is responsible for strategic and financial initiatives to drive CounterPath's overall growth. Mr. Jones served as the Chief Operating Officer of CounterPath Corporation since April 24, 2006. He served as the President and Chief Operating Officer of Counterpath Solutions Inc., since May 2006. From May 2005 to April 2006, he held the position of Vice President of sales and marketing for CounterPath, where he was responsible for worldwide sales, marketing and business development. He joined CounterPath from a boutique investment banking firm, where he was responsible for sourcing and executing transactions for mid-market private companies. Prior to this, he spent eight years (from 1996 to 2004) with TELUS Communications. Mr. Jones held increasingly senior positions in Corporate Development and Client Solutions, which had him involved in planning and executing a series of merger, acquisition and divestiture activities in the telecommunications, application development and data network integration space. Additionally, he was involved the strategic planning process for businesses focused on application and web development, hosting, human resources, supply operations and sales efficiency; Mr. Jones' efforts with TELUS ulminated in his position of Director/Chief Operating Officer Marketing with responsibility for a business unit focused on the selling, implementing and management of enterprise voice, data and IP infrastructure. Subsequently, as director, marketing at TELUS, he held P&L responsibility for a CDN $200 million business unit, focusing on the selling, implementing and management of enterprise voice, data and IP infrastructure. He has been a Director of CounterPath Corporation since June 01, 2017. He served as Executive Director of Counterpath Solutions Inc., since June 1, 2007. In January of 2007, he was awarded a regional top 40 under 40 award recognizing British Columbia's brightest young business stars under the age of 40. Mr. Jones holds an MBA from the University of Calgary and an Economics degree from the University of Alberta.

Mr. Michael Doyle, BSc (Comp. Science) serves as the Vice President of Technology at CounterPath Corporation. Mr. Doyle is employed at Wesley Clover Corporation. He focuses on information and communication technology. He co-founded Ubiquity Software Corporation Limited in 1993 and served as its Chief Technology Officer and Executive Director. He has over 20 years of telecoms experience. Prior to joining Ubiquity, he held various positions at GEC Telecommunications in the software engineering group working on System X. He subsequently served as Lead Network Designer at a medical monitoring company which provided one of the first distributed healthcare information systems in the UK. He is an acknowledged expert in the field of Java Performance and Tuning. He has worked in the technology industry for over 20 years and has a wealth of experience and talent across a broad range of disciplines. Whilst at Ubiquity he was pivotal in establishing a strong revenue pipeline and contributed to the successful sale of core products and services to companies such as BT, Global Crossing, Verizon, COMCAST, United Online, Motorola, NOKIA, Siemens, Callserve and numerous other high profile clients. He serves as Member of Advisory Board at NS-Technologies Limited. Mr. Doyle is a Director of Yupiq Corporation Limited. Throughout his career, he has been pivotal in establishing strong revenue pipelines and has contributed to the successful sales of core products and services to companies such as BT, Global Crossing, Verizon, COMCAST, United Online, Motorola, NOKIA, Siemens and numerous other high profile clients. In 2000, he helped procure venture funding for the company, which resulted in one of the largest VC software investments in the UK. Ubiquity was named Innovator of the year in 2001 by the British Venture Capital Association and was the recipient of four national R&D awards. Michael was named one of the Top 100 Voices of IP Communications in 2006. In 2007 Ubiquity was acquired by Avaya Inc. for $145M. He has consulted for a wide variety of companies and Universities in the field of IP, and investment opportunities, helping VC firms such as Wesley Clover, JK&B Capital and CapVest Equity Partners to select the focus of attention for their funds. He has also lectured widely and given talks at industry conferences on technology and successful development of seed investment. Mr. Doyle was named one of the Top 100 Voices of IP Communications in 2006. He is one of the co-creators of the SIPStone consortia and holds Bachelor's of Science degree in Computer Science from University College London.

Mr. David L. Karp, CFA, MBA, P.Eng. has been the Chief Financial Officer of CounterPath Corporation since September 7, 2006 and has also been its Corporate Secretary and Treasurer since November 3, 2006. Mr. Karp served as Chief Financial Officer of CounterPath Solutions Inc. since September 07, 2006 and also serves as its Secretary and Treasurer. He served as the Chief Financial Officer and Director of Finance at Neuro Discovery Inc. from February 2002 to May 2004. Prior to Neuro Discovery, he served as Vice President of Investment and Corporate Banking of BMO Capital Markets, from 1997 to 2001. Prior to BMO Capital Markets, he served as an Executive Assistant to Chief Executive Officer of Repap Enterprises. He served as Chief Financial Officer of Allon Therapeutics, Inc. Mr. Karp is a corporate finance professional with over 20 years of financial and operating experience in a variety of industries. He served as Chief Financial Officer of Chemokine Therapeutics Corp., from May 2004 to August 2006, its Director of Finance since June 2004, Secretary since January 2005 and also served its Principal Accounting Officer. He joined Chemokine Therapeutics Corp. in June 2004 and was responsible for treasury and U.S. GAAP reporting, as well as the implementation of internal controls. He served as a Director of Electronic Cigarettes International Group, Ltd. since August 18, 2014 until March 16, 2017. He served as a Director of CounterPath Solutions Inc. since September 7, 2006 until June 1, 2007. He is a Chartered Financial Analyst and a Professional Engineer. Mr. Karp holds a Bachelor of Science degree in Mechanical Engineering from the University of Waterloo and a Masters in Business Administration from the Ivey School of Business at the University of Western Ontario.

Mr. Todd Carothers, BSc (Management, California State University, Chic, serves as an Executive Vice President of Marketing and Products at CounterPath Corporation. Mr. Carothers has been Executive Vice President of Sales and Marketing of CounterPath Corporation since May 04, 2016 and served as its Senior Vice President of Marketing and Products. He served as Vice President of Product Management of CounterPath Corporation. He served as Vice President of Solutions Marketing of Bridgeport Networks, Inc. and was responsible for managing BridgePort Networks' end-to-end whole product solutions. Mr. Carothers has over 15 years of experience in marketing, sales, business development and product management for telecommunications solutions. Prior to BridgePort Networks, he Co-founded The Telnecity Group, a broadband wireless consulting group and served as Secretary to the board of the WiMAX Forum. Mr. Carothers served as Vice President of Business Development at Malibu Networks and served as Vice President of Marketing at Adaptive Broadband, formerly California Microwave. He lead Adaptive Broadband's successful launch of AB-Access, the world's first 5 GHz point-to-multipoint broadband wireless access system. He held various sales and marketing management positions at Sciforma, a leading developer of Project Management and Process Management software. Mr. Carothers holds a Bachelors of Science in Business Administration from California State University with a minor in Computer Technology.

Mr. Larry Timlick has been the Chief Financial Officer and Director of Elevation Capital Corp. since December 13, 2012 and serves as its and Corporate Secretary. Mr. Timlick has been President of Triplet Management since December 2016. He served as Vice President of Western Canada at Avaya since September 2014 to November 2016. He served as the Regional Sales Manager at Arista Networks since November 2011 until Aug 2016. Mr. Timlick served as Vice-President of Major Accounts, Western Canada at Avaya Inc. He served as the Territory Manager for Aruba Networks since August 2009 until February 2011 and as President of Triplet Management since August 2004 until July 2010. He served as the Chief Financial Officer and Corporate Secretary of Kensington Court Ventures Inc. until April 30, 2013. He was a Consultant with Triplet Management from August 2004 to 2009. He served as Vice President of Corporate Planning for The Kingsway Group of Companies is a multi-faceted corporate vehicle for real estate investment and development throughout North America since June 2006. He served as the President of CounterPath Solutions Inc. (Formerly Xten Networks, Inc.) from June 17, 2005 to September 7, 2005 and its Principal Executive Officer until September 2005. Mr. Timlick served as Corporate Secretary of Stage Capital Inc. from September 2006 to December 2008, Vice President of Marketing for Green Wing Energy Management from June 2005 to May 2006 and Regional Western Manager and Vice President of Cisco Systems Inc. from April 1991 to June 2004. He joined Aruba Networks in August 2009 as a Territory Manager. Mr. Timlick has extensive knowledge of the enterprise and service provider markets with over 30 years of technical sales and management experience. He has also held management positions with AT&T Canada and Telex/Tulsa Computer Products. He served as a Co-Chairman of CounterPath Corporation. He has been an Independent Director of CounterPath Corporation since June 17, 2005. He serves as a Director at Para Resources Inc. He has been an Independent Director at Legion Metals Corp. since March 30, 2017. Mr. Timlick serves as a Director at Glance Technologies Inc. He has been Member of Advisory Board at ProSmart Enterprises Inc. since August 2017 and Block One Capital Inc. since December 4, 2017. He served as a Director of Sora Capital Corp. from November 03, 2015 to June 24, 2017. He joins Paul Reinhart, Greg Hope and Fred Tajada on the board. He served as a Director of Para Resources Inc. (Kensington Court Ventures Inc) since April 13, 2010. He served as a Director of Stage Capital Inc. since September 2006 and CounterPath Solutions Inc. since June 17, 2005. He served as a Director of Trueclaim Exploration Inc.
