Mr. Stephen J. Jones, also known as Steve, has been the Chief Executive Officer and President of Covanta Holding Corporation since January 2015. Mr. Jones served as Senior Vice President of Air Products & Chemicals, Inc. since 2008 and served as its China President. Mr. Jones served as Senior Vice President, General Manager of Tonnage Gases, Equipment and Energy and China President at Air Products Singapore Pte. Ltd. He served as the President of strategic development - China at Air Products & Chemicals Inc. since August 29, 2011 and served as its General Manager of Tonnage Gases Equipment & Energy since March 2009. Mr. Jones served as an Associate General Counsel and Vice President of Air Products & Chemicals since January 2007 and also served its General Counsel and Secretary from October 1, 2007 to March 24, 2009. He served as the Vice President and General Manager of Industrial Chemicals Division for Air Products & Chemicals Inc. since 2003. He had been responsible for the methylamines, higher amines and polyurethane intermediates businesses on a global basis. Mr. Jones joined Air Products as a Lawyer in 1992 and served in the Law Group for several years. He served Air Products Energy and Process Industries Division as California Area Manager for tonnage gases, where he was responsible for its hydrogen activities on the West Coast. He has been a Director at Covanta Holding Corporation since March 5, 2015. He received a B.S. degree in economics from Bloomsburg University, an M.B.A. with a concentration in finance from Temple University and a law degree in 1989 from the University of Pennsylvania. In 2007 he attended the Insead Advanced Management Program in Fontainebleau, France.

Mr. Michael Joseph deCastro has been an Executive Vice President of Supply Chain at Covanta Holding Corporation since July 13, 2015. Mr. deCastro has been Fulfillment Director of Performance Materials Division at Air Products and Chemicals, Inc. since October 2014. and served as its Director of Global Operations Strategic Development for Air Products from January 2013 to September 2014. Mr. deCastro served as the Chief Executive Officer of Advanced Disposal Inc. (also known as Interstate Waste Services, Inc) from July 2010 to September 2012. He joined Air Products in 2006 and served as various operations capacities including director of operations-Americas Merchant Gases from 2007 to June 2010. From 1989 to 2005, Mr. deCastro was employed by American Ref-Fuel Company at Msw Energy Holdings LLC. and served as its Vice President of Operations. He received a B.S. degree in mechanical engineering from the University of Alabama in 1984 and an M.B.A. from Boston University in 2002.

Mr. Timothy J. Simpson has been an Executive Vice President of Covanta Holding Corporation since December 2007 and also has been its General Counsel and Secretary since October 5, 2004. Mr. Simpson served as Senior Vice President, General Counsel and Secretary of Covanta Energy Corporation. He served as Senior Vice President of Covanta Holding Corporation since October 2004. He served as Senior Vice President at Covanta Holding Corporation from October 5, 2004 to December 2007. He served as Vice President, Associate General Counsel and Assistant Secretary of Covanta from June 2001 to March 2004. He served as Senior Vice President, Associate General Counsel and Assistant Secretary of Covanta Energy Group, Inc. Mr. Simpson joined Covanta in 1992 and has held various positions with Covanta and its subsidiaries in the waste- to-energy business. Mr. Simpson holds a Bachelor of Arts in History from St. Lawrence University located in Canton, NY. He earned his Juris Doctor degree from the University of Notre Dame in South Bend, IN.

Mr. Bradford J. Helgeson has been the Chief Financial Officer and Executive Vice President at Covanta Holding Corporation since November 27, 2013. Mr. Helgeson served as Vice President of finance of Waste Services Inc. since June 1, 2004 and also served as its Treasurer since December 1, 2005. He served as an Associate in Investment Banking of Lehman Brothers, where he focused on working with clients in the industrial sector, including the solid waste industry. Before joining Lehman Brothers in 2000, Mr. Helgeson has three years of investment banking experience at Donaldson, Lufkin & Jenrette. Mr. Helgeson graduated magna cum laude with an A.B. degree in economics and history from Bowdoin College in Brunswick, ME.

Mr. Derek W. Veenhof is Executive Vice President of Asset Management at Covanta Holding Corporation in 2015. He was Executive Vice President of Covanta Holding Corporation's Sustainable Solutions division since November 2013. Mr. Veenhof served as Senior Vice President of Covanta 4Recovery L.P., from 2011 to 2013. From 2007 to 2011, Mr. Veenhof served as Vice President of TransRiver Marketing, a Covanta Energy subsidiary, and managed contract efforts in recycling and waste. From 2002 to 2006, Mr. Veenhof was Covanta Energy's New York Metro Area Manager. Prior to Covanta, Mr. Veenhof worked in the environmental sector as a project scientist and consultant and was a research associate with Ontario Agricultural College, part of the University of Guelph and Canada's leading agricultural research college. He is a published lead author and co-author of several peer reviewed research papers on the topics of land use, environmental impacts and waste management. Mr. Veenhof holds both undergraduate and graduate (with distinction) degrees in Environmental and Agricultural Sciences from the University of Guelph in Ontario, Canada.

Dr. Paul Gilman, Ph.D. has been the Chief Sustainability Officer and Senior Vice President of Covanta Holding Corporation since 2008. Mr. Gilman has also been the Chief Sustainability Officer and Senior Vice President of Covanta Energy, LLC since April 2008. He joined Covanta in 2008. Mr. Gilman served as Assistant Administrator for Research and Development at the U.S. Environmental Protection Agency from 2002 to 2004 and held senior policy positions in the public and private sectors, including positions at the National Academy of Sciences, the U.S. Department of Energy and the White House Office of Management and Budget. Prior to joining EPA, he was Director for Policy Planning at Celera Genomics. He served as Founding Director of the Oak Ridge Center for Advanced Studies, a collaborative effort of several prominent universities and the Oak Ridge National Laboratory focused on societal issues with scientific and engineering content. Mr. Gilman was previously the Executive Director of life sciences and agriculture divisions of the National Research Council of the National Academies of Sciences and Engineering. In addition, Mr. Gilman has held several senior government positions, including Associate Director of the White House Office of Management and Budget (OMB) for Natural Resources, Energy and Science and Executive Assistant to the Secretary of Energy for technical matters. He has 13 years of experience working on the staff of the United States Senate in several capacities, including as a Congressional Science Fellow sponsored by the American Association for the Advancement of Science. Dr. Gilman received both Bachelor of Arts and Master of Arts degrees in Earth and Planetary Sciences from Johns Hopkins University in Baltimore, MD. He earned his Ph.D. in Ecology and Evolutionary Biology, also from Johns Hopkins University.

Mr. Paul E. Stauder has been President of Covanta Environmental Solutions at Covanta Holding Corporation since December 2015. Mr. Stauder oversees the management and growth of this newly-formed subsidiary that provides companies with comprehensive environmental services through a vast, nationwide network of material processing and Energy-from-Waste (EfW) facilities. Mr. Stauder joined Covanta in 1997 and served as its regional vice president of the Mid-Atlantic region, regional vice president of operations for Covanta's independent power provider plants, business manager for Covanta Fairfax and in corporate finance. Mr. Stauder served as senior vice president of business management with primary responsibility for all business aspects involving Covanta's North American EfW facilities. He has more than 25 years' experience in waste and environmental services, construction and energy generation. Mr. Stauder earned a Bachelor of Science degree in civil engineering from the University of Rhode Island and a Masters in Business from Pepperdine University.

Mr. Matthew R. Mulcahy has been the Head of Corporate Development and Executive Vice President at Covanta Holding Corporation since March 2012 and January 16, 2017 respecitvely. Mr. Mulcahy served as Senior Vice President of Covanta Holding Corporation from March 2012 to January 16, 2017. He has been with Covanta since 1990, as Covanta Energy's Senior Vice President, Development for the Americas. Mr. Mulcahy holds a Bachelor of Arts degree in political science from Boston College and a Master of Business Administration with a concentration in finance from Vanderbilt University's Owen Graduate School of Management in Nashville, TN.

Mr. Manpreet S. Grewal has been the Chief Accounting Officer and Vice President of Covanta Holding Corporation since March 2, 2017. Mr. Grewal served in a variety of positions with Tyco International Plc since 2003, which merged with Johnson Controls International Plc in September 2016 with Johnson as the surviving company. He served as Senior Global Director of Internal Audit at Tyco International since January 2014 and at Johnson since September 2016, where he led the global financial and operational audit team. From July 2012 to December 2013, he served as Senior Manager of Accounting Research & Shared Processes at Tyco International. From July 2013 to December 2013, he also served as (Interim) Finance Controller at Tyco / Adt South Africa. He served as Senior Manager of Financial Planning & Analysis at Tyco International from May 2010 to June 2012. Mr. Grewal holds Certified Public Accountant, Certified Management Accountant and Certified Fraud Examiner Designations. Mr. Grewal graduated with a Bachelor's of Commerce Degree in Finance and Accounting from Punjabi University Patiala in Punjab, India.
