Mr. Thomas C. Lauer serves as President of Fidus Investment Corporation. Mr. Lauer is Partner of Fidus Investment Advisors, LLC and serves as its Manager. He has more than 25 years of experience investing debt and equity capital in middle and lower-middle market companies. Mr. Lauer was Managing Partner of Fidus Capital, LLC from 2008 to June 2011. Mr. Lauer was Managing Partner of Fidus Partners, LLC, from 2008 to June 2011. From 2004 to 2008, Mr. Lauer served as Managing Director of Chicago Office at Allied Capital Corporation from 2004 to 2008. Prior to joining Allied Capital Corporation, Mr. Lauer worked with the Global Sponsor Finance Group of GE Capital, the financial services unit of General Electric, the Leveraged Capital Group at Wachovia Securities and its predecessor, First Union Securities, Inc and the Platform Components Division of Intel Corporation. He serves as Director of Fidus Investment Corporation. Mr. Lauer served on the Boards of several national franchise companies and has developed particular expertise working within the healthcare, business services and franchising industries. Mr. Lauer has an M.B.A. and a B.B.A. from the University of Notre Dame's Mendoza College of Business.

Ms. Shelby E. Sherard, CPA has been Chief Financial Officer and Secretary at Fidus Investment Corporation since June 2, 2014 and its chief compliance officer since August 11, 2014. Ms. Sherard serves as a Partner at Fidus Investment Advisors, LLC. She joined the Fidus Investment Advisors in 2014. Ms. Sherard served as Financial Executive at Prologis, Inc., first serving as the Chief Financial Officer, Americas and then overseeing the U.S. tax department. she served as the Finance Director for Chicago Union Station Development Company, LLC. Ms. Sherard served as the Chief Financial Officer of Grubb & Ellis Realty Advisors, Inc. from October 2005 to December 29, 2006 and Principal Accounting Officer until December 29, 2006. Ms. Sherard served as the Executive Vice President and Chief Financial Officer of Grubb & Ellis Co. from October 12, 2005 to December 29, 2006. She served as Principal Accounting Officer of Grubb & Ellis Co. From 2002 to 2005, Ms. Sherard served as the Chief Financial Officer and Senior Vice President of Sitestuff, Inc. She joined SiteStuff from Morgan Stanley's Investment Banking Division, where she served Morgan Stanley's clients on a variety of M&A transactions in the power & utilities, real estate and retail industries. From 2000 to 2002, Ms. Sherard served as an Associate in the Investment Banking division at Morgan Stanley, where she focused on Global Power & Utilities, Real Estate and Mergers and Acquisitions. Prior to Morgan Stanley, she spent four years at LaSalle Partners where she was responsible for financial projections and analyses, investor relations and M&A execution. From 1994 to 1998, Ms. Sherard served in the Corporate Finance Group at La Salle Partners Incorporated (now Jones Lang La Salle Incorporated) and also served as a Financial Analyst until her promotion to Associate in 1996. Ms. Sherard has more than 20 years of finance experience. Ms. Sherard is a CPA. She holds an M.B.A. with an Accounting and Finance concentration from The Wharton School and a bachelor's degree from Northwestern University and a Master's degree in Tax from the University of Illinois.

Mr. Edward H. Ross, also known as Ed, serves as the Chairman and Chief Executive Officer of Fidus Investment Corp. Mr. Ross serves as Partner, Chief Executive Officer and Manager at Fidus Investment Advisors, LLC. Mr. Ross serves as a Managing Partner at Fidus Capital, LLC and co-founded it in 2005. He served as a Managing Director in the Private Finance Investment Group and the Head of the Chicago office at Allied Capital Corporation from 2002 to 2005. He also served as Managing Director of Allied Capital Corporation. He joined Allied Capital in 2002. Prior to joining Allied Capital, he co-founded and served as a Managing Director of Leveraged Capital at Wachovia Securities (previously First Union Securities) from 1998 to 2002. He also held management positions in First Union's Leveraged Finance Group from 1994 to 1998. Mr. Ross has more than 25 years of debt and equity capital investing experience with lower middle-market companies. Mr. Ross earned an M.B.A. from the University of Notre Dame's Mendoza College of Business and a B.A. from Southern Methodist University.
