Mr. Ronald J. Kramer, also known as Ron, has been the Chief Executive Officer of Griffon Corporation (???Griffon???) since April 2008 and its Vice Chairman of the Board since November 2003. Mr. Kramer is the Director at The Ames Companies, Inc. From 2002 to March 2008, Mr. Kramer was President and a Director of Wynn Resorts, Ltd., a developer, owner and operator of destination casino resorts. From 1999 to 2001, Mr. Kramer was a Managing Director at Dresdner Kleinwort Wasserstein, an investment banking firm, and predecessor Wasserstein Perella & Co. Mr. Kramer holds a BS degree from the Wharton School of the University of Pennsylvania and an MBA from New York University.

Mr. W. Christopher Durborow, also known as Chris, serves as Chief Accounting Officer, Vice President and Controller of Griffon Corporation. Mr. Durborow served as Senior Vice President and Controller of DRS Technologies, Inc since April 2012 and also served as its Vice President and Assistant Controller since August 2000. Mr. Durborow joined DRS Technologies, Inc. in 1999 as Manager of Financial Planning and Analysis. Prior to joining DRS, he served at RJR Nabisco, Inc. in manufacturing operations and at Arthur Anderson & Co. in its audit and assurance practice. He is a Certified Public Accountant. He holds a Bachelor of Science degree in Accounting from Fairfield University and an MBA in Finance from Fordham University.

Mr. Seth L. Kaplan has been Senior Vice President, General Counsel and Secretary of Griffon Corporation since May 17, 2010. Mr. Kaplan is a Vice President at The Ames Companies, Inc. From July 2008 to May 2010, Mr. Kaplan served as an Assistant General Counsel and Assistant Secretary at Hexcel Corporation, a manufacturer of advanced composite materials for space and defense, commercial aerospace and wind energy applications. Mr. Kaplan also served as Senior Corporate Counsel and Assistant Secretary of Hexcel from 2000 to July 2008; Associate at the law firm Winthrop Shaw Pittman LLP (formerly Winthrop, Stimson, Putnam & Roberts Pillsbury) from 1994 to 2000.

Mr. Brian G. Harris has been the Chief Financial Officer and Senior Vice President of Griffon Corporation since August 1, 2015. Mr. Harris served as Chief Accounting Officer of Griffon Corporation from July 2009 to July 2015 and as its Vice President & Controller from November 2012 to July 2015. He is the Director of The Ames Companies, Inc. From May 2005 to June 2009, Mr. Harris was Assistant Controller of Dover Corporation, a diversified global manufacturer (NYSE: DOV). Mr. Robert F. Mehmel, also known as Bob, has been the President and Chief Operating Officer of Griffon Corporation since December 10, 2012. Mr. Mehmel serves as Senior Corporate Executive with significant management experience in defense, aerospace and high-technology fields. He is the Director of The Ames Companies, Inc. He served as the Chief Operating Officer of DRS Technologies Inc. since May 16, 2006 and also served as its President since August 2008. He joined DRS Technologies Inc. and served as an Executive Vice President, Business Operations and Strategy since January 2001 and Executive Vice President from May 16, 2006 to August 2008. At DRS, Mr. Mehmel was responsible for the review and analysis of corporate-wide operational activities, as well as the development and implementation of strategic planning initiatives to ensure the achievement of long-term business objectives. He has over 20 years of experience in corporate development, finance and strategic planning in the aerospace, defense and high-technology industries. Before joining DRS Technologies, he held management and Executive Positions with Jabil Circuit Inc., Loral Corp., and Lear Siegler Inc. from April 1997 to 2000. Earlier, he held various positions in divisional and corporate financial management with Lockheed Martin Corp. Mr. Mehmel serves at L-3 Communications Holdings Inc. He served as a Director of Corporate Development of Jabil Circuit Inc. from July 2000 to January 2001. He has been a Director of Cubic Simulation Systems, Inc. since 2000. He served as a Director of United Industrial Corporation from 2004 to November 2007. Mr. Mehmel holds a Bachelor of Business Administration degree in Accounting from Iona College.

Mr. Kevin J. McSweeney has been the Chief Executive Officer and President of Telephonics Corporation since September 30, 2016. Mr. McSweeney has over 30 years of experience in the defense industry. Mr. McSweeney served as Chief Operating Officer of Telephonics Corporation from January 18, 2012 to September 30, 2016 and served as its Executive Vice President from February 2012 to September 30, 2016 and President of Command Systems. From May 2004 to January 2012 he served as Vice President and General Manager of Telephonics Radar Systems Division. Prior to joining Telephonics in 2004, he spent sixteen years with Lockheed Martin in a variety of management roles, including Software Program Manager, Vice President of Maritime Safety, Security and Surveillance and Vice President of Technical Operations. Before joining Lockheed Martin, he held a variety of software and engineering roles with Grumman Aerospace including Software Engineer. He has been Vice Chairman of Mahindra Telephonics Integrated Systems Limited since February 10, 2017. He completed course work in executive management at Harvard Business School and is a Massachusetts Institute of Technology (MIT) Seminar XXI Fellow. Mr. McSweeney holds a B.S. degree in Engineering and Management from Clarkson University and an M.S. in Computer Science from NYU Polytechnic.

Mr. Steven M. Lynch, also known as Steve, has been the President of Clopay Building Products Company, Inc. at Griffon Corporation since January 2009. From January of 2001 to December of 2008, Mr. Lynch served as Vice President of Marketing for Clopay Building Products Company. Prior to joining Clopay, Mr. Lynch spent nine years with Newell Company (NYSE: NWL) in various sales and marketing assignments. Before Newell, he spent eight years with Chicago based United States Gypsum (NYSE: USG).

Mr. Michael A. Sarrica, also known as Mike, has been the President of ClosetMaid Corporation since October 2, 2017. Mr. Sarrica has been Senior Vice President of Operations at Griffon Corporation since January 2017. Mr. Sarrica served as the President of The AMES Companies, Inc. from January 2014 to January 5, 2017 and served as President of Ames True Temper Inc. Mr. Sarrica served as the President of Network and Imaging Systems (Nis) Group at DRS Technologies, Inc. Mr. Sarrica served as Vice President and General Manager at DRS Tactical Systems Inc. Mr. Sarrica served a variety of management and leadership roles at DRS from 1994 to January 2014. He is a Mechanical Engineer possessing the credentials of a Designated Airworthiness Representative, obtained from the FAA and Florida Atlantic University specializing in Structural Design and Material Science. He has more than 25 years of defense industry experience. Mr. Sarrica has worked in the areas of C4I, developing ruggedized Battlefield Digitization Systems for both the U.S. Army and the United Kingdom Ministry of Defence. His broad base of experience also includes work on the International Space Station and Space Shuttle, Structural Flight hardware development and Terrestrial and Celestial Communications. Mr. Sarrica is a member of the Board of Executives for the Melbourne Airport Authority and a member of the local Chamber of Commerce.

Mr. Ronald E. Zinco, also known as Ron, has been the President at Clopay Plastic Products Company, Inc. since October 2017 and served as its Chief Operating Officer since 2016 until 2017. Mr. Zinco has been with Clopay Plastics for 30 years having held leadership roles in sales and marketing, quality, operations and regional management. He held various positions within the Clopay Plastics organization, including Quality manager; Key Account manager for the P&G global business; Director of Operations, North America; Vice President of Clopay Europe; Vice President and General Manager of North America; Vice President of Strategic Business; Vice President of Global Sales & Marketing; and Senior Vice President and Chief Commercial Officer.

Mr. Mark R. Traylor has been President of The Ames Companies, Inc. since January 05, 2017 and has been its Chief Operating Officer since 2015. Mr. Traylor serves as Principal Executive Officer at The Ames Companies, Inc. Mr. Traylor served as Chief Operating Officer of The Ames Companies, Inc. from 2015 to December 2016. From October 2011 to December 2015, Mr. Traylor was President of Southern Patio, a division of AMES consisting of its pots and planters business and its Australian operations. Prior to 2011, Mr. Traylor was a founder, partner and/or executive of a variety of businesses in the pots and planters, patio furniture, lawn and garden and hardware markets.
