Ms. Diane Faro, also known as Vogt, has been Chief Executive Officer of JetPay Corporation since May 05, 2016. Ms. Faro serves as Board Advisor of FrontStream Payments, Inc. As a financial services industry consultant, she utilizes her strong payments expertise and skills to advise leading payment industry companies, including FrontStream Payments, in developing strategy and growing revenues. She has over 30 years of experience in financial services and electronic payments processing industry. She began at First Data as the Vice President of Operations and worked in other divisions. With the achievements and dedication she displayed, soon earned her way as the President of First Data Global Merchant Services. She led the efforts in building strategic business partnerships with Global National customers in vertical markets such as Supermarket, Petroleum, Quick Service Restaurants, Retail and Non Face-to-Face. She has been a Director of JetPay Corporation since April 1, 2014. Ms. Faro is an executive leader with a record of achievement in delivering financial performance and driving new strategic directions by enhancing sales, marketing, product development and operations.

Mr. Bipin C. Shah founded JetPay Corporation in November 12, 2010 and has been its Chairman of the Board since its inception. Mr. Shah served as Chief Executive Officer of JetPay Corporation from November 12, 2010 to May 05, 2016. He served as Chairman of the Board of Directors and Chief Executive Officer of Universal Business Payment Solutions Acquisition Corporation since November 12, 2010 and served as its President. He served as the President and Chief Executive Officer of ShahDill, Inc. and Gensar Holdings, Inc. From 2000 to 2005, he served as the Chief Executive Officer of Genpass, Inc. where he led the development of the MoneyPass, a surcharge-free ATM network, as well as a payroll debit card used by several large payroll companies. From 1992 to 1996, he served as the Chief Executive Officer of Gensar, Inc. During his tenure at Gensar, Inc., he led development of the ???Tip Management System??? along with other technology enhancements. From 1980 to 1991, Mr. Shah was employed by CoreStates Financial Corporation and its predecessor, Philadelphia National Bank, ultimately serving as Vice Chairman and Chief Operating Officer. While at CoreStates, he oversaw the acquisitions of seven ATM and point of sale businesses and was active in the development of several products for the financial services industry's payments infrastructure, including the Money Access Center network, the introduction of debit to the point-of-sale, cash-back and pay-at-the-pump. Earlier in his career, he served as Senior Vice President at the Federal Reserve Bank of Philadelphia and a Senior Vice President of American Express, as well as the President of Vertex Division of MAI. He served as the Chairman and Director of Genpass, Inc. He has been Director of JetPay Corporation since November 2010. Mr. Shah holds a Bachelor of Arts in Philosophy from Baldwin-Wallace College and a Masters in Philosophy from the University of Pennsylvania.

Mr. Michael D. Collester has been Chief Operating Officer of JetPay Corporation since August 23, 2016. Mr. Collester served as Chief Executive Officer and President of Strategic Partners Division at JetPay Corporation. He served as President of ACI Merchant Services, Inc.

Mr. Peter B. Davidson, also known as Pete, has been the Chief Administrative Officer and Corporate Secretary of JetPay Corporation (formerly, Universal Business Payment Solutions Acquisition Corporation) since November 2010 and served as its Chief Marketing Officer. Mr. Davidson served as the Principal Financial Officer, Principal Accounting Officer and Secretary of Universal Business Payment Solutions Acquisition Corporation and as its Chief Administrative Officer since November 12, 2010. He served as the Chief Executive Officer of Brooks FI Solutions LLC, an entity that provides retail banking and payment solutions that he founded in 2006. Immediately prior to founding Brooks FI Solutions, he served as an Executive Vice President of Genpass, Inc. While at Genpass, Inc., he was also involved in the development and implementation of MoneyPass, a surcharge-free ATM network. Earlier in his career, Mr. Davidson served as President of Speer & Associates, leading domestic and international consulting engagements in the retail banking and electronic funds transfer industry; Executive Vice President at HSBC USA and President of HSBC Mortgage, where he was responsible for managing its consumer businesses; and Senior Vice President at CoreStates Financial, where he managed the credit card and consumer lending businesses and developed remote banking strategies. He served as a Director of Universal Business Payment Solutions Acquisition Corporation. He served as a Director of JetPay Corporation. He serves as Vice Chairman of JetPay Corporation. Mr. Davidson holds a B.S. in Economics from the Wharton School of the University of Pennsylvania in Finance and Accounting and an MBA from Widener University in Finance.

Mr. Paul Compton has been an Executive Vice President and National Sales Manager of Jetpay Payments at JetPay Corporation since March 2015. Mr. Compton has built and driven highly successful Sales and Sales Teams in the credit/debit card processing industry for more than 15 years. He was a Major Factor in the early growth at Heartland Payments as it evolved into a large publicly traded company, where he built successful Independent Sales Organization (ISO), Value Added Reseller (VAR), and Financial Institution programs. He served as an Executive Vice President of Sales of the EVO Platinum Services Group, where he developed several large sales channels for EVOs, ISOs, VARs, and Financial Institutions. Mr. Compton graduated summa cum laude with a BBA degree in Business Management in 1998 from Oklahoma Christian University.

Mr. Ralph A. Bianco has been Executive Vice President and General Manager of Prepaid Card Programs at JetPay Corporation since February 2014. Mr. Bianco served as the Chief Operating Officer of Adaptive Payments, Inc. He has over 39 years experience in payments, banking and engineering consulting services. Prior to Adaptive Payments, he was Senior Vice President, Retail Payment Solutions for U.S. Bank serving as General Manager of US Bank's industry leading prepaid card business with direct end to end responsibility for this $100+ million business line. Prior to that he was Senior Vice President at EFT processor Genpass Technologies which was acquired by US Bank in 2005. He served as Senior Vice President of Card Solutions at Genpass. Mr. Bianco also served as Senior Vice President, Global Product Management & development at MasterCard International for seven years and senior vice president at acquirer/acquirer processor Gensar Technologies, now Chase-Paymentech and was part of the startup management team that launched the Wright Express Commercial fleet credit card. began his career as a naval architect and marine engineer. Mr. Bianco graduated from The City College of New York with an electro-mechanical engineering and completed the Executive Education Program at the University of Virginia's Darden Graduate School of Business.

Ms. Patricia Disanto, also known as Pat, serves as Senior Vice President of Card Services Division of JetPay Corporation. In this role, Ms. Disanto is responsible for building the prepaid card programs for both JetPay's internal customer channel, as well as nationwide direct-to-consumer programs. Ms. DiSanto has over 20 years of experience in the payments industry. Her background includes expertise in business development, account management, marketing, product development and program management. Prior to joining JetPay, she held the position of Vice President of Prepaid Client Relations for U.S. Bank, leading a management team responsible for program launch and portfolio management for financial institutions, government agencies, independent sales organizations, employers and payroll processors. Before joining U.S. Bank, she served as Vice President of Business Development for Genpass Technologies where she was responsible for all client related activity such as, marketing, customer communication, and the coordination of all support teams ' Operations, Customer Service, Legal/Compliance, Product and Marketing. She joined Genpass from the agency side ' CFM Direct ' where she led business development and strategic initiatives for financial services and pharmaceutical clients. Prior to CFM Direct, she held several key management positions: marketing strategy and execution for the three largest joint venture portfolios at Providian Corp's insurance division; director of marketing and promotions for Silo Inc.'s financial services division; manager of customer-marketing and cardholder communications for CoreState's Bank of DE credit card portfolio. A native of Philadelphia, she received a BS in Marketing from Pennsylvania State University.

Mr. Thomas W. Tesmer, also known as Tom, has been Chief Operating Officer of Jetpay Payment Services at JetPay Corporation since October 2015. Mr. Tesmer has particular expertise in high-volume transaction applications relating to the electronic funds transfer industry and point-of-sale payments. He has been in the financial transaction processing industry for over 30 years and has functioned as a start-up entrepreneur behind four highly successful processing ventures. He served as Chief Operating Officer of Calpian Commerce at Calpian, Inc. Mr. Tesmer served as Senior Vice President of processing with ITC Financial Services, a pioneer in electronic payment solutions using stored value cards. He served as Chief Technical Officer of Pipeline Data, Inc. since July 6, 2004. He served as President of Symmetrex Inc. He served as Director of ASP creation activities with Symmetrex Transaction Processing Solutions. He served as Interim Chief Executive Officer of Digital Courier Technologies Inc. from July 25, 2002 to October 8, 2002. He served as Senior Vice President of Systems for M2 Systems Corporation from November 2001 through July 2002. Mr. Tesmer Founder and served as President and Chief Executive Officer of Access Services Inc., a credit card processing corporation and also Founder of TransNet (now Paymentech) and served as its President, a credit card processing venture. As Vice President of POS Technologies for the HONOR ATM Network (now part of the STAR network), he implemented and managed the HONOR ATM/POS processing division - providing 24X7 processing for over 75,000 merchants nationwide. He served as Executive Vice President of the POS Technology Division of Southeast Switch, Inc. (HONOR), the precursor to STAR. He served as Senior Vice President of Technology and Executive Vice President of Front End Systems for Heartland Payment Systems, Inc. Mr. Tesmer has broad experience in ATM, switch and POS technologies and companies, including having an instrumental role in the successful development and roll-out of one of the nation's first ATM systems for Seattle First National Bank, He served as Chief Architect and Technical Architect of HONOR ATM switch. Mr. Tesmer has also held prominent engineering and management positions with Docutel Corp., Unisys Corp. and TRW Space Systems. He served as Chairman of the Board of Q Comm International Inc. since April 24, 2006. Over his 40 year history, he has brought creativity and innovation to various start-up and leadership roles, including positions as technical architect. He serves as Director for POS Technologies. He served as a Director of Q Comm International Inc. since June 2004. Mr. Tesmer served as a Director of TransAxis Inc.'s (formerly Digital Courier Technologies Inc.) until November 4, 2002. Mr. Tesmer served as a Director of Instapay Systems Inc. from October 9, 2003 to April 7, 2005. He also served as a Director of Heartland Payment Systems, Inc. He served as Director of HONOR ATM switch.

Mr. Michael J. Pires serves as the Chief Executive Officer and President of HR & Payroll Division at JetPay Corporation. Mr. Pires has been Chief Executive Officer at A D Computer Corporation since January 2016. Mr. Pires Co-founded HRinterax, Inc. in 2001 and serves as its Chief Executive Officer. In this capacity, Mr. Pires is responsible for setting the HRinterax's strategic direction, overseeing new product / service development and overseeing the execution of the vision of HRinterax. Mr. Pires held a number of senior roles during his six years with ADP - most recently as the Division Vice President of Business Development. While at ADP, Mr. Pires helped to define and ultimately establish the HR solutions business for ADP's Small Business Services, leading them to new sales growth of greater than 20 percent annually and overall existing client base penetration of more than 40 percent for HR solutions. He also led the development of numerous key strategic partnerships and ADPs payroll acquisition team. He has a track record of successfully scaling businesses, defining new markets and business models, acquiring companies, developing talent, designing, launching and improving products and expanding into new adjacencies and markets. Prior to founding HRinterax, Inc. Mr. Pires held leadership positions in boutique HR Consulting and Staffing Firms as well as Robert Half International one of the worlds largest staffing management companies where he lead successful HR, outsourcing and related project engagements and executive placements at several Fortune 1000 companies including; Pain Webber/UBS Warburg, Citigroup, CIGNA Healthcare, Oxford Health Plans, Chase Manhattan Bank, Roche Pharmaceuticals, Bayer Pharmaceuticals, Pitney Bowes, Pfizer and Unilever among others. He holds a B.S. in Marketing Communications from Southern Connecticut State University.

Mr. Gene M. Valentino has been the Chief Strategy Officer for Payment Processing Operations at JetPay Corporation since October 11, 2016. Prior to this, Mr. Valentino founded CollectorSolutions, Inc. (CSI) in 1999 and served as its Chief Executive Officer. He has expertise and depth in the fast-growing government, utilities. Mr. Valentino served as a Commissioner of Escambia County, Florida, from 2006 to 2014. Mr. Valentino also obtained one of the first rural cellular telephone company licenses from the Federal Communications Commission and was president of Cellular 2000 Telephone Company (known as CellularOne) in central California.
