Mr. Paul S. Pearlman serves as Managing Partner of Kramer Levin Naftalis & Frankel LLP. Mr. Pearlman's practice area includes Creditors' Rights and Bankruptcy. Mr. Pearlman focuses on corporate finance matters, advising clients on bank financings and securities offerings for publicly and privately held entities, including financing related to mergers and acquisitions transactions, such as leveraged buyout. His leveraged buyout experience over the past 15 years has included representing LBO sponsors, management and providers of debt financing. Among his LBO transactions are the acquisitions of MicroWarehouse, The Ohio Mattress Company, Twin Laboratories, Inc., Wells Aluminum Corporation and Rival Manufacturing Corporation. Mr. Pearlman is also involved in its Restructuring and Bankruptcy practice. His recent representations include the prepackaged bankruptcy of Kash N' Karry Food Stores, Inc., and the representation of creditors' committees or individual large creditors in the SLM International, Inc., Marvel Entertainment, MobileMedia and Paging Network bankruptcies. He also advised Hills Stores in connection with its recent sale to Ames Department Stores. Mr. Pearlman holds a BBA from George Washington University and JD from St. John's University.

Mr. Jeffrey S. Trachtman is a Partner at Kramer Levin Naftalis & Frankel LLP. Mr. Trachtman is a litigation partner who focuses on complex bankruptcy and mass tort litigation and also has experience in such diverse civil practice areas as securities fraud, intellectual property, administrative law, and constitutional law. Mr. Trachtman has been one of the principal litigators on behalf of breast implant tort claimants in the Dow Corning bankruptcy, helping to fashion and obtain judicial approval for a $3.17 billion settlement. He has played active roles in bankruptcy or class action litigation involving asbestos, diet drugs, and other products. He also helped lead a team of lawyers that obtained a $90 million recovery in a contract and securities fraud action arising out of a failed merger between Gulf Oil and Cities Service Corp. Mr. Trachtman is Chair of Kramer Levin's Pro Bono Committee and has litigated extensively in the areas of Social Security disability and civil rights and civil liberties. He has been a regular presenter at the annual Law Firm Pro Bono Conference of the Pro Bono Institute and has written articles and commentary on legal and public policy issues for such publications as The New York Times, The Washington Post, USA Today, Newsday, and The National Law Journal. He holds J.D., cum laude, New York University, 1984 and B.A., New York University, 1981.

Mr. Timothy P. Harkness is employed at Kramer Levin Naftalis & Frankel LLP in the position of Partner. Mr. Harkness is an experienced litigator with a deep background in product liability, securities, professional liability, commercial, and white collar criminal litigation. He specializes in factually complex financial cases. Prior to attending law school, Mr. Harkness had a career in international public relations. As part of his law practice, Mr. Harkness has continued assisting clients with their media relations, helping manufacturing and financial services firms devise media strategies,coordinate litigation and public relations needs, and interact with reporters.

Mr. Robert W. Morris is a Partner at Kramer Levin Naftalis & Frankel LLP. Mr. Morris' practice focuses on patent litigation, patent prosecution and licensing. He is experienced in patent and trade secret litigation matters covering various technologies, such as semiconductor processing, semiconductor memory devices, computer systems, hard drives and liquid crystal displays. For over ten years, Mr. Morris has been trial counsel in numerous patent, trade secret and other commercial litigations relating to semiconductor processing technology, high-technology electronics, computer systems and software, and various other technologies. He also regularly acts as counsel to clients concerning licensing opportunities, patent validity and infringement and patent prosecution. In addition to his extensive litigation experience, Mr. Morris manages complex U.S. and international patent portfolios, while providing overall counseling for the management of intellectual property assets. In this regard, he also provides counseling related to opinion work, intellectual property licensing and product clearances. He holds J.D. from Rutgers University School of Law - Newark in 1995, M.S. in Computer Science and Engineering from University of Texas at Arlington in 1986 and B.S. in Electrical Engineering from Carnegie Mellon University in 1981.

Mr. Jonathan S. Caplan serves as Co-Chair of IP Department at Kramer Levin Naftalis & Frankel LLP. Mr. Caplan served as Partner at Kramer Levin Naftalis & Frankel LLP. Mr. Caplan practices in the area of patent prosecution, litigation and counseling as well as in the area of corporate matters involving the acquisition, sale or licensing of intellectual property rights. Mr. Caplan has significant experience managing all aspects of worldwide utility and design patent portfolios. Mr. Caplan's recent litigation experience includes obtaining favorable resolution for a major telecommunications patent infringement defendant and pending patent litigations in the medical device field and the semiconductor manufacturing field. His prior litigation experience includes patent infringement actions in various United States District Courts and the Federal Circuit in fields such as transdermal patch technology, printing press technology and satellite communications. Mr. Caplan has extensive experience prosecuting patents in the United States and foreign patent offices for numerous clients in all fields of technology. This has included obtaining worldwide patent protection in fields such as semiconductor manufacturing and devices, automotive fuel injection, air bag and anti-lock braking systems, wireless telecommunications, consumer products, financial services and business methods. Another significant aspect of Mr. Caplan's practice is providing counseling to clients on infringement, validity and freedom to operate matters as well as licensing of technology. This also has involved advising corporations with respect to intellectual property issues involved in acquisition and divestiture matters. He holds J.D., cum laude, Temple University, 1993 and B.S.E.E., University of Pennsylvania, 1986.

Ms. Amy Caton is currently employed at Kramer Levin Naftalis & Frankel LLP in the position of Partner. Ms. Caton's practice focuses on the representation of distressed investors, bondholder groups, bank lender groups and creditors' committees in chapter 11 cases and out-of-court restructurings.

Mr. Richard H. Gilden is a Partner at Kramer Levin Naftalis & Frankel LLP. He represents companies from initial funding, through venture financing rounds, and their initial and follow-on public offerings. Thereafter, Mr. Gilden counsels public companies on their disclosure obligations and their boards of directors regarding their fiduciary and other duties. He also has extensive experience in representing technology and other clients in cross border financings and acquisitions. Mr. Gilden's practice encompasses representation of a number of publicly traded companies based in Israel, as well as representation of major investment banks that have led public offerings of companies based in Israel and other countries. He has represented companies in the advertising, public relations, and market research industries in merger and acquisition, joint venture, and other strategic transactions. Prior to joining this firm, Mr. Gilden was a Partner at Brobeck, Phleger & Harrison LLP since 2000. He specialized in corporate law, securities, mergers and acquisitions, and international law. Mr. Gilden was also a Partner at Fulbright & Jaworski LLP from 1987 to 2000, a Partner at Gelberg & Abrams from 1986 to 1987, a Partner at Rosenman & Colin from 1980 to 1986, and an Associate at Rosenman & Colin from 1971 to 1979. Mr. Ronald M. Feiman serves as a Partner at Kramer Levin Naftalis & Frankel LLP. Mr. Feiman served as a Partner with partner with Mayer Brown LLP. Mr. Feiman represents investment companies, investment advisors and investment company independent directors, as well as unregistered domestic and offshore debt and equity funds. His securities experience extends to public and private offerings of equity and debt securities, proxy solicitations, and broker-dealer regulation and compliance. In addition, his corporate experience includes mergers and business combinations; stock and asset acquisitions; and recapitalizations, management buyouts, and finance and venture capital transactions. Mr. Feiman is a member of the Mutual Fund Directors Forum's Advisory Board and is an active speaker on issues concerning investment management and the regulation of financial institutions. He received JD from New York University School of Law in 1977, MBA from New York University in 1977 and B.A., cum laude from Yale University in 1972.

Mr. Jonathan H. Canter is employed at Kramer Levin Naftalis & Frankel LLP in the position of Partner. Mr. Canter's experience covers a wide range of real estate matters including acquisition, sale, financing and leasing of various property types; joint ventures; and counseling on real estate disputes and litigation strategy. His practice includes a concentration and particular expertise in the area of condominiums, emphasizing matters pertaining to the planning, development, formation and structuring, marketing, sale and registration of condominium regimes, including commercial, mixed-use and residential projects, the promulgation of offering plans and related regulatory filings. Mr. George M. Silfen has been Partner of Kramer Levin Naftalis & Frankel LLP since October 2012. Mr. Silfen primarily advises clients on regulatory and compliance matters associated with investment companies, and investment advisory, brokerage, securities custody and transfer agent services. He focuses his practice in the representation of investment companies and their boards of directors, investment advisers, and broker-dealers in connection with the organization and operation of investment products and services, including mutual funds, closed-end investment companies, business development companies, registered hedge funds, wrap accounts, and 401(k) and IRA products. Mr. Silfen is an active member of the investment management community. He was a Partner at Schulte Roth & Zabel LLP since January 27, 2004. He was Articles Editor of the Brooklyn Law Review at Brooklyn Law School. In 2011, Mr. Silfen was named Independent Counsel of the Year by Fund Directions.
