Mr. James S. Mahan, also known as Chip, III, Founded Live Oak Bancshares, Inc. in 2007 and serves as its Chairman of the Board and Chief Executive Officer. He serves as a Director of a number of private companies in the financial services and technology sectors, including Yodlee, Inc., American Consulting Engineers PLC, Midtown Bank & Trust Company, Magnolia Credit Corporation, NetAssets Inc., Hotel Tools Inc. and Thinkologies Inc. Mr. Mahan serves as a Member of the Advisory Board of XAware, Inc. He has been a Director of Visual Sciences, Inc. (formerly Websidestory Inc.), since March 2004. Mr. Mahan is a Board Member at Plexus Capital. He serves as a Director at Payrailz, LLC. He also served as the Chairman of the Board of Cape Fear Bank. Mr. Mahan served as a Director of VirtualBank (Lydian Trust Company) since 2003. He Co-founded nCino, Inc. in 2011 and serves as its Director. Mr. Gregory Bruce Thompson, also known as Greg, has been Chief Operating Officer of Live Oak Bancshares, Inc since January 2016. Mr. Thompson manages the Operations, Information Technology, Human Resources and Strategy functions for Square 1 Bank at Square 1 Financial, Inc. He has been Chief Operating Officer of Live Oak Bank since January 2016. He serves as Managing Director of GB Thompson and Associates LLC. He served as an Executive Vice President of Shared Services at Square 1 Financial, Inc. He has specialized in the financial services industry as a finance professional for over 20 years. His experience includes M&A, due diligence, integration, managing the budget for the nation's fourth largest financial services company, large scale project management, management reporting and Chief Financial Officer responsibilities for P&L businesses as well as support organizations. He managed the enterprise project office (???EPO???), and was integral to strategic planning efforts. He served Wells Fargo until August 2009 to establish a consulting practice focused on improving operating efficiency and effectiveness for small to medium sized financial services companies. Mr. Thompson served as Executive Vice President of Shared Services at Square 1 Financial, Inc. and served its Interim Chief Financial Officer and Executive Vice President. He served as a Director of Greenfield Farms Food, Inc. from March 1, 2011 to June 2012. He served three years in public accounting with Ernst and Whinney in New Orleans before joining First Union National Bank in Charlotte. He has a wide breadth of experience through his work with regional and national banks such as AmSouth, Wachovia and Wells Fargo. He is a Member in good standing with the American Institute of Certified Public Accountants and the Institute of Management Accountants. He is active in his community and served as a Member, Treasurer and Chairman of several non-profit boards, community groups and church governing bodies. Mr. Thompson holds a Bachelor of Science in Accounting from Louisiana Tech University and a Certified Public Accountant in 1986 and a Certified Management Accountant in 1991.

Mr. William L. Williams, also known as Lee, III, has been Executive Vice President of Live Oak Bancshares, Inc since 2013 and serves as Executive Vice President of Live Oak Bank. Mr. Williams served as Owner and Senior Loan Officer of Live Oak Banking Company since 2007. Mr. Williams was primarily responsible for examining, evaluating and recommending the approval of commercial customer applications for extensions of credit at Live Oak Bank. Prior to Live Oak Bank, he worked for Vine Street Financial, a division of BB&T, within the SBA Lending Division and was with Wachovia Bank and Trust for close to 20 years. He has been Vice Chairman of Live Oak Bank and Live Oak Bancshares, Inc since 2012. He has been a Director of Live Oak Bancshares, Inc. since 2007. Mr. Williams graduated from the University of North Carolina at Chapel Hill with a Bachelor of Science Degree in Business Administration.

Mr. Neil L. Underwood serves as the President of Live Oak Bancshares, Inc. He serves as the President at LiveOak Venture Partners LP. Mr. Underwood served as the President of Live Oak Bank from 2011 to May 22, 2017 and also served as its Chief Operating Officer and Director of Sales & service. He co-founded nCino, Inc. in 2011. He served as General Manager of Americas Retail Online at S1 Enterprise, Inc. Mr. Underwood served as Senior Vice President and General Manager of Enterprise Americas at S1 Corporation from November 2005 to November 2007 and its General Manager of Enterprise Americas - Retail Online since November 2007. He served as Vice President of Sales at S1 Corporation. Mr. Underwood served as Chief Operating Officer of BROKAT Americas, a publicly traded company from 1999 to 2001. While working at S1, he continued to develop Underwood Ventures, LLC, a 10 year-old real-estate holding company focusing on commercial and residential real-estate in the Atlanta market. Mr. Underwood joined Brokat as a Principal of Transaction Software, which was acquired in May of 1999. Before S1, he launched the Americas division of Brokat Technologies, a publicly traded company and a $200 million financial services software supplier. He has been a Director of Live Oak Bancshares, Inc. since 2010. He serves as a Director of Live Oak Bank. He serves on the Board of Allied Bancshares, a publicly traded company. He serves as a Director at Payrailz, LLC. He served as a Director of nCino, Inc. since 2011. He served as a Director of CCLM Holdings, Inc. (Formerly Charys Holding Company Inc.) from 2004 to September 2009. He is a Certified Cash Manager. Mr. Underwood holds a Bachelors of Science in Industrial Engineering and Computer Science from the Georgia Institute of Technology.

Mr. S. Brett Caines has been the Chief Financial Officer at Live Oak Bancshares, Inc. and Live Oak Bank, a subsidiary of Live Oak Bancshares, Inc. since January 2011. Mr. Caines joined Live Oak team in June 2007. He served as Principal Accounting Officer of Live Oak Bancshares, Inc. Brian Lora serves as the CTO of Live Oak Bank. Brian started at Live Oak Bank in Dec of 2018. Brian currently resides in the Raleigh-Durham, North Carolina Area.

Debbie Warwick serves as the Senior VP of Operations of Live Oak Bank. Debbie started at Live Oak Bank in May of 2008. Debbie currently resides in the Wilmington, North Carolina Area.

Jodi Kalter serves as the Senior Vice President of Live Oak Bank. Jodi started at Live Oak Bank in Aug of 2014. Jodi currently resides in the Miami/Fort Lauderdale Area.
