Mr. Michael A. Shriner has been the Chief Executive Officer and President of MSB Financial Corp. since 2012 and its subsidiary, Millington Savings Bank since 2012. Mr. Shriner served as the Chief Operating Officer and Executive Vice President of MSB Financial Corp. He served as an Executive Vice President and Chief Operating Officer of Millington Savings Bank (MSB), subsidiary of MSB Financial Corp. since 2002 and Since 2006 until 2012 respectively. He joined the Millington Savings Bank in 1987. He served as Vice President of Millington Savings Bank since 1990 and its Senior Vice President since 1997. Mr. Shriner serves as Financial Secretary for the Knights of Columbus in Roselle Park, New Jersey. He has been a Director of MSB Financial Corp. since 1999. He has been a Director of Millington Savings Bank at MSB Financial Corp. since 1999. Mr. Shriner is a Graduate of The National School of Banking, Fairfield University.

Mr. John Kaufman has been Chief Financial Officer and Vice President at MSB Financial Corp. since September 25, 2015. Mr. Kaufman has been Chief Financial Officer of Millington Savings Bank since September 25, 2015. Prior to being hired by the Bank, Mr. Kaufman served as Controller of American Heritage Federal Credit Union from July 2013 to September 2015. From June 2012 to July 2013, he served as Treasurer of GCF Bank in Sewell, New Jersey up through the acquisition of GCF by another financial institution. Mr. Kaufman previously served as Accounting Manager at that institution from August 2005 to February 2010. Mr. Kaufman also served as Senior Accounting Officer for Wilmington Savings Fund Society in Wilmington, Delaware from February 2010 to March 2012. Since January 1, 2014, there have not been any transactions between the Registrant and Mr. Kaufman of the type required to be disclosed pursuant to Item 404(a) of Regulation S-K. He also has worked for GCF Bank in Sewell, N.J., and Wilmington Savings Fund Society in Delaware.

Ms. Nancy E. Schmitz has been the Chief Credit Officer and Senior Vice President of MSB Financial Corp. since 2015. Ms. Schmitz has been the Chief Credit Officer and Senior Vice President of Millington Savings Bank at MSB Financial Corp. since 2015. She serves as a Corporate Secretary of MSB Financial Corp. She has been a Corporate Secretary of Millington Savings Bank at MSB Financial Corp. since 1997. She served as Commercial Lending Officer of Millington Savings Bank, subsidiary of MSB Financial Corp. since 1997. She served as Vice President, Chief Lending Officer and Corporate Secretary at MSB Financial Corp. She served as Vice President and chief lending officer of Millington Savings Bank since 2006. She has been responsible for Millington Savings Bank's consumer loan portfolio since 1997. She served in various positions including as a Commercial Credit Analyst and a Senior Corporate Banking Officer. She also served as Assistant Corporate Secretary of Millington Savings Bank since 1997. Ms. Schmitz has over 25 years banking experience, served as a Branch Loan Officer of Llyods Bank, California in 1978 and serving at that institution and others in various positions including as a commercial credit analyst, a vice president of corporate lending and a senior corporate banking officer. She serves as vice chairman of the Consumer Lending Committee of the New Jersey League of Community Bankers.

Mr. Robert Glenn Russell, Jr. serves as a Chief Operating Officer and Senior Vice President of MSB Financial Corp. and served as its Acting Chief Financial Officer from June 2015 to September 2015. Mr. Russell serves as a Chief Operating Officer and Senior Vice President of Millington Savings Bank at MSB Financial Corp. He served as the Chief Financial Officer of NJM Bank FSB, a wholly owned subsidiary of New Jersey Manufacturers Insurance Company and served as its Senior Vice President since June 2008. He served as Vice President of Millington Savings Bank. Mr. Russell served as Chief Financial Officer of NJM Bank from 2003 to 2013. He served as Chief Financial Officer and Senior Vice President of New Jersey Manufacturers Insurance Company since June 2008. Mr. Russell served as President and Chief Executive Officer of NJM Bank from 2013 up to its merger with Spencer Savings Bank. He served as Vice President and Controller of First Savings Bank of Woodbridge, N.J. Mr. Russell served in the financial field since 1988 and serves on a variety of committees with the Financial Managers Society.

Ms. Linda W. Psillakis serves as Chief Risk Officer and Vice President of MSB Financial Corp. Ms. Psillakis has been Chief Risk Officer and Vice President of Millington Savings Bank, a subsidiary of MSB Financial Corp. since 2006. She joined Millington Savings Bank in 2005. She has over 20 years of banking/accounting experience. She was an Auditor for The Howard Savings Bank in Newark, New Jersey since 1981 and served in various other management positions for that bank including Vice President/Senior Officer of the Consumer Credit department. In addition, she was an Auditor for a Banking CPA firm. Ms. Psillak serves on the BSA Subcommittee, Compliance and CRT Committee of the New Jersey League of Community Bankers.
