Mr. Ophir Yakovian has been Chief Financial Officer of Perion Network Ltd. since June 13, 2017. Mr. Yakovian served as the Chief Financial Officer of Tnuva Central Cooperative for the Marketing of Agricultural Produce in Israel Ltd. (Tnuva Group), where he was responsible for leading a major organizational change in the Finance division, including centralization of functions and streamlining the workforce. Mr. Yakovian served as the Chief Financial Officer of Lumenis Ltd., from February 1, 2012 to December 16, 2015. Mr. Yakovian served as Senior Vice President at Lumenis Ltd. From 2006 to 2012, he held various senior positions in the finance area software company Verint Systems. He served as Vice President of Finance at Verint Systems and Chief Financial Officer of the local company. After beginning his professional career at Deloitte-Touche (Israel) as an Audit Senior, he served as a Corporate Controller at Metalink. In the last 16 years, Mr. Yakovian has held Chief Financial Officer positions in global publicly traded companies. Mr. Yakovian is an experienced public company Chief Financial Officer with more than a dozen years of experience working with NASDAQ-listed companies. Mr. Yakovian holds a BA in Accounting and Economics with honors and a Master's Degree with honors in business economics, both from Bar-Ilan University, Israel and is a Certified Public Accountant in Israel.

Mr. Amir Nahmias has been a General Manager of CodeFuel Business Unit at Perion Network Ltd. since December 2014 and served as its General Manager of Perion Codefuel and Vice President of Business Partnerships Codefuel. Mr. Nahmias is also responsible for sales in Europe and Asia, managing the deal process from sales lead follow-up to integration. He served as Vice President of Global Business Partnerships at Conduit Ltd. He led the divisions of sales, global account management and professional services at Conduit. He is also responsible for overseas cross-organizational sales in Europe and Asia, managing the deal process from sales lead follow-up to integration. Prior to joining Conduit, he served as director of content at Exent Technologies, where he built and managed its global content syndication network. Mr. Nahmias earned a B.A. in Business Management and Marketing from the University of Derby - Israeli Extension.

Ms. Limor Gershoni Levy has been an Senior Vice President, Corporate Secretary and General Counsel of Perion Network Ltd. since January 2011. Ms. Levy served as General Legal Counsel for 7 years at Veraz Networks. She served as General Counsel at Medigate Ltd. She has an L.L.M from University Tel Aviv Law School and a L.L.B in Law from Essex University, England.

Mr. Robert Schwartz, also known as Rob, served as the President of Undertone at Perion Network Ltd. since August 3, 2017 until August 22, 2017. Mr. Schwartz served as General Manager of Undertone at Perion Network Ltd. until August 3, 2017. Mr. Schwartz served as President of Undertone Business Unit at Perion Network Ltd. since October 2016 and its Chief Strategy & Development Officer since December 2015. He served as Senior Vice President of Corporate Strategy and Business Development of Undertone, oversaw global corporate strategy, M&A, publisher development and the programmatic media and technology platform. Prior to Undertone, he served as Vice President of Strategy and Corporate Development at The Topps Company and was a management consultant at Bain & Co., served clients in the media and entertainment, consumer goods and industrial sectors. He also served strategy and operating roles at PepsiCo and IBM. Mr. Schwartz has an AB from Harvard College and an MBA from Harvard Business School.

Mr. Chris Henger serves as Senior Vice President of Product Development at Intercept Interactive, Inc. Mr. Henger serves as Senior Vice President of Product Development at Undertone Networks, Inc. Mr. Henger serves as Senior Vice President of Product Development at Perion Network Ltd. He has over 20 years of experience in the digital ad space, with a detailed knowledge of ad tech, data, targeting and digital publishers. He served as the Executive Vice President of Digital Services at Catalina Marketing Corporation since March 2010 and served as its General Manager of Digital Solutions. Mr. Henger served as Vice President of Affiliate Marketing at DoubleClick Performics, Inc. (alternate name is Performics, Inc.). He headed all Marketing and Product Development functions at Performics, which is owned by DoubleClick. He worked at Google's Affiliate Network business. He served as Vice President and General Manager of Rollingstone.com at EMusic.com Inc. since February 2000. He served as Senior Vice President of Marketing & Product Development at DoubleClick Performics, Inc. Prior to joining Performics, Mr. Henger served as Senior Vice President and General Manager at publicly held Emusic.com, Inc. (recently acquired by Vivendi Universal). He was responsible for all aspects of RollingStone.com including managing sales, technology, marketing and operations for the standalone division. He served as a Director of Business Development for Tunes.com from April of 1997 to February 2000. In addition, Mr. Henger served in an operations and business development role for Tunes.com, an Internet startup that was successfully sold to Emusic.com, Inc. From August 1990 to April 1997, he served primarily as a Consultant and Systems Analyst for CCC Information Services. Mr. Henger holds a B.A. from Indiana University and an M.B.A. from DePaul University.

Mr. Michael Pallad, also known as Mike, serves as President of Intercept Interactive, Inc. Mr. Pallad has been the President of Undertone Networks, Inc. at Perion Network Ltd. since August 24, 2017 and served as its Chief Revenue Officer from February 17, 2016 to August 2017. At Undertone, Mr. Pallad is responsible for all aspects of Undertone's revenue efforts, including sales and service, operations and marketing. Mr. Pallad joined Undertone from Apple, Inc., where he held key sales management roles for Apple Music and iAd. Mr. Pallad held executive-level positions at Cumulus Media and Citadel Broadcasting, overseeing national and network sales. Mr. Pallad served as an Executive Vice President of Sales at Citadel Broadcasting Corporation since September 2009. Mr. Pallad oversees of all of Citadel Broadcasting's sales platforms, including Citadel Media, Corporate, Digital and National sales. He served as Vice President of Sales for Citadel Broadcasting, where he oversaw the local, national and digital sales efforts that support all of Citadel's radio stations. Before joining Citadel Broadcasting, he served as a Sales Manager at Emmis Communications and held various positions at Katz Radio Group. Mr. Pallad holds a Bachelor's degree in Marketing and Business Communications from Arizona State University.
