Mr. Donald E. Mr. James R. Hatfield, also known as Jim, has been the Chief Financial Officer of Pinnacle West Capital Corporation since July 14, 2008 and has also been its Executive Vice President since 2012. Mr. Hatfield has been the Chief Financial Officer of Arizona Public Service Company at Pinnacle West Capital Corporation since 2008 and has been its Executive Vice President since 2012. He served as Senior Vice President of Pinnacle West Capital Corporation and Arizona Public Service Company from July 14, 2008 to 2012. He served as Senior Vice President of OGE Enogex Partners L.P since May 2007. He served as Senior Vice President and Chief Financial Officer of OGE Enogex GP LLC, general partner of Oge Enogex Partners L.P. since May 2007 and served as its Principal Accounting Officer. He served as Treasurer of Pinnacle West Capital Corporation and its subsidiary Arizona Public Service Co. from 2009 to April 1, 2010. She has been Controller and Vice President of Arizona Public Service Company at Pinnacle West Capital Corporation since 2009. She served as Chief Accounting Officer, Controller and Senior Vice President of Allied Waste Industries Inc. from September 4, 2007 to December 2008. Before Phelps Dodge, Ms. Danner served as Controller of Wildblue Communications, Inc., and prior to that served in a series of positions with increasing responsibility, including Director of Financial Reporting, Assistant Controller and Insurance Risk Manager. From 1979 to 1989, she was an Accountant at Price Waterhouse. Ms. Danner received a Bachelor of Business Administration from the University of Texas at Austin and is a Certified Public Accountant.

Mr. Mark A. Schiavoni has been Chief Operating Officer and Executive Vice President of Arizona Public Service Co. at Pinnacle West Capital Corporation since June 18, 2014. Mr. Schiavoni served as an Executive Vice President of Operations at Arizona Public Service Company (APS) from June 2012 to June 18, 2014. He served as Vice President of Operations of Arizona Public Service Company since June 2012 and served as its Senior Vice President of Fossil Operations from April 13, 2009 to June 2012. He was responsible for overseeing all facets of Arizona Public 's non-nuclear generation operations and maintenance. He served as the President of Exelon Power at Exelon Corporation from August 2004 to March 27, 2009 and served as its Senior Vice President. He was responsible for Exelon Corp.'s fossil fuel and hydroelectric fleet across Exelon. He served as Senior Vice President of Exelon Generation Company LLC from August 1, 2004 to March 27, 2009. Mr. Schiavoni oversaw the following functions at Exelon Power: fossil and hydro generation operations, outage and work management, engineering and technical support, Sithe/Exelon New England holdings/TEG I&II, new generation development and operational oversight of co-owned facilities and purchased power contracts. He served as the Vice President of Operations of Exelon Power. Additionally, he served as Vice President of Exelon Power Northeast Operations and held operational responsibility for all of Exelon Power's plants in the Northeast. He was responsible not only for the operational aspects of the plants in the Northeast, but also for the construction and integration of the new generation assets that were part of the Exelon Power fleet at the time. He joined Exelon in January 2000 as Maintenance Director and Plant Manager for Exelon Nuclear's LaSalle Station. He served as an Assistant Plant Director for maintenance of Florida Power's Crystal River 3 nuclear generating station. He served as Maintenance Superintendent of FirstEnergy's Perry Nuclear Power Plant in Cleveland, Ohio. He spent 22 years in the U.S. Navy's Nuclear program. He serves on the Board of the Southern Chester County United Way. Mr. Schiavoni is a Member of the Veterans of Foreign Wars (VFW) and the American Legion.

Mr. David P. Falck has been Executive Vice President of Law of Pinnacle West Capital Corporation since May 17, 2017. Mr. Falck served as an Executive Vice President and General Counsel of Arizona Public Service Company at Pinnacle West Capital Corporation since 2009. He served as an Executive Vice President and General Counsel of Pinnacle West Capital Corporation since July 2009 and also served as its Secretary from July 2009 to 2012. He served as an Executive Officer of Legal Governance and Public Affairs Group of PSEG Services Corporation. He served as a Secretary of Arizona Public Service Company at Pinnacle West Capital Corporation since 2009 until 2012. He has more than 20 years of experience as a legal advisor to the energy industry. Mr. Falck serves as Presiding Director at Amphenol Corporation and he has been a Director of Amphenol Corporation since January 24, 2013. He received a Doctor of Law degree from Washington & Lee University School of Law in Virginia and is a graduate of Colgate University in New York.

Mr. John S. Hatfield has been Vice President of Communications at Pinnacle West Capital Corporation since February 2, 2017 and Arizona Public Service Co. (APS) since 2010. Mr. Hatfield's responsibilities include reputation management, brand management, community affairs, corporate giving, strategic partnerships and employee communications. Mr. Hatfield has a broad range of corporate, agency and political experience. Mr. Hatfield joined APS in November 2010. He previously spent six years at Edison International/Southern California Edison, where he served as Director of Corporate Communications. He has held senior communication positions with Edison International, Exelon Corporation, GolinHarris and Burson-Marsteller. He served as Vice President of Communications for Exelon Energy Delivery. He also served in senior communication and policy roles for numerous elected officials and political candidates. He is an Honorary Commander of the 56th Fighter Wing at Luke Air Force Base. He is the treasurer of the APS Foundation. He is the vice chairman of the board of Homeward Bound. Mr. Hatfield is a member of the Arthur Page Society, a professional association for senior communicators. Mr. Hatfield graduated magna cum laude from Princeton University with a degree in politics. He is also a graduate of MIT's Reactor Technology Course for Utility Executives.

Mr. Jeffrey B. Guldner, also known as Jeff, has been Executive Vice President of Public Policy and General Counsel at Pinnacle West Capital Corporation and Arizona Public Service Co. since May 17, 2017. Mr. Guldner served as Senior Vice President of Public Policy at Arizona Public Service Co. from 2014 to May 17, 2017. Mr. Guldner served as a Senior Vice President of Customers & Regulation at Arizona Public Service Co. (APS) from June 2012 to 2014 and served as its Vice President of Rates & Regulation from 2007 to June 2012. Mr. Guldner joined APS in 2004. He served as a Partner in the Phoenix office of Snell & Wilmer LLP, where he practiced energy and public utilities law. He served in the U.S. Navy as a surface warfare officer. He received his JD from Arizona State University and his BA from the University of Iowa.

Ms. Stacy Derstine has been Chief Customer Officer and Vice President of Customer Service at Pinnacle West Capital Corporation since February 23, 2017. Ms. Derstine's responsibilities include leadership of statewide customer service operations and marketing. She has worked for APS for over 20 years and has served in a variety of customer service and regulatory roles. She served as General Manager of regulatory and compliance where she was responsible for regulatory affairs related to policy development, rates, pricing and revenue requirements. She worked for APS Energy Services, where she was responsible for government and regulatory affairs in California, Texas, Nevada and Oregon. She serves on the board of Florence Crittenton and is active over the years in numerous community and faith-based organizations, including Habitat for Humanity and Feed My Starving Children. Derstine also serves on the Advisory Committee for Retail Energy Policy of the Edison Electric Institute, the Advisory Board of the Association of Edison Illuminating Companies, the Marketing Executives' Council and the Chief Customer Officer Council. She previously served on boards and participated in committees and organizations supporting national competitive energy markets, including the Alliance for Retail Electric Markets and the Electric Reliability Council of Texas. She earned her Bachelor of Science degree in business management from University of Phoenix.

Ms. Maria Lacal has been Senior Vice President of Nuclear Regulatory & Oversight, Palo Verde Nuclear Generating Station - Arizona Public Service Company at Pinnacle West Capital Corporation since February 02, 2017. Ms. Lacal served as Senior Vice President of Regulatory at Pinnacle West Capital Corporation since March 3, 2016. Ms. Lacal oversight at Palo Verde Nuclear Generating Station for Arizona Public Service Company (APS), Arizona's largest electric company. Based in Phoenix, APS is Arizona's largest electric company and serves nearly 1.2 million customers across the state. Lacal is responsible for regulatory activities, including licensing and compliance, at the Palo Verde Nuclear Generating Station, the nation's largest power producer. Lacal oversees the regulatory affairs, nuclear assurance, performance improvement, site programs and employee concerns & nuclear safety culture at the plant. Ms. Lacal served as Vice President of Operations Support at Pinnacle West Capital Corporation until March 3, 2016. Ms. Lacal served as Vice President of Operations Support for Palo Verde Nuclear Generating Station - Arizona Public Service Company of Pinnacle West Capital Corporation since January 2011. Ms. Lacal served as General Manager, Emergency Services and Support at Palo Verde. She joined APS as Director, Strategic Planning at Palo Verde in April 2007 from Florida Power and Light where she was Director, Nuclear Operations Support. At Turkey Point Nuclear Power Plant, she served as Operations Manager, Training Manager, Plant Change Control/Configuration Group Supervisor and Quality Assurance Engineer. She obtained a U.S. Nuclear Regulatory Commission senior reactor operator license in 1996. She has also served as chairman of the Academy Council for the National Academy for Nuclear Training.She earned a Bachelor of Science degree in civil engineering from the University of Miami.
