Mr. Bruce C. Kirchhoff, Esq., has been General Counsel of Royal Gold, Inc. and Vice President since February 1, 2007 and since February 3, 2007 respectively and has been its Secretary since July 2013. Mr. Kirchhoff serves as General Counsel and Vice President at RG Exchangeco Inc. He served as a Partner of Carver, Kirchhoff, Schwarz, McNab & Bailey, LLC. He was a member of the Cyprus Amax Minerals Company law department for nearly ten years, where he served as the Senior Attorney and was responsible for the copper and molybdenum business unit. He had legal responsibilities for Cyprus Amax's lithium and industrial minerals business units. At CKSMB, Mr. Kirchhoff represented hardrock and industrial minerals clients in a broad range of business, commercial and corporate matters affecting international natural resource companies, as well as mineral exploration and development companies in all phases of mineral exploration and development. Mr. Kirchhoff has been an Adjunct Lecturer in Law at the University of Denver Sturm College of Law, where he taught International Mining Law and policy in the International Natural Resources and Environmental Law Graduate Studies Program. He is a member of the Denver, Colorado and American Bar Associations. Mr. Kirchhoff holds a J.D. from the University of Denver, a Master of Science in Mineral Economics from the Colorado School of Mines and Bachelor of Arts degree in Anthropology from Colorado College.

Mr. William H. Heissenbuttel has been Vice President of Corporate Development at Royal Gold, Inc. since February 2007. Mr. Heissenbuttel served as Vice President of Corporate Development and Operations at Royal Gold, Inc. since January 29, 2015 until November 1, 2016. Mr. Heissenbuttel served as Vice President of Corporate Development at Royal Gold, Inc. from February 15, 2007 to January 29, 2015. Mr. Heissenbuttel served as Manager of Corporate Development at Royal Gold Inc. from April 2006 to January 2007. He holds Master of Business Administration degree with a specialization in Finance from the University of Chicago.

Mr. Stefan L. Wenger, CPA, serves as a Vice President and Treasurer of RG Exchangeco Inc. Mr. Wenger has been the Chief Financial Officer of Royal Gold Inc. since July 1, 2006 and its Treasurer since August 2007 and serves as its Principal Accounting Officer. Mr. Wenger served as Chief Accounting Officer of Royal Gold Inc. from April 2003 to June 2006 and served as its Controller. He has been at Royal Gold Inc. since 2003 and has over 14 years of experience in the mining and natural resources industry working in various financial roles. He served as a Member of the Senior Management Team of Royal Gold Inc. since 2003. He served as an Audit and Business Advisory Services Manager at PricewaterhouseCoopers LLP, in Denver from June 2002 to March 2003. From September 2000 to June 2002, he served as a Manager with Arthur Andersen LLP. He has been a Director of McWatters Mining Inc. since February 22, 2010. He is a member of Financial Executives International, the Colorado Society of Certified Public Accountants and the American Institute of Certified Public Accountants. He holds a Bachelor of Science degree in Business Administration from Colorado State University, has completed the General Management Program at the Harvard Business School and is a certified public accountant.
