Mr. Rudi P. Fronk has been the Chairman and Chief Executive Officer of Seabridge Gold, Inc. since June 27, 2012 and October 1999 respectively. Mr. Fronk serves as the Chief Executive Officer and President of Eliseo Gonzalez-Urien. He serves as the President of Seabridge Gold Corporation. He co-founded Seabridge Gold Inc. in 1999. He has over 30 years experience in the gold industry as a Director and Senior Officer of several publicly traded gold companies. He served as the President of Greenstone Resources Ltd. from 1994 to 1999. He served as the President of Seabridge Gold Inc. from 1999 to June 2012. He serves as the Chairman of The Fine Wine Reserve Inc. He has been the Non Executive Chairman of Paramount Gold Nevada Corp. since January 12, 2017. He has been Non-Executive Chairman at Calico Resources Corp. since August 2014. Prior to 1994, he served positions with Columbia Resources from 1992 to 1993, DRX Inc. from 1989 to 1992, Behre Dolbear & Company from 1986 to 1989, Riverside Associates from 1984 to 1986, Phibro-Salomon from 1982 to 1983 and Amax Corp since 1980. He has been a Director of Calico Resources Corp. since July 18, 2014 and Seabridge Gold, Inc. since October 1999. He served as a Member of Advisory Board at Gold Standard Ventures Corp from March 2011 to July 18, 2016. He served as a Director of enCore Energy Corp. since May 15, 2013. Mr. Fronk served as a Director of Greenstone Resources Ltd. from 1994 to 1999. He served as a Director of Arizona Star Resource Corp. from December 2004 to December 19, 2007. He served as a Director of Coeur San Miguel Corp. (alternate name: Paramount Gold and Silver Corp.) from March 2009 to December 02, 2011. Mr. Fronk is a Graduate of Columbia University from which he holds a Bachelor of Science degree in Mining Engineering and a Master of Science degree in Mineral Economics.

Mr. Jay S. Layman has been the President and Chief Operating Officer of Seabridge Gold, Inc. since February 2011 and June 27, 2012 respectively. Mr. Layman is responsible for managing the engineering and design of Seabridge's two main projects, KSM Project located in northwest British Columbia, Canada and Courageous Lake located in Canada's Northwest Territories, to the southwest of the Diavik Diamond Mine and the Ekati Diamond mine. He served as Executive Vice President of Seabridge Gold, Inc. from March 1, 2011 to June 2012. Mr. Lehman served as Regional Director of Central Asia of Avocet Mining Plc. since May 2005. He joined Avocet in May 2005 and served as Regional Manager of Central Asia and the General Manager of Avocet's Tajikistan mining operation. Mr. Lehman has over 25 years experience in Mining industry, with 13 years of experience in project evaluation and development. He served as Vice President of Corporate Development of Hecla Mining Company since November 9, 2006. Mr. Layman served as President of Tactical & Strategic Advisory Services from September 2004 to October 2006. He served as Regional Vice President of Australasia for Quadrem from January 2003 to August 2004 and served as its and Regional Vice President for Asia from October 2001 to January 2003. He served as Project Manager for Newmont Gold Company from January 1997 to July 1998 and served as its Senior Manager of Strategic Planning of Austral/Asian Region at the Batu Hijau copper/gold mine from July 1998 to October 2001. Mr. Layman served as General Manager of Newmont Mining Company in Uzbekistan, Kazakhstan and Russia. He served as a Director of Dynasty Gold Corporation from January 25, 2006 to April 2006. Mr. Layman served as Vice President Solutions and Innovation for Newmont Mining Company where he was responsible for managing Global Technical Services and launching a Global Innovation Department. He has been General Director of JV Zeravshan LLC (ZGC) since May 2005. He has been a Director of Seabridge Gold, Inc. since June 2012 and Calico Resources Corp. since January 30, 2014. Mr. Layman holds Undergraduate Degrees in Mechanical Engineering and Finance. Mr. Lehman holds BSME and BABA degrees from Washington State University and an MBA in Finance from the Eastern Washington University.

Mr. William E. Threlkeld, also known as Bill, P.Geo., serves as Senior Vice President at Vismand Exploration Inc. Mr. Threlkeld has been Senior Vice President of Exploration at Seabridge Gold, Inc since 2001. and served as its Senior Vice President since November 2001. He served as technical consultant to Seabridge from 2000 to 2001. He served as Vice President of Exploration for Greenstone Resources Ltd. from 1997 to 2000. He was responsible for resource delineation on three Central American gold deposits and development of an organization and strategy to identify new mineral investments. He began career at Noranda Exploration Inc. Mr. Threlkeld served as Exploration Manager and Vice President of Placer Dome from 1991 to 1997. He was responsible for all of Placer Dome's exploration activity and investment in Latin America. He has been a Director of Gold Standard Ventures Corp since March 17, 2011. He served as a Director of enCore Energy Corp. (formerly Wolfpack Gold Corp) since May 15, 2013. He serves as a Member of Advisory Board at Vismand Exploration Inc. He served as a Director of Gold Standard Ventures Corp. since March 2011. Mr. Threlkeld served as a Director at Duran Ventures, Inc. since June 2005. He served as a Non-Executive Director of Marlin Gold Mining Ltd since November 26, 2004. He has a BSc. in geology from the Colorado State University and an M.Sc. in Economic geology from the University of Western Ontario.

Mr. Peter D. Williams has been Senior Vice President of Technical Services at Seabridge Gold, Inc. since July 2013. Mr. Williams has more than 30 years of mine engineering experience, including 23 years at Newmont Mining Corporation. His most recent position at Newmont was Group Executive, Mine Engineering. Prior to joining Seabridge, he undertook his own intensive review of the KSM and Courageous Lake projects.

Mr. Christopher Justin Reynolds, also known as Chris, CGA, has been the Chief Financial Officer and Vice President of Finance at Seabridge Gold, Inc. since May 1, 2011. Mr. Reynolds served as Corporate Secretary of Seabridge Gold Inc. since May 1, 2011. He served as Chief Financial Officer and Vice President of Finance at Norsemont Mining Inc. since October 1, 2007 until April 2011. He served as Controller and Secretary of Lonmin Investments Canada Inc. until October 2007. He served as Senior Vice President and Chief Financial Officer of SouthernEra Diamonds Inc. from January 4, 2005 to October 2007 and served as its Secretary from June 2001 to October 2007. He served as Vice President of Finance of SouthernEra Diamonds Inc. until January 2005 and also served as its Controller from January 2001 to October 2007. Mr. Reynolds served as the Vice President of Finance of Lonmin Investments Canada Inc. until October 2007. He has 20 years of mineral industry and public accounting experience, including four years of service with Price Waterhouse (now PricewaterhouseCoopers) in Montreal. From 1992 to 1995, he held accounting and internal auditing positions with Spinex Medical Technologies in Montreal and Bramalea Inc. From 1995 to 2000, Mr. Reynolds held various accounting positions with Inmet Mining Corporation and TVX Gold Inc., both situated in Toronto, as the Director of Accounting at TVX. He has been a Director of Coeur San Miguel Corp. since February 17, 2009. He has been an Independent Director of Paramount Gold Nevada Corp since February 2015. He served as a Director of Seabridge Gold, Inc. since April 21, 2016. He served as an Independent Director of Arizona Star Resource Corp. since May 8, 2006. He served as Director of Coeur San Miguel Corp. from February 2009 to April 2015. Mr. Reynolds received a Certified General Accountant designation from the Certified General Accountants Association of Ontario, Canada in 1994 and received a B.A. degree in Economics from the McGill University, Canada in 1987.
