Mr. Jack L. Kopnisky serves as the Chief Executive Officer and President of Sterling National Bank. Mr. Kopnisky has been the Chief Executive Officer and President of Sterling Bancorp since July 6, 2011. He serves as a Partner of Mercatus LLC. He served as a Senior Partner at White Oak Partners, Inc. He also served as the Chief Executive Officer, President and the Chief Operating Officer at First Marblehead Corporation from September 2005 to August 31, 2008. He served as the Chief Executive Officer since September 27, 2005 and its President and Chief Operating Officer since September 6, 2005. He has spent more than 30 years in the financial services industry in a variety of executive operating roles. Over the course of his executive career, he has helped businesses achieve record profit levels through growth, restructuring and repositioning strategies. At First Marblehead, he led wide-scale restructuring which doubled revenues and earnings from 2005 to 2007. He served as the President of Consumer Banking Group at KeyCorp (Key) from June 2000 to August 2005 and as such held overall responsibility for the sale and distribution of all products and services through three group divisions: retail banking, business banking and consumer finance. He was also responsible for Key's community development banking activities. He served as Senior Executive Vice President-Consumer Banking at KeyCorp from 2001 to July 31, 2005. He held full P&L responsibility for a $65 billion business portfolio, helping KeyCorp to build one of the largest operating networks in the U.S., and become an industry leader in customer relationship management and people, process and technology integration. He served as the President of Retail Banking at KeyCorp and President and Chief Executive Officer of Key Investments. Before joining KeyCorp, he served as s Regional and District President at Society Corporation of Cleveland and District Manager at Pittsburgh National Bank. Prior to being named the President of Key Consumer Banking, Mr. Kopnisky held various executive positions within that bank that included mergers and acquisitions, development of human resource tactics and strategies for enhanced performance. He served as the Chief Executive Officer and President of KeyBank USA's Consumer Finance Business, including auto, recreation, mortgage, home equity and educational lending. From 1990 to 1995, Mr. Kopnisky served as the President of Key's Cincinnati market. Prior to Key, he was with Ameritrust and Pittsburgh National Bank. Mr. Kopnisky has been Director of Sterling Bancorp and Sterling National Bank since July 6, 2011. He served as a Director of First Marblehead Corp. from November 9, 2006 to August 31, 2008. He also served as a Member of KeyCorp's Executive Council and Management Committee. Mr. Kopnisky has served as the Chairman and served on many non-profit boards throughout his career focused on inner city development and youth services. He serves on the Board of Trustees of Grove City College and is an active supporter of Summer Search. He holds a Business Administration and Economics degree from Grove City College. Mr. Kopnisky also attended the Case Western Reserve's Executive Program at Weatherhead School of Business and the University of Delaware's Stonier Banking School.

Mr. Michael E. Finn serves as Executive Vice President, Chief Risk Officer of Sterling National Bank. Mr. Finn has been Senior Executive Vice President at Sterling Bancorp since July 2017 and serves as its Chief Risk Officer. He has nearly 30 years experience in bank and thrift supervision, risk mitigation and policy development. He has been Chief Risk Officer and Executive Vice President at Hudson Valley Holding Corp. since January 1, 2014. He served as Chief Risk Officer and Executive Vice President at Hudson Valley Bank, N.A. He served as Executive Vice President at Sterling Bancorp until July 2017. He served as a Senior Advisor to the Deputy Comptroller in the Office of the Comptroller of the Currency Northeastern District in New York. In this role, he served as a member of the executive management team and on the Senior Management Group and Risk, Operations and Supervisory Committees. Prior to his role with Office of the Comptroller of the Currency in New York, Mr. Finn served in leadership positions with the Office of Thrift Supervision (OTS) including as Regional Director of the Northeast Region in New Jersey, as a Regional Director in the West Region in California and in numerous senior roles in the OTS headquarters in Washington DC. While in DC, he led OTS's international supervision unit and served as OTS representative on the Basel Committee's Accord Implementation Group.

Mr. Rodney C. Whitwell has been a Senior Executive Vice President and Chief Administrative Officer of Sterling Bancorp since October 23, 2014 and July 5, 2017 respectively. Mr. Whitwell has been Chief Administrative Officer and Senior Executive Vice President of Sterling National Bank since October 23, 2014 and July 5, 2017 respectively. He served as Chief Operating Officer of Sterling Bancorp from November 22, 2011 to July 5, 2017. Mr. Whitwell served as Executive Vice President at Sterling Bancorp(Provident New York BanCorp) and its subsidiary Provident Bank since November 22, 2011. He served as Chief Risk Officer of Sterling National Bank and Sterling Bancorp. Mr. Whitwell served as Senior Vice President and Head of Strategy / Corporate Development of Provident New York Bancorp., since August 15, 2011. Prior to joining Provident, Mr. Whitwell served as Principal at Mercatus LLC (a national financial services consulting and investing firm), where he was responsible for directing strategic consulting engagements with financial services providers, including developing strategic plans, product, segment and distribution strategies with measurable performance improvements. From 2008 to 2010, Mr. Whitwell served as Chief Executive Officer of Union Federal Savings Bank, a federally chartered savings bank and subsidiary of The First Marblehead Corporation. From 2007 to 2008, he served as Senior Vice President, New Business Initiatives at The First Marblehead Corporation (a provider of outsourcing services for private education lending), where he was responsible for directing the operations of a bank subsidiary and leading new initiatives in support of a strategic transformation of the company. Prior to joining First Marblehead, Mr. Whitwell served as Director of Segment Management at Key Corporation from 2004 to 2007, where he directed the work of the Segment Management Group and a Strategic Analytics team covering both consumer and commercial segments. Mr. Whitwell received a B.A. in Economics from Reading University.

Mr. Luis Massiani has been the Chief Financial Officer and Senior Executive Vice President of Sterling Bancorp and Provident Bank since December 15, 2012 and October 23, 2014 respectively. Mr. Massiani joined Provident on December 5, 2012. Mr. Massiani served as Director of the Investment Banking Department of Credit Suisse Securities, LLC, where he focused on the banking and specialty finance sectors. He served awith Citadel Securities LLC and led transaction execution for mergers and acquisitions as well as capital raising activities. Earlier, Mr. Massiani held positions in the financial institutions group at Citigroup Global Markets Inc. He is a graduate of the Kelley School of Business at Indiana University with an MBA.

Mr. James R. Peoples, known as Jim, has been Senior Advisor of Sterling Bancorp since July 1, 2017. Mr. Helmer serves as an Executive Vice President of Provident New York Bancorp. and Provident Bank. He serves as the Central Market President of Provident Bank. Mr. Peoples serves as Market President of Rockland, Westchester and Bergen County, N.J. at Provident Bank. Mr. Helmer served as Senior Executive Vice President and Chief Banking Officer of Sterling National Bank since October 23, 2014 and September 2014 respectively until July 1, 2017. He served as the Chief Banking Officer of Sterling Bancorp from September 2014 to July 1, 2017 and Senior Executive Vice President from October 23, 2014 to July 1, 2017. He was the Interim Chairman of United Western Bank, Chief Executive Officer of United Western Bank and President of United Western Bank at United Western Bancorp, Inc. Mr. Peoples served as the Chief International Credit Officer of NatWest USA, as well as in Senior Credit Administration and Lending Positions for First Interstate BanCorp. and First Interstate Bank of Denver beginning in 1988. He served as the President of KeyBank of Colorado since 1997 and President of KeyBank, Seattle Cascades District from 1999 to July 2008. He served senior management duties with First Interstate. He was one of the senior officers in charge of regulatory affairs dealing with both federal and state bank regulators. He served as the Chairman of United Western Bank since April 30, 2010. He served as a Director at United Western Bank since April 30, 2010. Mr. Peoples served as Chairman of the Greater Seattle Chamber of Commerce, Campaign Chairman of Mile High United Way and as a Board Member for the University of Washington Foundation.

Christina M. Favilla is Senior Executive Vice President and Chief Operating Officer of Sterling Bancorp. She served as President of Discover Bank and Bank of New Castle, a part of Discover Financial Services. She holds a Master's degree in Business Administration from Fordham University and a Bachelor's degree in International Studies from Marymount College.

Mr. Richard O. Jones, also known as Rick, served as an Executive Vice President of Business Services at Provident New York BanCorp. from December 1, 2004 to October 1, 2012. Mr. Jones was a veteran of retail banking. His career spans 30 years of both front line and staff experience starting with Manufacturers Hanover, followed by Chemical Bank and JP Morgan Chase. His experiences include roles in branch and systems operations, a variety of staff planning and MIS functions and close to 25 years managing major front line retail sales staff in urban as well as suburban settings. He served as Executive Vice President of Business Services of Provident Bank since December 1, 2004. He served as Senior Vice President and Regional Manager for the Tri-State (New York-New Jersey-Connecticut) and Texas regions of JP Morgan Chase's retail bank, which includes 325 branches, as well as Banker Manager for its mass market affluent program across the Chase branch network. He was active on various boards, most notably, chairman of the board of trustees of the Westchester Arts Council. He served four years as a Monroe town Councilman and was a Member of the Monroe planning board for three years. Mr. Jones is a graduate of Fordham University, where he earned a degree in History and New York University, where he earned his MBA in Finance.

Mr. Wayne Miller serves as the Chief Credit Officer and Executive Vice President of Sterling Bancorp. (formerly Provident New York Bancorp.).

Mr. James P. Blose, also known as Jim, Esq. has been Chief Legal Officer, Executive Vice President and General Counsel of Sterling Bancorp. and for its subsidiary, Sterling National Bank since June 2015. Mr. Blose served as Executive Vice President, General Counsel and Secretary of Hudson Valley Bank and its Parent Hudson Valley Holding Corp. since October 04, 2013. Prior to HV Bank, he was a Partner with the law firm of Griffin, Coogan, Blose, Sulzer & Horgan, P.C. since December 2003, where he specialized in banking law, commercial lending and commercial real estate transactions. He is a member of the New York, Connecticut and New Jersey bar associations, as well as a member of the New York State Banker's Association Lawyer's Advisory Committee. He serves as a Director of the Hudson Valley National Foundation and is a current member of the Town Council for the Town of Trumbull. He holds a Bachelor's degree from the University of Scranton and a law degree from Quinnipiac University School of Law.
