Mr. Barnes has been Executive Chairman of Tiptree Operating Company, LLC (???Operating Company???) since July 1, 2013. Mr. Barnes is a Founding Partner of Tricadia Holdings, L.P. (???Tricadia???) and its affiliated companies, which are privately held and provide investment management services. He co-founded Tricadia Capital Management, LLC in 2003 and serves as its Principal. He serves as Co-Chief Investment Officer at Tiptree Financial Partners LP. He served as the Chief Executive Officer of TFP from 2007 to June 2012. Prior to the formation of Tricadia in 2003, Mr. Barnes spent two years as Head of Structured Credit Arbitrage within UBS Principal Finance LLC, a wholly owned subsidiary of UBS Warburg. He has been the Chairman of Tiptree Financial Partners, L.P. (???TFP???) since its inception in 2007. He served as a Managing Director and Global Head of the Structured Credit Products Group at PaineWebber. Mr. Barnes joined UBS in 2000 as part of the merger between UBS and PaineWebber Inc. Prior to joining PaineWebber in 1999, he spent 12 years at Bear, Stearns & Co. Inc., the last five of which he served as Head of their Structured Transactions Group. He served as a Director at Philadelphia Financial Group, Inc. He has A.B. from Columbia College.

Ms. Julia Helene Wyatt has been the Chief Operating Officer of Tiptree Financial Inc. since January 1, 2016. Ms. Wyatt serves as Chief Financial Officer and Principal Accounting Officer at Apple Creek Acquisition Corp. She serves as also the Chief Financial Officer at Tricadia Capital Management, LLC. She served as the Chief Financial Officer and Secretary at Tiptree Financial Partners LP. She served as Chief Financial Officer, Principal Accounting Officer and Secretary of Muni Funding Company of America, LLC since 2009. She served as Chief Financial Officer of Tiptree Asset Management Company, LLC. Ms. Wyatt served as Chief Financial Officer of Tiptree Financial Inc. from July 1, 2013 to December 31, 2014. Prior to joining Tricadia in 2005, from 1996 to 2005, Ms. Wyatt served as Chief Financial Officer of Havell Capital Management (???HCM???). During her tenure with HCM, Ms. Wyatt was responsible for all non-investment related aspects of the firm, including financial, legal, regulatory and client services. Prior to HCM, from 1992 to 1996, Ms. Wyatt was Senior Member of the fixed income management group with Neuberger Berman. From 1987 to 1991, she was employed by Morgan Grenfell Capital Management, where she served as the Treasurer and Director of Client Services. Ms. Wyatt was with Deloitte & Touche from 1980 to 1988, spent the last two years in the Executive Office Research Department as a Senior Manager. Ms. Wyatt holds B.S. in Accounting from the University of Utah.

Mr. Timothy H. Schott, also known as Tim, has been Principal Accounting Officer of Tiptree Financial Inc., Tiptree Operating Company, LLC and Tiptree Financial Partners, L.P. since April 4, 2016. Prior to joining Tiptree, Mr. Schott served at Lazard Ltd., a financial advisory and asset management firm since 2011, as the Director of Accounting Policy for Global Finance, where he led the oversight of compliance with U.S. GAAP, including SEC reporting and approval of the accounting for significant and complex transactions. Prior to Lazard Ltd., Mr. Schott was a Partner of Deloitte & Touche Financial Accounting and Reporting Services since 2007, providing accounting consulting services to clients in a variety of industries, with emphasis on the financial services industry, on matters pertaining to the accounting, reporting and valuation for complex transactions. Prior to joining Deloitte's advisory business in 2004, Mr. Schott spent 11 years as an auditor at Deloitte. Mr. Schott received his B.S. in accounting from Fairfield University.
