Ms. Dawn Lorraine Farrell has been the Chief Executive Officer and President at TransAlta Corporation since January 2, 2012. From 2003 to 2006, Ms. Farrell served as an Executive Vice President of Generation at BC Hydro. In June 2006, she served as an Executive Vice-President of Engineering, Aboriginal Relations and Generation of BC. She serves as chairperson the Board for TransAlta Cogeneration which jointly owns assets across Canada with Cheung Kong Infrastructure Holdings Limited (CKI). Ms. Farrell served as an Independent Director of Fording (GP) ULC, a subsidiary of Fording Canadian Coal Trust, Inc. since 2004. She served as a Board member include Fording Coal Income Fund, New Relationship Trust Fund, Mount Royal College Foundation, Mercury Electric and Vision Quest Windelectric. Mr. Brett M. Gellner has been the Chief Investment Officer of TransAlta Corporation since March 31, 2014. Mr. Gellner served as the President of TransAlta Renewables Inc. from July 26, 2013 to November 2, 2017. Mr. Gellner is responsible for commercial arrangements relating to TransAlta's international fleet of generation assets, as well as the execution of TransAlta's growth plans and oversees all strategic corporate investments, M&A and greenfield projects. He served as the Chief Financial Officer of TransAlta Corporation since June 18, 2010 and also served as its Vice President of Commercial Operations. He has significant experience in finance, valuation, economics, mergers and acquisitions and commercial agreements and extensive knowledge of the power industry. Mr. Gellner served as Co-head of CIBC World Markets' Power & Utilities group and was involved in numerous transactions including leverage buy-outs, high yield and investment grade debt financings, initial public offerings, hybrid securities financings and private offerings of equity and debt. He held senior roles in the Mergers & Acquisitions and Corporate Development group of a large, publicly-traded company. He has been a Non-Independent Director at TransAlta Renewables Inc. since May 28, 2013. Mr. Gellner has Masters degree in Applied Economics and a Chartered Financial Analyst designation. He has attended the Advanced Management Program at Harvard University.

Mr. John Harry Kousinioris has been the President at TransAlta Renewables Inc. since November 2, 2017 and its Corporate Secretary since October 2, 2015. Mr. Kousinioris is responsible for directing TransAlta's legal affairs, government relations, regulatory compliance and corporate secretarial matters. Mr. Kousinioris has been the Chief Legal and Compliance Officer of TransAlta Corporation since December 3, 2012 and serves as its Corporate Secretary. Mr. Kousinioris is responsible for directing TransAlta's legal affairs, regulatory compliance and corporate secretarial matters, government and aboriginal affairs and sustainable development. He was a Partner and co-head of the corporate commercial department of Bennett Jones, LLP and a Member of the Public Markets Practice Group. His practice focuses on securities law, structured finance and mergers and acquisitions. He has experience in many aspects of corporate financing including public and private offerings of equity, near equity and debt securities particularly in the energy sector. He has over 20 years of experience in securities law, mergers and acquisitions and corporate governance matters and has represented clients in some of Canada's largest public offerings and merger transactions. He has an extensive experience with financing and acquisition transactions in the royalty trust and income fund sector and acted in transactions involving NAL Oil & Gas Trust, Ultima Energy Trust and Pengrowth Energy Trust among others. He has been a Director of TransAlta Renewables Inc. since November 2, 2017. He also acted in connection with the recent trust conversions of Foremost Industries Income Fund, Carfinco Income Fund and Newalta Income Fund. He also has considerable experience with domestic and international takeover bid transactions, asset and share purchase and sale transactions, corporate reorganizations, debt restructuring, joint ventures and general implementation of commercial transactions. He returned to Bennett Jones LLP in 1998 after spending almost two years practising with a leading law firm in London, England. He is a Member of the Law Society of Alberta and the Calgary Bar Association. He has a Bachelor of Arts degree from the University of Western Ontario, a Masters of Business Administration degree from York University and a Bachelor of Laws degree from Osgoode Hall Law.

Mr. Wayne Alexander Collins, BEng (Electrical), BB us, CPEng, GAICD has been an Executive Vice-President of Coal and Mining Operations at TransAlta Corporation since May 14, 2014. Mr. Collins is responsible for overseeing all of TransAlta's coal and mining operations as well as corporate engineering and technical services. He has more than 34 years of experience in power generation. He served as Chief Operating Officer of Stanwell Corporation Limited since July 2011 until April 2014. Mr. Collins served as the Head of Coal and Mining Operation at TransAlta Corporation. Mr. Collins served as Acting Chief Executive Officer of Stanwell Corporation Ltd. since January 2010 and served as its Chief Operating Officer from May 2008 to December 2009. Mr. Collins served as a General Manager of Business Services of Stanwell Corporation Limited from May 2007 to May 2008. He served as General Manager of Asset Management and Technical Services and General Manager Engineering Projects and Employee Relations of Stanwell Corporation Limited from July 2006 to May 2007. He has worked in the electricity industry for 26 years. He is responsible for the management of Stanwell's business services functions, comprising health and safety, environment, employee relations, legal counsel, secretariat, risk management and land and property management. From 2006 to 2007, he was responsible for the provision of technical services to new projects and existing production facilities, development and delivery of major capital projects on existing assets and long-term asset management and strategy and management of Employee Relations division. Prior to this, he managed Stanwell's business development function. His career has predominantly been in operations and maintenance but also included a period developing and building new renewable power plants. Mr. Collins serves as a Director of Rockhampton Regional Development Limited and the Queensland Minerals and Energy Academy Advisory Board. He holds degrees in Engineering and Business. He is a Chartered Professional Engineer (Australia) and a graduate of the Australian Institute of Company Directors.

Mr. Brent Ward has been Managing Director and Treasurer of TransAlta Renewables Inc. since June 5, 2017. Mr. Ward has been Managing Director and Treasurer of TransAlta Corporation since June 9, 2017. He has 13 years of extensive knowledge of capital markets, bank markets, treasury functions and corporate planning. He served as Director of Corporate Finance at TransAlta Corporation from January 2011 to June 9, 2017 and also served as its Director of Corporate Finance and Investor Relations from February 2013 to September 2015. Mr. Ward studied Bachelor of Commerce with Finance and General at Lakehead University from 1990 to 1994. He is a Chartered Financial Analyst (CFA).

Ms. Nipa Chakravarti is the Chief Transformation Officer of TransAlta Corporation. Ms. Chakravarti has extensive experience and strong understanding of business and finance. Over the past four-and-a-half years, she served as Vice President of Information Technology, responsible for guiding TransAlta to leading-edge technological changes, while simultaneously reducing cost. She is known for innovating and implementing Lean methodologies to challenge the status quo. Ms. Chakravarti served as a Vice President of Customer Service at FortisAlberta Inc. since July 2008 until January 2012. and served as its Director of Customer Operations from April 2003 to July 2008. She served as a Senior Manager of Consulting at KPMG, where she successfully led operations, systems, procurement and finance teams. She holds a Bachelor of Commerce degree from Queen's University and is a CPA, CA.

Mr. Aron John Willis served as Senior Vice-President of Gas & Renewables at TransAlta Renewables Inc. since February 1, 2017 and served as its Chief Operating Officer until February 20, 2017. Mr. Willis served as Senior Vice-President of Gas & Renewables at TransAlta Corporation since January 25, 2017 and served as its Vice President of Australia. Mr. Willis leads TransAlta's Gas and Renewable operations and oversees the TransAlta's operations services team, including Supply Chain Management, EH&S, Operations Integrity and the project management office. Mr. Willis was responsible for managing all joint ventures and partnerships relating to TransAlta's gas, wind, hydro and solar operations and the regulated transmission business. Since joining TransAlta in 1999, Mr. Willis has worked throughout the business in increasing levels of responsibility including roles in Finance, Operations and Major Maintenance. Mr. Willis spent nearly 10 years as the Managing Director of TransAlta's business in Australia. He served as a Director of TransAlta Renewables Inc. from January 31, 2016 to November 2, 2017. Mr. Willis holds a Bachelor of Commerce in Finance from the University of Calgary.

Mr. Todd John Stack has been Corporate Controller and Managing Director of TransAlta Renewables Inc. since February 1, 2017. Mr. Stack serves as Managing Director of TransAlta Corp. and has been its Controller since February 15, 2017. He served as Treasurer of TransAlta Renewables Inc. since May 28, 2013 until February 20, 2017 and also served as its Vice President since May 28, 2013. Mr. Stack served as Treasurer of TransAlta Corp. since May 2011 until February 15, 2017. Mr. Stack served as Vice President since November 2012. He is responsible for all Treasury activities including corporate finance, credit, insurance, pensions, investor relations and foreign exchange and interest rate risk management. Since joining TransAlta in 1990, Mr. Stack has held numerous roles in TransAlta's Engineering and Finance departments. He has significant experience in finance, valuation, economics and the power industry. He acted as TransAlta's Assistant Treasurer and Director of Treasury, as well as a member of the corporate development team reviewing greenfield and acquisition opportunities. Mr. Stack held a number of roles in TransAlta's Engineering team including design, operations and project management. He is a Registered professional engineer in Alberta and a Chartered Financial Analyst. Mr. Stack has a Bachelor of Science in Electrical Engineering from the University of Alberta and a Masters of Business Administration from the University of Calgary.
