Richard P. Smith has been a Director of TriCo Bancshares (???TriCo ???) since 1999. He has served as the President and Chief Executive Officer of Tri Counties Bank (the ???Bank???) since 1999. He received a Bachelor of Science degree in Business Administration from California State University, Chico and is a graduate of the Pacific Coast Banking School.

Mr. Craig S. Compton has been Corporate Secretary of TriCo Bancshares since 2011. Mr. Compton serves as President, Chief Executive Officer and Chief Financial Officer of AVAG, Inc. He serves as Corporate Secretary of Granite Bancshares, Inc., and also serves as its Director. He is also a principal in a family rice farming partnership. He serves as a Director of Environmental Alternatives Foster Care Agency. Mr. Compton has been a Director at TriCo Bancshares and Granite Bancshares, Inc since 1989. John S. Fleshood is Executive Vice President and Chief Operating Officer of TriCo Bancshares. Most recently, he has served as the Chief Risk Officer at Wintrust Financial Corporation ('Wintrust'). During his 11 years at Wintrust, in addition to his Risk Management assignment, he held several other senior level positions including Market Head for Mortgage Banking and Market Head for Community Banking. Prior to Wintrust, he spent 13 years at Fifth Third Bancorp ('Fifth Third') headquartered in Cincinnati, Ohio. At Fifth Third, Mr. Fleshood held several executive level positions including serving as the CFO for Fifth Third's largest banking affiliate, and Treasury Manager for the multibank holding company. He began his banking career with an 8 year period at Indiana National Bank. Mr. Fleshood received a Bachelor of Science degree from Indiana University with a concentration in Business Administration and Finance, and his MBA from Butler University.

Mr. Michael P. Murphy serves as Marketing Director of Tri Counties Bank. Mr. Murphy has been Vice President and Marketing Director of TriCo Bancshares since January 13, 2014. Mr. Murphy began his professional career in market research and account management in San Francisco at the advertising agency of Foote, Cone and Belding. He then spent over 19 years through 2006 with Santa Barbara Bank & Trust/Pacific Capital Bancorp as their Senior Vice President / Marketing Director. While at SBB&T, he assembled a high performing marketing team that, aside from merger activities, organically tripled brand awareness and market share to become the region's number one used and highest customer service rated financial institution serving the consumer, small business, commercial and wealth management markets. For the past seven years, he has been a Small Business Entrepreneur and Marketing Consultant. He holds an undergraduate degree in marketing from Santa Clara University. He graduated first in his class at the University of Washington's Pacific Coast Banking School.

Mr. Glenn C. Hunter has been Chief Human Resources Officer and Senior Vice President of TriCo Bancshares and Tri Counties Bank since July 22, 2013. Mr. Hunter is responsible for the full spectrum of Human Resources services and all Training and Leadership Development activities at TriCo Bancshares. He has 25 years of banking and financial services experience including Obopay, TSYS Acquiring Solutions (TSYS) and HSBC. He served as Senior Vice President of Global Human Resources with Obopay, a mobile banking and e-Commerce company. He led the Human Resources, Training and Corporate Services functions at TSYS and held numerous HR roles at HSBC. Mr. Hunter began his financial services career with HSBC in retail banking prior to moving into Human Resources.

Mr. Michael J. Cushman served as the Chief Executive Officer and President of North Valley Bancorp, North Valley Bank (Redding, CA) and NVB Business Bank. Mr. Cushman served as an Executive Vice President of Strategic Initiatives at TriCo Bancshares and Tri Counties Bank since October 4, 2014 until January 30th 2016. Mr. Cushman served as the President and Chief Executive Officer of Country National Bank since September 1992. He served as the Senior Vice President and Chief Business Banking Officer of North Valley Bank from March 1998 to February 1999. From November 1994 to March 1995, Mr. Cushman served as a Vice President of Tri-Counties Bank, which acquired Country National Bank in November 1994. From March 1995 to March 1998, he was a self-employed investor. Mr. Cushman has been a Director of North Valley BanCorp. since February 1999. Mr. Cushman serves as a Director of North Valley Bank (Redding, CA), NVB Business Bank and Bank Processing Inc.
