Mr. Neil T. Watanabe has been the Chief Financial Officer of U.S. Auto Parts Network, Inc. since March 23, 2015. From March 1998 to March 2001, He served as the Principal Accounting Officer, Executive Vice President and Chief Financial Officer of PetSmart, Inc. He served as Senior Vice President and Chief Financial Officer of Mac Frugal's Bargains Close-Outs Inc., a discount retailer from 1996 to January 1998 and was its Principal Accounting Officer. From 1995 to 1996, he served as Vice President of Finance/Controller and Corporate Administration for Kay-Bee Toys, a mall-based specialty toy retailer. Prior to joining Kay-Bee Toys, he served as the Chief Operating Officer of Motherhood Maternity, Inc. from 1994 to 1995 and Vice President and Corporate Controller of Filene's Basement, Inc. from 1988 to 1994. He has over 30 years of retail Finance experience, starting his career with Montgomery Ward. He served as a Director of PETsMART.com, Inc. since May 12, 1999. Mr. Watanabe is a Graduate of the University of California at Los Angeles, with a Bachelor of Arts and obtained certification as a Public Accountant at University of Illinois at Urbana-Champaign - College of Business. Mr. Watanabe is a Certified Public Accountant.

Mr. Charles Fischer, also known as Charlie, has been Senior Vice President of Global Procurement at U.S. Auto Parts Network, Inc. since April 7, 2017. Mr. Fischer served as a Senior Vice President of Global Sourcing & Procurement at U.S. Auto Parts Network, Inc. since May 2008 until April 7, 2017. Mr. Fischer served as Senior Vice President of Purchasing at U.S. Auto Parts Network, Inc. since May 2008. From November 2004 to March 2008, Mr. Fischer served as Vice President of Supply Chain Management for Keystone Automotive Industries Inc. and was responsible for all aspects of Keystone's supply chain, including purchasing, inventory management and inbound logistics. From November 2003 to November 2004, Mr. Fischer was Director, Business Development for Modern Engineering, where he was responsible for developing, selling and implementing Logistics, Packaging and Engineering service projects to Automotive Industry clients. From 1998 to 2003, Mr. Fischer served as Director of Automotive Industry Consulting at Viewlocity Inc., and Vice President of Global Sourcing for Federal-Mogul Corporation.

Mr. David M. Eisler, Esq., has been Vice President, General Counsel and Corporate Secretary at U.S. Auto Parts Network, Inc. since June 2015. Mr. Eisler served as Vice President and General Counsel at REVA Medical, Inc. since February 10, 2014 and had overseen all corporate and operational legal matters. He has more than ten years of experience providing legal guidance to public companies and clients across a broad array of industries. He spent eight years at DLA Piper LLP, where he represented and counseled clients in SEC compliance, equity offerings, mergers and acquisitions and general corporate matters. His work at DLA Piper included representation of REVA during its A$85 million initial public offering on the Australian Securities Exchange, including the corresponding registration with the U.S. Securities and Exchange Commission. Mr. Eisler served as Senior Vice President, General Counsel and Corporate Secretary for The Active Network, Inc., where he was key to its successful IPO and subsequent sale to a private equity firm for $1.05 billion. Mr. Eisler holds a B.B.A. from Emory University's Goizueta Business School and a J.D. from Boston University.
