Ms. Miyun Sung, J.D., has been Senior Vice President and Secretary at Urstadt Biddle Properties Inc. since October 20, 2016 and its Chief Legal Officer since January 2018. Ms. Sung was Chief Corporate Counsel of Urstadt Biddle Properties Inc. from October 20, 2016 to January 2018. She served as a Vice President and Corporate Counsel at Finjan Holdings, Inc. since March 10, 2014. She has extensive legal experience in securities and capital markets. Ms. Sung is active in the legal community. Ms. Sung also assists companies in the preparation and filing of current and periodic reports and counsels them on disclosure and compliance issues arising under the federal securities laws, including the Sarbanes-Oxley Act. Prior to joining Finjan's senior management team, she served as an Associate/Counsel at Hogan & Hartson LLP, where she ran a broad corporate and securities practice including capital markets, SEC reporting and compliance, corporate governance and M&A. She focused her practice on the representation of public companies in such transactions as initial public offerings, 144A private placements, secondary equity and debt offerings, tender offers, mergers and acquisitions and joint ventures. Ms. Sung practiced law for more than 15 years, including as in-house counsel for public companies in the technology sector and as counsel for a DC-based international law firm, representing REITs, other public companies and investment banks in a broad range of corporate and securities law matters, with a particular emphasis on corporate finance, capital raising transactions and public company governance. She served as Senior Counsel for MicroStrategy Inc., where she was responsible for SEC reporting, corporate governance and general corporate issues. She was also involved with negotiating complex commercial agreements. She serves on the Common Interest Community Board of the Commonwealth of Virginia. She is admitted to the Bars of New York and the District of Columbia. Ms. Sung has received a J.D., cum laude, in 2000 from the Harvard Law School and a B.A., cum laude, in 1997 from Cornell University.
