Mr. Cary Bounds has been Chief Executive Officer of VAALCO Energy, Inc. since December 29, 2016. Mr. Bounds served as Interim Chief Executive Officer of Vaalco Energy Inc. from September 1, 2016 to December 29, 2016 and its Chief Operating Officer from June 2015 to December 29, 2016. He is a Petroleum Engineer and has almost 25 years of domestic and international asset management, business development, planning and technical engineering experience at large, multinational energy companies as well as at mid-sized and larger independent E&P companies. From 2010 until joining VAALCO, Mr. Bounds was employed with Noble Energy where he held upstream positions in international assets management, including Business Unit Manager, Equatorial Guinea Assets and Country Manager, North Sea. Prior to Noble, he held a variety of management and engineering positions with companies including SM Energy where he was Engineering Manager for their Gulf Coast and Permian assets and at Dominion Energy & Minerals where he was Manager of Business Analysis and Corporate Development, Planning Manager and Reservoir Engineering Supervisor. He began his career at ConocoPhillips in 1991 as a production engineer. He served as the Chairman of Management Committee at Atlantic Methanol Production Company, LLC. He has been Director of VAALCO Energy, Inc. since December 29, 2016. Mr. Bounds holds a Bachelor of Science degree in Petroleum Engineering from Texas A&M University.

Dr. Steven J. Pully, J.D., Esq., CPA, CFA, has been Consultant at Vaalco Energy, Inc. since October 30, 2015. Dr. Pully served as the General Counsel and Partner at Carlson Capital, L.P., where he worked from January 2008 to September 2014. From January 2003 to June 2004, he served as the Chief Executive Officer of privately-held Pinnacle Frames and Accents, Inc. He has over 25 years of experience in financial services and legal matters. Prior to Carlson Capital, he served as a Consultant, working primarily in the asset management industry. He served as the President at Newcastle Partners, LP (formerly, Newcastle Capital Management, L.P) from January 2003 to October 2007. He served as an Executive Vice President and Company Secretary of NCM Services Inc. since June 2003. He served as a Senior Managing Director at Bear Stearns. He worked at Kidder Peabody and Wasserstein Perella. He served as the Chief Executive Officer at Wilhelmina International, Inc. (formerly New Century Equity Holdings Corp.) from June 18, 2004 to October 10, 2007 and also served as its Secretary from June 18, 2004 to October 2007. From 2000 to 2001, he served as a Managing Director in the Investment Banking and Mergers and Acquisitions Department of Bank of America Securities Inc (Bank of America). From January 1997 to May 2000, he was a Member of the Investment Banking Department at Bear, Stearns & Co. Inc. and served as its Senior Managing Director in 1999. Prior to becoming an Investment Banker, he practiced securities and corporate law at Baker Botts LLP. He served as the Chairman of Whitehall Jewelers Holdings, Inc. (now WJ Holdings Liquidating Company) from July 5, 2005 to November 30, 2005. He has been an Independent Director of Bellatrix Exploration Ltd. since January 1, 2015, Ember Resources Inc. since September 2008, Vaalco Energy, Inc. since July 31, 2015 and Energy XXI Ltd. since January 5, 2017. He serves as a Director of Permian Holdco 1, Inc. Dr. Pully has been a Director of Goodrich Petroleum Corporation since March 22, 2017 and Titan Energy, LLC since May 2, 2017. He has been a Director of EPL Oil & Gas, Inc. since April 2008 and its Lead Director since May 4, 2013. He served as a Director of EPL Oil & Gas for the six years prior to the sale of company to Energy XXI in June 2014 and at the time of the sale, he served as the Lead Director. He served as a Director of Energy XXI Gulf Coast, Inc. since December 30, 2016 until May 10, 2017. He was appointed on the Board of Advisors of the McDonough School of Business at Georgetown University. He served as a Director at Pinnacle Frames and Accents, Inc. He served as a Director of Whitehall Jewelers Holdings, Inc from June 23, 2005 to November 30, 2005, WJ Holdings Liquidating Company from June 23, 2005 to November 29, 2005, NCM Services Inc. (Also known as: Pizza Inn Holdings, Inc. and Pizza Inn Inc.) from December 19, 2002 to December 2007 and Cano Petroleum, Inc. from May 26, 2009 to August 2010. He is a licensed Attorney. He is a CPA, CFA and a Member of the Texas Bar. Mr. Pully is a Chartered Financial Analyst, a Certified Public Accountant in the State of Texas and a member of the State Bar of Texas. He received his J.D. degree from the University of Texas. He holds a B.S. with honors in Accounting and BSBA from Georgetown University.

Ms. Elizabeth D. Prochnow has been the Chief Accounting Officer and Controller at Vaalco Energy Inc. since April 2016 and served as its Principal Financial Officer from August 1, 2016 to November 4, 2016. Prior to joining the Company, Ms. Prochnow served as Controller and Chief Accounting Officer for Total Safety, U.S., Inc. from August 2014 to March 2015. Prior to that, she served as a director of Carrtegra, LLC, a financial advisory consulting firm, from June 2013 to August 2014 and as Executive Vice President, Chief Financial Officer of Sterling Construction Company, Inc. (Nasdaq: STRL) from November 2011 to May 2013. Before beginning with Sterling in February 2011, Ms. Prochnow served as Vice President, Finance and Chief Financial Officer of Bristow Group Inc. from May 2009 to June 2010 and Vice President, Chief Accounting Officer and Controller from 2005 to 2009. From 1997 to 2005, Ms. Prochnow served in positions of increasing responsibility at MAXXAM Inc., ultimately as the companys Vice President and Controller. Before MAXXAM, she served as the Controller and Chief Accounting Officer of GulfMark Offshore, Inc. (formerly GulfMark International, Inc. (NYSE:GLF)) from 1990 to 1996. Ms. Prochnow began her career as a public accountant at Arthur Anderson LLP in 1981. Ms. Prochnow holds a Bachelor of Arts and a Masters of Accounting from Rice University and is a certified public accountant in the State of Texas.

Mr. Philip Franklin Patman, Jr., also known as Phil, J.D. has been Chief Financial Officer of VAALCO Energy, Inc. since April 17, 2017. Mr. Patman served as Principal of Darby Overseas Investments, Ltd. He has over 20 years of experience in the oil, gas and other areas of the energy industry in key roles including finance, business development and legal management. Prior to joining VAALCO, Mr. Patman served as Senior Vice President of Business Development 3 Division, The Americas at PTT Exploration and Production Public Company since August 01, 2012 to August 5, 2016. Mr. Patman served as Managing Director, Mergers & Acquisitions (Asia) for The AES Corporation from 2010 to 2011, where he led a team focused on acquisitions and sales of single and multiple-asset portfolios of Asian independent power plants. While at PTTEP, he led the PTT Exploration's E&P mergers and acquisitions activities in the US, Canada and to a lesser extent, Brazil. He served as Principal, Global Infrastructure of Darby Private Equity (a unit of Franklin Templeton Investments) from 2007 to 2010, with a specific focus on Asian infrastructure, including energy systems and other fee-generating infrastructure assets. He served as Director of Business Development, Asia for Globeleq Ltd. from 2004 to 2007, where he made acquisitions and divestitures; he also served on boards of directors of holding and subsidiary companies owned in part by Globeleq and as part of executing board decisions, had responsibility for approving financial statements. He was Professional Consultant, LNG and Natural Gas for Marathon Oil Company from 2002 to 2004, where he advised on the development of Marathon's Equatorial Guinea LNG liquefaction facility. He served as Director of Business Development for Enron Corp. from 1997 to 2001. Mr. Patman began his career as a lawyer in private practice in Houston, from 1993 to 1997. Mr. Patman has a J.D. from the University of Houston Law Center, Houston, Texas, USA and a B.A. Plan II Honors Program from the University of Texas at Austin.
