Mr. Andrew E. Crouch has been President and Chief Operating Officer of Zayo Group Holdings, Inc. since April 27, 2017. Mr. Crouch has been an Executive Officer of Level 3 Communications, Inc. since April 3, 2017. Mr. Crouch served as Regional President of EMEA and Global Accounts Management Division at Level 3 Communications, Inc. from October 31, 2014 to April 3, 2017. Prior to that, Mr. Crouch served as the Senior Vice President of the Carrier Channel from January 2005 to April 2006 and Senior Vice President of the Enterprise Voice Services from January 2004 to January 2005. He began his career at Level 3 in November 2001 as the Senior Vice President of Sales for the Cable and ISP Channel and held this position until December 2003. He served as the Deputy General Manager within the Corporate Clients Division at British Telecom. He also served as the Vice President of Commercial Operations for Concert Communications, a joint venture between British Telecom and AT&T from January 2000 to October 2001. He holds a Bachelor of Science in Management Sciences at the University of Manchester and a master's degree at University College London (UCL) in Telecommunications Management.

Mr. Matt Steinfort has been the Chief Financial Officer of Zayo Group, LLC since September 15, 2017 and served as its Executive Vice President of Corporate Strategy, Development & Administration from 2016 to September 15, 2017. Mr. Steinfort has been the Chief Financial Officer of Zayo Group Holdings, Inc. since September 15, 2017 and served as its Executive Vice President of Corporate Strategy, Development, & Administration from November 2016 to September 15, 2017. Mr. Steinfort is the Founder of Envysion, Inc. He served as the Chief Executive Officer of Envysion, Inc. since March 2008 until November 17, 2016 and served as its President until November 17, 2016. He was responsible for both the strategic direction and the day-to-day operation of Envysion and for leading fundraising efforts on behalf of it. He served as Chief Operating Officer of Envysion, Inc. from February 2006 to March 2008. Prior to joining Envysion, he served as Senior Vice President, Corporate Strategy of ICG Communications Inc. Prior to ICG , he served as Vice President of Consumer Voice Services at Level 3 Communications from 2004 to 2005 where he successfully brought to market Level 3's ISP focused consumer voice services, he served as its Vice President of Finance. Mr. Steinfort worked in a variety of strategy and corporate development roles at Level 3, primarily as Vice President of Corporate Strategy from 1999 to 2004. He drove numerous business unit strategy efforts and numerous successful acquisition and integration efforts. He served as a Management Consultant at Bain & Company in Boston and Sydney from 1996 to 1999, where he advised clients in the telecom and software industries. He began his career at IT consulting and systems development firm Cambridge Technology Partners where he led both consulting and application development efforts for Fortune 1000 companies. He serves as Director of Envysion, Inc. Mr. Steinfort holds a BSE in Civil Engineering and Operations Research from Princeton University and his MBA from the MIT-Sloan School of Management.

Mr. John F. Waters, Jr., also known as Jack, has been Chief Technology Officer of Zayo Group, LLC since August 29, 2016 and has been its President of Network Solutions since July 3, 2017. Mr. Waters oversees global technology and network strategy and execution. He is also involved in all aspects of the business and is directly engaged with Zayo's strategic customers, technology vendors and alliance partners. Mr. Waters has been the Chief Technology Officer and President of Fiber Solutions at Zayo Group Holdings, Inc. since August 15, 2016. Prior to joining Zayo, Mr. Waters served as the Chief Technology Officer of Level 3 Communications, Inc., from January 2008 to August 3, 2016 and at Level 3 Communications, LLC from February 2000 to August 3, 2016, where he was focused on global network technology, architecture, engineering, process and security. He served as President of Operations at Level 3 Communications, Inc. since January 2008. Mr. Waters served as Group Vice President of Level 3 Communications Inc. since February 2000. He served as Executive Vice President of Level 3 Communications LLC of Level 3 Communications Inc. from January 2004 to January 2008. Prior to that, Mr. Waters served as Group Vice President and Chief Technology Officer of Level 3 Communications Inc. from February 2000 to January 2004. Prior to that, he served as Vice President of Engineering at Level 3 Communications Inc. from November 1997 to February 1, 2000. He was an original member of the team responsible for InternetMCI. Before joining Level 3, Mr. Waters served as Executive Staff Member of MCI Communications from 1994 to November 1997, was responsible for network architecture and implementation. Prior to MCI, Mr. Waters served as Director of Engineering and operations for SURAnet, the Southeastern University Research and Academic Network. He serves on the FCC's Technical Advisory Council and the board of directors for the Colorado Technology Association. He holds a Bachelor's of Science in Electrical Engineering from West Virginia University and a Master's of Science in Electrical Engineering from Johns Hopkins University.

Mr. Kenneth desGarennes, also known as Ken, has been Chief Financial Officer Emeritus of Zayo Group, LLC and Zayo Group Holdings, Inc. since September 15, 2017. Mr. desGarennes serves as Chief Financial Officer of Zayo Colocation, Inc. and Zayo Colocation, LLC. He served as the Chief Financial Officer of Zayo Group, LLC from October 2007 to September 15, 2017. He oversaw all financial operations as well as corporate development, investor relations, treasury, tax and legal of Zayo Group. He joined Zayo in 2007. Mr. desGarennes is an Advisor at Delta-v Capital. He served as Chief Financial Officer at Zayo Group Holdings, Inc. from October 2007 to September 15, 2017. He served as Chief Financial Officer and Treasurer at Zayo Fiber Solutions, LLC since October 2007 and served as its Vice President. He was recognized by the Denver Business Journal as the 2011 CFO of the Year for his contributions to the success of Zayo Group. He is an active supporter of the entrepreneurial community in the Front Range. He is a frequent guest lecturer at the University of Colorado Leeds School of Business and Colorado School of Mines. He has 20 years of experience in leading operations and transactions primarily in the technology and communications industry. Mr. desGarennes received his B.S. in finance from the University of Maryland in College Park.

Ms. Sandi Mays has been Chief Information Officer and Executive Vice President of IT, Billing, Client Service Management, Tranzact & Big Data at Zayo Group, LLC since June 27, 2016. Ms. Mays has been Executive Vice President of IT, Billing, Client Service Management, Tranzact and Big Data at Zayo Group Holdings, Inc. since November 10, 2015 and serves as its Chief Information Officer. She served as Executive Vice President of IT, Tranzact, Big Data, CSM & Billing at Zayo Group, LLC. Ms. Mays served as Senior Vice President of IT, Tranzact & Billing at Zayo Group Holdings, Inc. until November 10, 2015. She served as the Senior Vice President and Chief of Staff for Zayo Group at Zayo Group, LLC. Ms. Mays has been with Zayo since 2006 and her responsibilities include overseeing operational financial reporting and human resources. She served as Chief of Staff at ICG Communications, managing both operational finance reporting and network financial planning. Prior to ICG, Ms. Mays served as Chief of Staff at Level 3 Communications. During her eight years at Level 3, she worked in financial and operational reporting, revenue assurance, sales operations, IT support and vendor relations. Prior to Level 3 Communications, Ms. Mays held leadership positions at firms including MFS Telecom, WorldCom, Focus Enterprises and Northern Trust. Her responsibilities included sales operations, business operations, real estate/lease administration and fixed asset/capital reporting. Ms. Mays earned a B.S. (magna cum laude) in Finance from DePaul University.

Mr. Michael R. Strople, also known as Mike, P. Eng. has been Executive Vice President of Enterprise Networks & Allstream at Zayo Group, LLC and Zayo Group Holdings, Inc. since July 24, 2017 and served as its Managing Director of Canada until July 3, 2017. Mr. Strople served as President of Enterprise Networks & Allstream Segments at Zayo Group Holdings, Inc until July 24, 2017. Mr. Strople served as Managing Director of Canadian Business Units at Zayo Group Holdings, Inc. since January 15, 2016. He served as the President of Allstream Inc. from January 17, 2014 to January 16, 2016. He served as the Chief Operating Officer of Allstream until January 17, 2014. He served as the Chief Technology Officer for both Allstream and its Manitoba-based affiliate, Manitoba Telecom Services, Inc. (MTS). He served as Vice President of Technology Development at MTS Allstream Inc. until September 2011. Before joining MTS Allstream, he gained global experience at Nortel Networks serving large telecommunications providers in the areas of IP and wireless networking. He has 20-plus years of experience in the telecommunications industry. He is Chair of the Metro Ethernet Forum and a member of the board of directors of the Liquor Control Board of Ontario (LCBO). He is a Licensed Professional Engineer with a Bachelor of Applied Science in Electrical Engineering and an Option in Management Science from the University of Waterloo.

Ms. Wendy Cassity has been General Counsel and Vice President of Zayo Group Holdings, Inc. since February 22, 2016 and also serves its Secretary. Ms. Cassity has been General Counsel, Secretary and Senior Vice President of Zayo Group, LLC since January 2016. Ms. Cassity served as Vice President at Zayo Group, LLC until October 4, 2017. She oversees Zayo's corporate legal and compliance functions and advises the Board of Directors, executive leadership team and business teams on matters including securities law, mergers and acquisitions, financing and securities transactions, corporate governance and compliance. Before joining Zayo in 2016, Ms. Cassity served as Secretary, General Counsel and Vice President of Thompson Creek Metals Company Inc. from September 7, 2010 to January 2016. Ms. Cassity began her legal career as a Corporate Associate with Cravath, Swaine & Moore, LLP in New York advising public and private clients in corporate transactions including mergers and acquisitions and debt and equity financings. She joined McDermott Will & Emery LLP in New York as a Partner and Corporate Associate. Ms. Cassity served as external M&A counsel for Danaher Corporation in Washington, D. C. She was Managing Editor of The Columbia Law Review and was a Harlan Fiske Stone Scholar. Ms. Cassity holds a Bachelor of Arts with Honors in English and History from the University of Arizona and a Juris Doctor from Columbia University School of Law.

Mr. Jiva J. Jagtap serves as a Chief Financial Officer of Enterprise Networks & Allstream at Zayo Group Holdings Inc. Mr. Jagtap served as Managing Director of Corporate Finance at FTI Consulting, Inc. until July 2017. Mr. Jagtap served as Vice President of Corporate Development at BFound.com. Over the past 10 years, Mr. Jagtap has advised a number of companies, both large and small, on complex merger and acquisition (M&A) and financing transactions. As part of the M&A team at Level 3 Communications and the technology investment banking group at Salomon Smith Barney, Mr. Jagtap has led a series of telecom projects ranging from strategic and financial planning to tactical operational management. At Level 3, Mr. Jagtap led the effort for new enterprise VoIP services. Prior to Level 3, Mr. Jagtap was part of the startup team at SignalSoft, a wireless software company. Mr. Jagtap was vice president of Corporate Development responsible for SignalSoft's strategic plan, partnership program and expansion into Europe and Asia. As part of the investment banking team at Salomon Smith Barney, a position he held before joining SignalSoft Corporation, Mr. Jagtap executed a number of financing and merger and acquisition transactions in the technology sector. Prior to joining Salomon Smith Barney, Mr. Jagtap was a senior software analyst in the Bombay, India office of UNISYS Ltd. and held a position as process planning engineer at Siemens Ltd., also in Bombay. Mr. Jagtap holds a M.B.A. in finance from Case Western Reserve University in Cleveland, Ohio, where he was the recipient of the Weatherhead Merit Scholarship. He earned a B.E. in Mechanical Engineering from Bombay University in India.

Mr. Alastair Kane serves as Managing Director of Northern Europe at Zayo Group Holdings, Inc. and served as its since November 10, 2015. Mr. Kane serves as Managing Director of Northern Europe at Zayo Group, LLC. Based out of Zayo's London office, he leads Zayo's Northern European business including both the commercial and operational sides. He has held a variety of executive roles throughout his career in the telecommunication industry in sales management and marketing for organizations such as Level 3, MFS, British Telecom and 2e2.
