Mr. Willie R. Barnes Esq. has been a Corporate Secretary of American Shared Hospital Services since 1984. Mr. Barnes has been a Partner in the law firm of Musick Peeler & Garrett LLP since June 1992. He has served as the Commissioner of Corporations for the State of California in 1975 and is a Member of the California Senate Commission on Corporate Governance, Shareholder Rights and Securities Transactions from 1986 to 1991. Mr. Barnes was a Partner at Wyman Bautzer Kutchel & Silbert from January 1989 until its dissolution in March 1991 and a Partner of Katten Muchin Zavis & Weitzman from March 1991 to January 1992. From 1979 to 1988, he was a Senior Partner of Manatt, Phelps, Rothenberg & Phillips and served as Chairman of its Corporate and Securities Department. He served as a Director of Spirit Finance Corp. since December 2003. He served as a Director of GE Franchise Finance (former Franchise Finance Corp. of America) from 1995 to until its acquisition in mid 2001. Mr. Barnes served as a Director of American Shared Hospital Services since 1984. He is a Member of the Business Law Section of the American Bar Association, in addition to other committees. He is a Corporate and securities law attorney. Mr. Barnes is a member of the following committees: the Federal Regulation of Securities Committee, the State Regulation of Securities Committee and the Futures Regulation Committee. Mr. Barnes holds a Bachelor of Arts degree from the University of California at Los Angeles in 1953 and his law degree from the UCLA Law School in 1959.

Mr. Ernest R. Bates has been a Vice President of Sales and Business Development at American Shared Hospital Services since January 2007. Mr. Bates served as a Managing Director of Institutional Fixed Income Sales of HSBC Securities (USA), Inc. since 2003. He served as Managing Director, Head of Asian Product for HSBC Securities (USA) Inc. from 1999 to 2003. He held various positions with Merrill Lynch, as Vice President, European Syndicate for Merrill Lynch International from 1993 to 1999. He served as a Director of American Shared Hospital Services from 2004 to February 8, 2007. Mr. Bates received his B.A. degree from Brown University and M.B.A. degree from The Wharton Business School.
