Mr. Brent Kyle Bloss, CPA, has been Chief Operating Officer of Waddell & Reed Financial, Inc. since November 22, 2017. He serves as a Senior Vice President, Chief Financial Officer, Treasurer and Director at Ivy Investment Management Company. Mr. Bloss has been Senior Vice President and Treasurer of Waddell & Reed Financial, Inc. (the ???Company???) since March 2014 and served as its Chief Financial Officer until December 31, 2017. Prior thereto, Mr. Bloss was Senior Vice President ??? Finance and Principal Accounting Officer of the Company since July 2007 and Treasurer of the Company since January 2006. Mr. Bloss received his B.S. in accounting from Missouri State University. He earned an M.B.A. with a concentration in finance from the University of Missouri/Kansas City. Mr. Bloss is a Certified Public Accountant.

Ms. Wendy Jacqueline Hills is Chief Legal Officer, Senior Vice President, General Counsel and Secretary of Waddell & Reed Financial, Inc. (???Waddell & Reed???). Ms. Hills is also General Counsel for all subsidiary companies. She serves as the Senior Vice President, General Counsel and Secretary at Ivy Investment Management Company, since 2014. Ms. Hills began her career with Waddell & Reed in 1998. She joined Waddell & Reed as Compliance Officer for Waddell & Reed's affiliated mutual funds and transitioned to legal and regulatory matters involving the public company in 2000. Ms. Hills was promoted to General Counsel in February 2014. Prior to joining Waddell & Reed, Ms. Hills was associated with Klenda, Mitchell, Austerman & Zuercher, L.L.C., a Wichita-based law firm, where she was engaged primarily in the practice of corporate and securities law. Ms. Hills received her J.D. from the University of Kansas School of Law in 1997. She holds Financial Industry Regulatory Authority (FINRA) Series 7 and Series 24 licenses.

Mr. John Earl Sundeen, Jr., CFA, has been Senior Vice President of Waddell & Reed Financial, Inc. (the ???Company???) since July 1999 and Chief Administrative Officer ??? Investments since January 2006. He serves as the Chief Administrative Officer, Executive Vice President & Director at Ivy Investment Management Company. Previously, he served as Chief Financial Officer from July 1999 to June 2004 and as Treasurer of the Company from July 1999 to January 2006. He was appointed Executive Vice President of Waddell & Reed Services Company in August 2016 and has served as Executive Vice President and Chief Administrative Officer of Waddell & Reed Investment Management Company (???WRIMCO???) and of Ivy Investment Management Company since June 2004. Previously, he served as Senior Vice President of WRIMCO from January 1996 to June 2004 and as Head of Fixed Income within the Investment Management Division thereof from January 1994 to June 1999. Mr. Sundeen joined the Waddell & Reed in June 1983. Mr. Sundeen graduated from the University of Kansas in 1983 with a B.S. in Business Administration and Accounting. In 1986 he earned an M.B.A. with an emphasis in Finance from the University of Missouri at Kansas City. Mr. Sundeen is a Chartered Financial Analyst (CFA).

Mr. Benjamin R. Clouse, also known as Ben, has been Chief Accounting Officer and Vice President at Waddell & Reed Financial, Inc since March 1, 2016 and its Chief Financial Officer since January 2018. Mr. Clouse joined the firm in October 2015 and served as Vice President of Finance until March 1, 2016. Previously, he served as the Chief Financial Officer and Vice President for Finance at Executive AirShare Corporation from October 2012 to November 9, 2015. From 2006 to 2012 and from 2002 to 2005, he served in various roles with H&R Block, Inc., including Assistant Vice President of Audit Services and Assistant Vice President and Controller - Tax Services. Prior to this, Mr. Clouse served as Vice President of Finance and Corporate Controller of Gold Bank Corporation, Inc from 2005 to 2006. Prior to 2002, he served in various roles in the audit practice at Deloitte & Touche, LLP. Mr. Clouse is a Certified Public Accountant and holds an International Financial Reporting Standards certification. He received a Master of Science in Accounting and Bachelor of Science in Business Administration from Kansas State University.
