Mr. David G. Ellen has been Executive Vice President, General Counsel and Secretary of CSC Holdings, LLC since December 2013. Mr. Ellen has been Senior Executive Vice President of Charter Communications, Inc. since July 5, 2016. Mr. Ellen served as an Executive Vice President and General Counsel of Cablevision Systems Corporation since September 2009 and serves as its Secretary since December 30, 2013. Circuit from 1992 to 1993, at Judge (now Justice) Stephen Breyer on the U.S. Court of Appeals for the First Circuit from 1993 to 1994 and at Justice Sandra Day O' Connor on the U.S. Supreme Court from 1994 to 1995. He served as the President of the law review of Harvard Law School. He has been a Director of Styleclick Inc. since September 2002. He serves as a Director of Ticketmaster, Expedia, Inc. Mr. Ellen is also a trustee of Hudson Guild. He served as a Director of Hotels.com. Mr. Ellen holds Law Degree in 1992 from Harvard Law School. He also holds Masters Degree from Cambridge University as a Marshall Scholar and a B.A., summa cum laude, from Harvard College.

Mr. Gary Schanman has been Senior Vice President of Video Products at Charter Communications, Inc. since April 2, 2014. Most recently, Mr. Schanman served as Senior Vice President of Strategy, Revenue Management and Operations for Cablevision Media Sales. Throughout his tenure at Cablevision, Mr. Schanman served multiple high-ranking positions including: Senior Vice President of Broadband Product Management, Senior Vice President of Strategic Product Development and Design, as well as Senior Vice President of Video Product Management. Mr. Schanman served as Comcast's Vice President of Advertising and Interactive Commerce Product Development. Prior to his cable industry experience, Mr. Schanman worked in product management and business development for iWon.com (currently part of IAC). He served as a Strategy Consultant in the entertainment and media strategy practice of PricewaterhouseCoopers. He began his career in advertising as an Account Manager for Young & Rubicam and Ogilvy & Mather. Mr. Schanman holds an MBA from the University of Michigan and a BS in both Finance and Advertising from Syracuse University.

Mr. Michael Bair, also known as Mike, has been Executive Vice President of Spectrum Networks at Charter Communications, Inc. since July 11, 2016. Mr. Bair joined Charter from Bleachers Corp., a start-up streaming media company, where he served as Chief Executive Officer. Before MSG Media, he served as President, Product Management and Marketing for Cablevision's cable division, where he was responsible for product strategy, programming, marketing and advertising, as well as brand management, for its video, voice and internet services. Mr. Bair also held executive positions at Rainbow Media, HBO, Showtime Networks and Ogilvy and Mather Advertising. He served as the President of MSG Media at Madison Square Garden, Inc., and MSG Networks Inc. (alternate name, Madison Square Garden, L.P.). He served as the President of MSG Media for Madison Square Garden Network since February 2005. He served as the Chief Executive Officer and President of Outside Television, Inc. (alternate name, Resort Sports Network, Inc.). Mr. Bair graduated from Pennsylvania State University with a B.A. in Broadcast Communications and is a recipient of the university's Distinguished Alumni Award.

Ms. Rhonda Crichlow has been Chief Diversity Officer and Senior Vice President at Charter Communications, Inc. since September 20, 2016. Ms. Crichlow joined Charter after 10 years with the Novartis Pharmaceuticals Corporation. She served as Head of US Diversity & Inclusion and Vice President at Novartis Pharmaceuticals Corporation since October 2011. She was responsible for implementing NPC's diversity and inclusion strategy, focused on fostering an inclusive environment and ensuring alignment with NPC's key business objectives. She served as President of the Novartis US Foundation. She served as Executive Director, Alliance Development & Philanthropy. She was responsible for overseeing strategic efforts to build sustainable relationships with patient advocacy organizations and professional societies, and driving the US strategy and implementation of NPC's philanthropic initiatives, volunteer programs, and workplace giving campaigns. Ms. Crichlow joined NPC as the Executive Director of Philanthropy and Community Development in March 2006. She also served as Secretary of the Novartis Patient Assistance Foundation, and served on the Executive Diversity and Inclusion Council. Prior to joining NPC, Ms. Crichlow was a Legal Consultant for the Office of the Monitor. Her primary responsibility involved deciding the merits of Petitions for Monitor Review and drafting decisions evaluating whether an Adjudicator should be mandated to reexamine class members' claims. Prior to this engagement, she worked at two law firms as a tax attorney representing corporate clients with respect to federal tax controversy, litigation, and business planning matters. She also served as a judicial law clerk for the Honorable Ronald L. Buckwalter in the Eastern District of Pennsylvania. Ms. Crichlow is a 2010 Helping People Move Forward Award recipient in recognition of her efforts to improve the quality of life of New Jersey residents, and a 2008 YMCA Tribute to Women and Industry Award recipient. She has been recognized as a 2016 Healthcare Businesswomen's Association Luminary Award winner and a 2015 Top Blacks in Healthcare Award Honoree, which recognized individuals in the healthcare sector whose work creates access to healthcare for African Americans in underserved communities. In 2013 she also received the Cornerstone of the Community Award, honoring her long-standing support as a volunteer and board member of Family Service of Morris County. Ms. Crichlow received her undergraduate degree from The George Washington University, a Master of Public Policy from Duke University, and a Juris Doctor from the University of Virginia Law School.

Mr. James Blackley, also known as Jim, has been an Executive Vice President of Engineering & Information Technology at Charter Communications, Inc., a manager of CCO Holdings LLC since October 15, 2012. Prior to joining Charter, Mr. Blackley served as Executive Vice President for Corporate Engineering & Technology at Cablevision Systems Corporation from August 2010 to October 2012 and served as its Senior Vice President of corporate engineering & technology. Mr. Blackley was previously with Cablevision from 1996 to 2012. He served as an Executive Vice President of Corporate Engineering and Technology. Prior to joining Cablevision in 1996, Mr. Blackley designed software and systems with evolving development and technology responsibilities with Royal Insurance, Depository Trust Company, Long Island Lighting Company, Con Edison and American International Group. He serves as a Director of ActiveVideo Networks, Inc.

Ms. Jodi Robinson has been Senior Vice President of User Experience Design & Development of Charter Communications, Inc. since December 10, 2014. Ms. Robinson served as Vice President of Internet & Interactive Technology at Starz Entertainment, LLC since October 2012. Ms. Robinson and her group led technology strategy and development for Starz Entertainment, including advanced services and interactive television. She joined Charter after nearly 9 years with Starz Entertainment. She joined Starz Entertainment in 2006 as Director of Engineering within the Advanced Services division and was a key executive on the Vongo technology development team. Ms. Robinson was a Software Architect at Level 3 Communications where she was responsible for key platform initiatives within the Technology organization. She held a variety of software development and architecture roles at Sun Microsystems. She was named 2013 Technology Woman of the Year by the WICT (Women in Cable Telecommunications) Rocky Mountain Division. She is a graduate of Stanford University with a Bachelors of Science in Computer Science.

Mr. Vikram Nangia has been Senior Vice President of Credit & Collections at Charter Communications, Inc. since August 01, 2017. Mr. Nangia oversee the Charter's credit, collections and cash management functions for residential and small-to-medium businesses. He joined Charter after 16 years with the American Express Company, where he served in a number of leadership positions as Executive Vice President of World Service. At American Express, he oversaw the billing and card-issuing organization and led a digital transformation around card and account servicing. Prior to American Express, he served as a Director in the M&A group for Philip Morris, Inc., where he helped lead the IPO of Kraft Foods and $18.9 Billion acquisition of Nabisco holdings, Inc. He joined Philip Morris through its acquisition of Kraft Foods, where he served in various Finance & Strategy roles. Mr. Nangia holds an M.B.A. from the University of Michigan, an M.A. in Economics from the State University of New York and a B.A. in Economics from the University of Delhi, India.

Mr. David L. Kline serves as an Executive Vice President of Advertising Sales and President of Media Sales at Charter Communications, Inc. Mr. Kline served as an Executive Vice President and President of Media Sales at Charter Communications, Inc. since October 5, 2015 and oversaw all aspects of Charter's advertising and media business. Mr. Kline served as the Chief Operating Officer and President of Visible World, Inc. from July 2015 to October 2015. Mr. Kline served as the Chief Operating Officer of Ensequence, Inc. since August 5, 2013, where he oversaw the day-to-day operations for all sales, marketing and communications of Ensequence's interactive advertising and programming products and services. He has over 30 years of knowledge and experience and has a wealth of industry knowledge. With a career spanning over 33 years in the media business, he managed regional sports networks and cable networks. He served as Chief Information Officer, Senior Vice President of Technology, Chief Information Officer of MTV Networks Unit and Senior Vice President of Technology of MTV Networks Unit at Viacom, Inc. since November 1, 2010. He served as the Chief Information Officer at Cablevision Media Sales Corporation since July 2007. He served as the President and Chief Operating Officer of Cablevision Media Sales, where he oversaw day-to-day operations for Cablevision's advertising businesses including local cable, interconnects, regional news channels, national cable networks, newspapers and advanced advertising products. At Cablevision, he led the industry charge in advanced advertising by launching a record 18 products and applications and many firsts for the cable industry including the first house addressable footprint, first dedicated advertiser channels, first offer to advertisers of email and SMS text fulfillment with RFIs and first dynamic ad insertion into VOD. Mr. Kline served as the President and Chief Operating Officer of Rainbow Advertising Sales Corporation, an affiliate of AMC Networks Inc. He joined Discovery Communications Holding, LLC (formerly, Discovery Communications, Inc) in 2007, where he served as Chief Information Officer and Executive Vice President since June 2007 and provided global leadership, strategic management and technical guidance for Discovery's IT operations and facility engineering worldwide. Prior to Discovery, Mr. Kline spent nearly 10 years at Rainbow Media Holdings, the content subsidiary of Cablevision Systems. At Rainbow Media, he served as Senior Vice President and Chief Information Officer , Information Systems & Facilities Management, with full accountability for information systems and facilities performance. Previously, he served in management positions at Integrated Systems Group and North Shore Health Systems. He serves as a Director at Visible World, Inc. In 2009, Mr. Kline served as named Business Executive of the Year and Chief Information Officer of the Year Mid-Atlantic States by the Tech Council of Maryland. He is a graduate of Long Island University with a Bachelor of Science in management and marketing as well as a Masters of Business Administration in information systems. Mr. Kline holds a Bachelor's Degree from The Ohio State University.

Mr. James Nuzzo, also known as Jim, has been an Executive Vice President of Business Planning at Charter Communications, Inc. since June 23, 2014. Mr. Nuzzo served as a Senior Executive Vice President of Operations and Business Planning at Cablevision Systems Corporation since May 17, 2013 until December 2013. Mr. Nuzzo oversaw the teams responsible for financial planning; business intelligence and analytics; and the development, execution and tracking of operating plans for each business within Cablevision and manages several corporate administrative functions.
