Mr. Matthew Messinger has been the Chief Executive Officer and President at Trinity Place Holdings Inc. since October 1, 2013 and has been its Director since March 9, 2016. Mr. Messinger serves as Senior Vice President and Director of Investment Management and Hotel Investments of Forest City Ratner Companies, LLC. In his development role, some of Mr. Messinger's responsibilities include conducting feasibility analysis, approving designs, structuring and sourcing hotel investments, overseeing budgets, participating in creating a financing strategy, negotiating franchise, joint venture and management agreements and where necessary, negotiating with the public sector. In his asset management capacity, Mr. Messinger is responsible for maximizing Forest City hotel portfolio value and maintaining relationships with all stakeholders, including lenders. This requires conducting a continuous, detailed assessment and benchmarking of all components of the hotels, including revenue performance and levels of expenses. He also oversees special situations related to the hotels, such as Forest City's post-9/11 business interruption insurance claims and the ongoing operation of Forest City Ratner Companies, LLC food and beverage business. He is a frequent panelist and lecturer at Columbia University Business School, The Haas School of Business at Berkeley, New York University and UCLA. Mr. Messinger holds a Bachelor of Science degree from Wesleyan University in Mathematics and Economics.

Mr. Charles Gans has been Senior Vice President at Trinity Place Holdings Inc.., since October 2017. Mr. Gans worked at the New York City Economic Development Corporation (???NYCEDC???) in the Real Estate Transactions department. NYCEDC's Real Estate Transactions department executes transformative public-private redevelopment projects on behalf of the City of New York. Mr. Gans held a progression of roles over his seven years at NYCEDC. He began his tenure at NYCEDC managing projects such as Essex Crossing and Cornell Tech and rapidly rose to the title of Executive Vice President and co-head of the Real Estate Transactions department. As Executive Vice President, Mr. Gans led redevelopment projects such as the Spofford Live Work Campus in Hunts Point, the mixed-use waterfront project on 44th Drive in Long Island City and Caton Flats in Flatbush. In total, Mr. Gans closed over $3 billion of transactions at NYCEDC. Prior to joining NYCEDC, Mr. Gans spent six years at Lend Lease where he served as construction manager for over 1.25 million square feet of ground-up, high-rise residential development projects and performed preconstruction work across a variety of commercial office, hospitality, senior living and multifamily projects. Mr. Gans received his MBA from the Wharton School at the University of Pennsylvania and a BS in Civil Engineering from Northwestern University.

Ms. Miriam G. Harris serves as an Executive Vice President of Trinity Place Holdings Inc. Ms. Harris is a seasoned real estate industry executive and has more than 16 years of acquisition, development, leasing, financing, marketing and asset management experience. Ms. Harris served as an Executive Vice President and Co-head of the Real Estate Transaction Services Group for the New York City Economic Development Corporation (NYCEDC) where she oversaw some of the most complex public-private land development deals completed under the Bloomberg Administration. Prior to joining NYCEDC, Ms. Harris spent over a decade at Forest City Ratner Companies (FCRC) where she served as Vice President for Commercial Development and managed the acquisition, development, marketing and leasing of the 1.6 million square foot New York Times Building in Times Square. During her tenure at FCRC, Ms. Harris also contributed to the company's hotel development projects, including the Embassy Suites Hotel (currently the Conrad Hotel) in Battery Park City and the Hilton Times Square. Ms. Harris earned a Masters in Urban Planning from Harvard University, a Masters in Art History from the University of Chicago and Bachelor's degree from Swarthmore College.

Mr. Steven Kahn, CPA, has been the Chief Financial Officer at Trinity Place Holdings Inc. since September 21, 2015. Mr. Kahn served as Chief Financial Officer and Treasurer at United Realty Trust Incorporated and as the Chief Financial Officer at United Realty Advisors LP since May 27, 2014. He served as a Senior Vice President and Director of Financial Reporting and Taxation at SL Green Realty Corp, where Mr. Kahn was responsible for all SEC filings, financial accounting and reporting, Sarbanes-Oxley compliance as well as tax compliance and transaction structuring, from November 1999 to July 2013. He served as a Senior Manager at PricewaterhouseCoopers, LLP, specializing in real estate, where Mr. Kahn was responsible for comprehensive management of client relationships and audit engagements, from January 1998 to November 1999. He served in a similar capacity at Deloitte & Touche LLP, from September 1989 to January 1998. Mr. Kahn is a New York licensed Certified Public Accountant and is a member of the American Institute of Certified Public Accountants (AICPA) and the New York State Society of Certified Public Accountants (NYSSCPA). He graduated from Queens College of the City University of New York with a B.A. in Accounting in 1989.

Mr. Richard G. Pyontek has been Chief Accounting Officer and Treasurer at Trinity Place Holdings Inc. since October 12, 2012 and serves as its Corporate Secretary. Mr. Pyontek has been Director of Accounting and Reporting at Syms Corp. since July 2011. He served as the Chief Financial Officer of Trinity Place Holdings Inc. from October 10, 2012 to September 2015. He served as Director of Accounting and Reporting at Ashley Stewart, Inc., a women's clothing retailer, during the time of its bankruptcy filing and turnaround from 2009 to 2011. He served as Controller at The Vitamin Shoppe, a retailer of health and nutrition supplements from 2005 to 2008. He served as Director of Finance at Party City Corporation, a retailer of party supplies and gifts from 2003-to 2005. Mr. Pyontek held senior accounting and reporting roles at Linens 'n Things, a major retailer of household goods and at KPMG LLP, an international accounting firm. Mr. Pyontek is a Certified Public Accountant. He holds a Bachelor's degree in Business Administration from Montclair State University.
