Ms. Randi W. Singer has been employed at Weil, Gotshal & Manges LLP in the position of Partner since November 2006. Ms. Singer has extensive experience with Lanham Act false advertising and trademark cases, as well as with other intellectual property, media, music licensing and First Amendment issues. Ms. Singer has successfully represented and counseled clients on a wide variety of advertising issues involving a broad spectrum of consumer products and services, such as over-the-counter drugs, cosmetics, luxury goods and consumer electronics, including TRO and preliminary injunction actions in federal court, litigations, proceedings before the National Advertising Division of the Better Business Bureau and its National Advertising Review Board, and in TV network challenges. Ms. Singer also focuses on technology development and licensing agreements and has successfully represented clients in both licensing deals and complex M&A transactions. She provided extensive legal support to NYC2012, New York City's bid for the 2012 Olympics, drafting and negotiating contracts for outdoor advertising venues across the city for the period of the Olympic Games in order to prevent ambush marketing. She also drafted the executive order setting up the Mayor's Enforcement Board on Olympic Brand Protection. Ms. Singer graduated magna cum laude from Harvard University. After receiving her J.D. from Columbia Law School, where she was a Harlan Fiske Stone Scholar, Ms. Singer clerked for the Honorable Richard Owen, United States District Judge for the Southern District of New York. Mr. David Lender has been a Co-Head of Litigation Department Globally at Weil, Gotshal & Manges LLP since March 28, 2012. Mr. Lender serves as a Member of Advisory Board at Practical Law Company, Inc. He is Co-Chairman of Weil's global Litigation Department and has over 20 years of experience trying and litigating a wide range of complex, international commercial disputes in state and federal courts around the country. Mr. Lender's practice encompasses all substantive areas of the law, with emphasis on RICO, patent, antitrust, consumer fraud and contracts. In those and other types of litigation, he has tried numerous cases to verdict ' many of which have resulted in his clients obtaining, or avoiding, hundreds of millions of dollars in damages. Recently, serving as Co-Lead Counsel for General Electric, Mr. Lender secured a $170 million jury verdict against Mitsubishi Heavy Industries Ltd. in a patent infringement litigation in Texas federal court regarding wind turbine technology ' a significant victory in GE's dispute with Mitsubishi that The Wall Street Journal called 'closely watched in the estimated $12 billion U.S. market for wind energy equipment.' Mr. Lender, who was recognized as one of The American Lawyer's 'Litigators of the Week' for his role in obtaining this verdict, also won summary judgment in 2012 dismissing a related $80 million patent infringement action in Florida federal court. Mr. Lender's other significant trial achievements have likewise resolved highly complex disputes that were global in scope. He won a complete defense jury verdict for ESPN in New York Supreme Court in a $231 million lawsuit brought by Modi Entertainment Network regarding the launch of the ESPN channel in India, a case requiring the application of both New York and Indian law. Mr. Lender also won a $417 million jury verdict for Exxon Mobil Corporation against Saudi Basic Industries Corporation, one of the largest petrochemical companies in the world, in Delaware Superior Court, where he asserted claims for breach of contract and usurpation under Saudi Arabian law. Across several practice areas, he has played an instrumental role in protecting his clients' valuable technology, much of which gears the ubiquitous products and daily transactions underpinning the economy today. In 2013, he won summary judgment for Microsoft dismissing a patent infringement action relating to an invention that enables certain capabilities of speech recognition software. In 2012, Mr. Lender won a major appellate victory for StubHub before the North Carolina Court of Appeals, which, on an issue of first impression, ruled that StubHub was immune from liability under the federal Communications Decency Act for the unlawful price of concert tickets resold by third parties on its website ' a decision of critical importance to Internet websites and the growth of e-commerce. In 2013, Financial Times highlighted Mr. Lender's work on this and other matters in the 'Lawyers to the Innovators' section of the publication's annual 'US Innovative Lawyers' report. Earlier, on behalf of Nuance Communications, he obtained as lead counsel the favorable settlement of a patent infringement litigation regarding error correction technology in voice recognition software, which enables features in many products, including cellular phones.

Mr. Frank P. Nocco is a Partner at Weil, Gotshal & Manges LLP. Mr. Nocco is the Co-Head of the Structured Finance/Derivatives Group in New York and works closely with his counterparts in London and in other offices worldwide. He specializes in representing issuers, underwriters, credit enhancers and trustees in structured and corporate securities offerings, both in the U.S. and abroad. Generally, Mr. Nocco has participated in the securitization of auto loans, commercial loans, student loans, franchisee loans, mortgage loans, and equipment loans, credit card receivables (both MasterCard/Visa and private label), trade receivables, equipment and vehicle leases, high-yield and other non-conventional assets, such as royalty receivables, oil and gas production payments, synthetic securities and various other derivative products, insurance premium finance contracts and intellectual property. He is experienced in structuring single-seller and multi-seller commercial paper vehicles, owner trusts, master trusts, grantor trusts, REMIC's and off-shore and domestic special purpose corporation vehicles that can issue a variety of debt and equity securities, including collateralized loan obligations and collateralized bond obligations. He also has experience with other kinds of securities work such as initial public offerings and subordinated debt offerings. Mr. Michael Jones is a Partner at Weil, Gotshal & Manges LLP. He is the Head of the London Litigation and Dispute Resolution Team. Both as a Barrister and Solicitor Advocate, Mr Jones has an established reputation in the resolution of international commercial disputes. His practice is centred on the Commercial Court and Chancery Division of the High Court and in arbitrations conducted under the rules of many different bodies, including the ICC, LCIA, Lloyd's and several shipping, trading or commodity organisations. He has acted in a wide range of matters for clients in the financial, commercial and manufacturing sectors. He has also appeared for a number of overseas governments and departments of state. His case load has included disputes in various financial markets, banking and insurance, mergers and acquisitions, directors' and auditors' duties, commercial fraud and related matters (frequently involving multi-jurisdictional proceedings), as well as more general claims arising from international trade and investment and joint ventures. In the course of his career, Michael has appeared in several leading cases which have helped define the role of the UK courts in providing emergency measures to locate, secure and recover assets in or obtain evidence from other countries and has extensive experience in the use of courts in support of arbitral or other legal proceedings outside the UK and in the enforcement of awards. He has advised on matters involving many jurisdictions including the US, most of the member states of the EU, China, Czech Republic, Japan, Russia, Switzerland and several other Asian, European and Caribbean countries and the Gulf states. Michael is a graduate of Oxford University and holds a Master's Degree in Jurisprudence as well as further professional qualifications from the Inns of Court School of Law, London.

He has extensive experience representing U.S. and non-U.S. private equity fund sponsors in structuring and marketing domestic and offshore private investment vehicles. He has also negotiated numerous employment agreements on behalf of, and economic sharing arrangements among, private equity fund sponsors and merchant banking executives. In addition, Mr. Grossman has negotiated the terms of a number of significant investments in prominent private equity funds, real estate funds, venture capital funds and operating companies on behalf of certain institutional investors.
