Shanna R. Kuzdzal — EVP, General Counsel, EVP of Allegiance Bank and General Counsel of Allegiance Bank at Allegiance Bancshares

Ms. Shanna R. Kuzdzal has been Executive Vice President and General Counsel of Allegiance Bancshares, Inc. and its subsidiary Allegiance Bank since February 27, 2017. Ms. Kuzdzal has been Secretary of Allegiance Bancshares, Inc. and its subsidiary Allegiance Bank since May 3, 2017. Ms. Kuzdzal has more than 12 years of legal experience. Her practice has focused on community banking in Texas with a concentration in the corporate area including capital markets and mergers and acquisitions. Ms. Kuzdzal served as Senior Vice President and Associate General Counsel at Prosperity Bank, a $22.3 billion asset regional bank. She served as an Associate and Attorney at Bracewell LLP, where she practice focused on corporate, securities and regulatory representation of state and national banks, thrifts, holding companies and other financial institutions. Ms. Kuzdzal advised clients on matters related to the acquisition or sale of financial institutions and the acquisition, sale, relocation and establishment of branch offices. She also advised on the numerous aspects involved with obtaining new financial institution charters, including representation in connection with the regulatory application process and raising initial capital. Ms. Kuzdzal's corporate and securities practice involves the representation of issuers and underwriters in public and private offerings of equity and debt securities, as well as SEC reporting and compliance matters and this includes annual, quarterly and periodic reports, proxy materials and Section 16 reporting obligations. Ms. Kuzdzal assists clients with such strategic opportunities as holding company formations, charter conversions and tender offers. In addition, she advises financial institutions on regulatory compliance, including aspects of regulatory matters involving the Federal Deposit Insurance Corporation, Federal Reserve Board, Texas Department of Banking, Office of the Comptroller of the Currency and other regulatory agencies. Ms. Kuzdzal received a J.D. from The University of Texas School of Law in 2004 and B.A. in Biochemistry and Biology from Rice University in 2001.
