Ms. Janis M. Penman is a Partner at Baker & Hostetler LLP since February 2006. Ms. Penman practices in the areas of general corporate and federal securities law. Ms. Penman has participated in the public offering of securities, the private offering of securities pursuant to applicable exemptions under the federal securities laws, the financing of acquisitions from traditional lending and public sources of finance and the acquisition and sale of assets and/or stock in mergers and consolidations. She has also drafted and negotiated leases and subleases, licensing agreements, employment agreements and service agreements for various business clients, including companies engaged in software development, web site construction, e-commerce, advertising and marketing. In addition, she has assisted in the formation and organization of several offshore companies. Ms. Penman's primary experience is in the representation of clients in securities matters. She has assisted large and small business issuers in the registration of securities with the Securities and Exchange Commission and the offering of those securities to the public. She has also assisted clients in private offerings of securities pursuant to exemptions from the federal and state securities laws, including offerings pursuant to Rule 144A and Regulation D. Ms. Penman has assisted in the preparation of numerous reports with the Securities and Exchange Commission, including proxy materials and annual and quarterly reports. Moreover, she has participated in tax-exempt financing transactions, including several mortgage revenue bond refundings pursuant to Section 11(b) of the U.S. Housing Act. Ms. Penman is a member of the American, Maryland and District of Columbia Bar Associations. She is fluent in French.
