Andrew J. Terry — Group VP & Associate General Counsel of Corporate at Rimini Street

Mr. Andrew J. Terry has been Group Vice President and Associate General Counsel of Corporate at Rimini Street, Inc. since November 9, 2017. Mr. Terry has been a Partner at Ropes & Gray LLP in the Chicago office since July 1, 2008. Prior to joining Rimini Street, Mr. Terry was a Partner of Kirkland & Ellis LLP in the Chicago office. Mr. Terry is in the corporate transactional group. Mr. Terry has nearly 20 years of experience as a corporate attorney and is responsible for overseeing corporate governance, securities, financing, compliance and related matters for Rimini Street. He has significant experience counseling publicly traded companies, leveraged buyout and private equity funds and their portfolio companies in both transactions and general corporate matters. His principal areas of expertise include public and private securities offerings, mergers, acquisitions and buyouts and general corporate and securities law advice. In particular, Mr. Terry has focused his practice on various corporate financing transactions for issuers, including initial public offerings and Rule 144A offerings. He has also been involved in public company mergers, tender offers and bankruptcy restructurings. Mr. Terry counsels public companies on various compliance and governance matters, including with respect to Exchange Act reports, Sarbanes-Oxley reforms, Section 13 and Section 16 reports and executive compensation. He is admitted to practice in Illinois and is a member of the Association of Corporate Counsel. Mr. Terry received his M.B.A. from Indiana University - Kelly School of Business in Bloomington, Indiana and his J.D. from Indiana University School of Law. He holds a B.A. from Indiana University.
