Mr. Eric S. Haueter is a Partner at Sidley Austin LLP. He is also a corporate partner at the firm. Mr. Haueter's principal areas of practice include corporate finance and mergers and acquisitions. He has represented the underwriters and issuers in a broad range of public and private debt and equity financings, merger and acquisition transactions, and other matters. Representative transactions in which Mr. Haueter has participated include a $1 billion Rule 144A notes offering for Fidelity Investments; offerings of LYONs, FELINE PRIDES and high-yield debt securities for KB Home; IPOs for technology companies such as Pixelworks and Valicert; add-on common stock offerings for issuers such as Ackerley Communications and Performance Foods; IPOs, common stock offerings and debt offerings for issuers affiliated with financial buyers, including Safeway, US Foodservice and Southern Pacific Rail Corporation; convertible debt offerings for Finisar; investment grade and high-yield debt offerings for issuers such as Weyerhaeuser, Canadian Occidental Petroleum, Caesars World, Quality Food Centers, Raychem, Southern California Gas, Sola International and SuperValu; offerings of convertible trust preferred securities for CNF Transportation; and debt, preferred stock and capital securities offerings for financial institutions such as BancWest Corporation, Bay View Capital, Downey Financial, Golden West Financial and World Savings. He has also participated in a number of merger and acquisition assignments. For example, he represented the dealer managers in connection with the merger of BRE Properties and Real Estate Investment Trust of California, as well as the roll-up of 25 limited partnerships into Realty Income Corporation. Mr. Haueter is a member of the California and San Francisco Bar Associations and the New York State Bar Association. He completed a J.D. degree from Columbia Law School in 1979, M.B.A. from Columbia Business School in 1980, and B.A. degree from Williams College in 1975.
