Mr. Irving L. Rotter serves as the Head of Project Finance & Infrastructure Practice and Partner at Sidley Austin LLP. Mr. Rotter is a Partner in the New York Office of Sidley Austin Brown & Wood. Mr. Rotter has represented buyers and sellers in mergers and acquisitions, lenders and financial institutions in banking and corporate finance transactions and developers, lenders, and equity participants in project finance transactions. Mr. Rotter's merger and acquisitions experience includes representing acquirors and sellers in domestic and cross border transactions in a host of industries including telecommunications, software, semiconductor, fiberoptic, automotive, cable television, paper, food and energy. Among the transactions in which Mr. Rotter has been involved include Lucent Technologies' acquisition of Chromatis Inc., Lucent Technologies' acquisition of Ortel Corporation, Lucent Technologies acquisition of Kennan Systems., Avaya Inc.'s acquisition of VPNet Technologies Inc., Lucent Technologies' acquisition of Mosaix, Inc., Stone Container's acquisition of Cartonex Bernal, Kyocera's acquisition of AVX Corporation and AT&T's disposition of AT&T Submarine Systems to Tyco International. Mr. Rotter's corporate finance experience includes representing lenders and borrowers in numerous senior and mezzanine finance transactions involving the media, telecommunications, energy, tool and die, construction and manufacturing industries. Mr. Rotter's project finance and leveraged leasing experience includes representing the construction contractor and provider of contingent subordinated indebtedness for the FLAG project, the first project financing for a transoceanic fiberoptic telecommunications network, and representing a consortium of developers of two lignite-fired electric generating facilities using a structure that resulted in the project debt being off-balance sheet to both the developer and the utility acquiring the facilities. Mr. Rotter has also represented equity participants in partnerships and developers in projects to develop natural resources including coal, copper, and timber; lenders and developers in cogeneration facilities; equity participants in hydroelectric and wind energy projects; developers in resource recovery and wind energy projects; lenders and equity participants in industrial project finance projects (including canning and fiberboard); equity participants in the sale and leaseback of nuclear power plants; and equity participants in a variety of equipment and facility leveraged lease financings including power plants, communications equipment and aircraft. Mr. Rotter served as a law clerk to the Honorable William C. Canby, Jr., United States Court of Appeals for the Ninth Circuit. He has previously served as member of the Corporation Law Committee of the New York City Bar Association and the Energy Law Committee of the New York Bar Association. He was admitted to the New York Bar in 1982; U.S. District Court; and S.D. and E.D. New York in 1982. He received his J.D., Stone Scholar, in 1980 from Columbia University, M.S. from Yeshiva University in 1980 and B.A., magna cum laude, in 1974.
