Mr. Paul V. Rogers is a Partner at Covington & Burling. He is based in the firm's Washington office. Mr. Rogers' corporate practice includes finance, private equity, securities and corporate finance, venture capital and emerging companies, which includes venture capital, while his environmental, carbon markets, and clean technology practice includes cleantech. He focuses his practice in the life sciences and software and technology industries. Mr. Rogers practices in the areas of corporate and securities law with an emphasis on the representation of entrepreneurs, start-ups, public and private high technology companies, venture capital firms, and underwriters of public offerings. He has handled a number of initial public offerings for technology companies and underwriters based in Northern Virginia, Boston, and other locales. Mr. Rogers has represented issuers, investors, and underwriters in private and public equity and debt offerings and has acted as a Counsel to a wide range of companies in the communications, internet, software, computer equipment, biotechnology, distribution, retail, and manufacturing industries. His most recent venture capital transactions include representation of cMarket, Inc, XLHealth Corporation, and Zycos, Inc. as issuers, and Expansion Capital Partners and Vantage Point Venture Partners as investors. Among Mr. Rogers' most recent mergers and acquisition transactions are the acquisitions by United Natural Foods, Inc. of Millbrook Distribution Services, Inc. and XLHealth Corporation of Leprechaun LLC. His most recent public offerings include representation of Thomas Weisel Partners in recent offerings by Cysive Inc. and Proxicom Inc., and Robertson Stephens in the public offering by VarsityBooks.com Inc. Mr. Rogers was previously a Senior Partner in the Corporate Department at Hale and Dorr LLP. He has worked with virtually all of the major East Coast venture capital firms and most major underwriters. Mr. Rogers received a J.D., cum laude, in 1985 from the Georgetown University Law School, where he was an Editor of the Georgetown Law Journal and a B.A., cum laude, in 1979 from Williams College.
