Mr. Victor J. DiGioia serves as Secretary of DLH Holdings Corp. Mr. DiGioia serves as Managing Partner of the New York Office at Becker & Poliakoff PA. He served as Secretary of Authentidate Holding Corp. He serves as Corporate Counsel and Advisory Board Member at KOR Company, Inc. He joined Becker & Poliakoff in June 2007 to establish its corporate and securities practice group, which he continues to head. Prior to Becker & Poliakoff, Mr. DiGioia was the Managing Partner of Goldstein & DiGioia, LLP, a 25 year old corporate and securities law firm. Mr. DiGioia has a comprehensive corporate background resulting from more than 25 years of experience in the representation of public and privately owned corporations. His clients range from start-up technology and biotech companies to seasoned public corporations engaged in industries as diverse as medical staffing and defense manufacturing. Mr. DiGioia has acted as special counsel to boards of directors and regularly represents Audit, Compensation, Nominating and Corporate Governance and Special Committees of the board of directors. Mr. DiGioia's practice also includes a wide range of corporate finance matters specializing in public and private offerings, broker dealer formation and regulation, venture and private equity capital investments, mergers and acquisitions and angel investments. Mr. DiGioia's finance clients consist of public and private companies, institutions, investment banking firms and individuals and he has represented issuers, underwriters and placement agents in over 500 private and public securities offerings. Mr. DiGioia received J.D. from St. John's University in 1977 and B.A. from State University of New York at Buffalo in 1974.
