Ebates Performance Marketing, Inc. dba Rakuten Rewards (Company or we) makes available shopping programs (Programs) through www.rakuten.com, www.ebates.com and related mobile and software applications (Company Properties) under these Terms and Conditions.
This Agreement constitutes a legally binding agreement between each individual who enrolls in ANY of the Programs (Member) or otherwise uses any one of the Company Properties. IF YOU Are a Member or use any of the Company Properties, YOU AGREE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY All OF ITS TERMS AND CONDITIONS.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DISCONTINUE PARTICIPATION IN AND USE OF THE PROGRAM(S) AND TERMINATE YOUR PROGRAM MEMBERSHIP(S) IMMEDIATELY.
YOU AGREE TO THE MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISIONS, DESCRIBED FULLY IN SECTION 4 below, TO RESOLVE ANY DISPUTES WITH the Company, Except for those Matters that may be taken to small-claims court.
1. CHANGES TO THE TERMS AND CONDITIONS
1.1 Company may at its discretion modify, update, add to, discontinue, remove or otherwise change these Terms and Conditions at any time. Each such modification will take immediate effect upon notification to you. Company may provide you with notices, including those regarding changes to these Terms and Conditions, by email, regular mail, text message, in-app messaging, or other reasonable means now known or hereinafter developed.
1.2 Your continued use of the Company Property following any such notifications constitutes your acceptance of such modifications and your agreement to be bound by these Terms and Conditions. If you do not agree to any modification of these Terms and Conditions, your sole remedy is to discontinue your use of the Company Properties. The most current version of these Terms and Conditions will be available on our website and supersedes previous versions.
2. PROGRAM ACCOUNT
2.1 Our Programs are not available to and should not be accessed or used by residents of the European Economic Area ("EEA"). To become a Member, you must be at least 18 years old and provide your email address and password for Company to create your Program account (Account). Your Account will be tied to a Rakuten ID, which allows you to access certain websites and services of other Rakuten group companies using the same account credentials. Each person is limited to one Account. To redeem certain offers and promotions offered by our other Programs, you may elect to provide us additional information. Information that you submit through one of our Programs may be saved and available for your use in our other Programs, including, without limitation, any saved payment card information. Any and all information collected from you shall be subject to our Privacy Policy, which is hereby incorporated by reference.
3. INFORMAL DISPUTE RESOLUTION
3.1 We would like an opportunity to address your concerns without a formal legal case. Before filing a claim against Company, You agree to try to resolve the dispute informally by submitting your request through our Member Services page. Please be sure to select Rakuten Feedback under Topics in your request. We will try to resolve the dispute informally by contacting you in writing via email. If a dispute is not resolved within 30 days of submission through this form, you or Company may bring a formal proceeding.
4. DISPUTE RESOLUTION BY BINDING ARBITRATION; CLASS ACTION WAIVER
4.1 You and Company agree to arbitrate any and all disputes, claims, or controversies arising out of, in connection with, or relating to this Agreement, Companys business, any of the Programs or the Company Properties, and relationship with you, including any claims that may arise after the termination of this Agreement. This agreement to arbitrate includes any claims against Companys employees, agents or any subsidiaries of Company. Arbitration is a method of claim resolution that is less formal than a traditional court proceeding in state or federal court. It uses a neutral arbitrator instead of a judge or jury and the arbitrators decision is subject to limited review by courts.
4.2 All disputes concerning the arbitrability of a claim (including disputes about the scope, interpretation, breach, applicability, enforceability, revocability or validity of this Agreement) shall be decided by the arbitrator. The arbitrator shall also decide whether any claim is subject to arbitration. You further agree that the U.S. Federal Arbitration Act and federal arbitration law shall govern the interpretation and enforcement of this agreement to arbitrate.
4.3 CLASS ACTION WAIVER: YOU AND COMPANY ALSO AGREE THAT EACH IS GIVING UP THE RIGHT TO A JURY TRIAL AND THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITIES, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT OR REPRESENTATIVE PROCEEDING, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. This means that neither you nor Company can seek to assert class or representative claims against each other either in court or in arbitration and no relief can be awarded on a class or representative basis. The arbitrator also may not consolidate or join another persons claim with your claim or issue an order that would achieve the same result. You and the Company further agree that if the provisions of this paragraph, known as the Class Action Waiver, are found to be unenforceable, it cannot be severed from this arbitration agreement and the entire provision compelling arbitration shall be null and void.
4.4 To the extent possible under your local law, the arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those rules or pursuant to JAMS' Streamlined Arbitration Rules and Procedures (Rules). The Rules are available online at www.jamsadr.com. The arbitrator is bound by the terms of this Agreement. If your claim in arbitration is for less than $10,000, Company will reimburse you for filing and arbitrator fees at the conclusion of the proceeding unless your claim is found to be frivolous by the arbitrator. The exclusive venue for any dispute or issue arising out of this Agreement shall be held in San Francisco County, California.
4.5 Notwithstanding any provision in this Agreement to the contrary, you agree that if we make any future, material change to this arbitration provision, you may reject any change by sending us written notice within thirty (30) calendar days of the change to Ebates Performance Marketing, Inc. DBA Rakuten Rewards, 800 Concar Drive, Suite 175, San Mateo, CA 94402, Attn: Legal. Your decision to reject changes in a new arbitration provision, however, does not affect any prior arbitration provisions to which you have already agreed, which would still remain in effect.
4.6 This arbitration provision is optional. You may decline or opt out of this agreement to arbitrate by sending written and signed notice to Ebates Performance Marketing, Inc. dba Rakuten Rewards, 800 Concar Drive, Suite 175, San Mateo, CA 94402, Attn: Legal within thirty (30) calendar days of enrolling as a Member or using Company Properties.
4.7 Judgment upon the arbitration award may be entered in a court having jurisdiction, or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be.
5. PROGRAM LICENSE
5.1 Subject to this Agreement, we hereby grant you a non-exclusive, non-transferable license (without the right to sublicense) to access and use the Company Properties for your personal use to access the Program(s). You agree that you obtain no rights other than the rights and licenses expressly granted in this Agreement. Company reserves the right to change, upgrade or discontinue the Program and/or any Company Property and/or any feature of the Program or the Company Properties, at any time, with or without notice. All rights not expressly granted under this Agreement are reserved by Company or its licensors.
6. PROGRAM RESTRICTIONS
You agree that you will not, and will not permit others to: (i) damage, interfere with or unreasonably overload the Company Properties; (ii) introduce into the Company Properties any code intended to disrupt the Program; (iii) alter or delete any information, data, text, links, images, software, chat, communications and other content available through the Company Properties (collectively, Content); (iv) access the Program or the Company Properties by expert system, electronic agent, bot or other automated means; (v) use scripts or disguised redirects to derive financial benefit from Company; (vi) modify, reverse engineer, reverse assemble, decompile, copy or otherwise derive the source code of any Company Property for any reason; (vii) rent, sell or sublicense any of the Company Properties; (viii) provide any unauthorized third party with access to the Program; (ix) access or attempt to access confidential Content through the Company Properties; (x) interfere with the operation of the Program, including, but not limited to, distribution of unsolicited advertising or mail messages and propagation of computer worms and viruses; (xi) post any material in any form whatsoever on the Company Properties or within the Program that is defamatory, obscene or otherwise unlawful or violates any third partys right of privacy or publicity; (xii) infringe any third partys patent, copyright, service mark, trademark or other intellectual property right of any kind or misappropriate the trade secrets of any third party in connection with your use of the Program or the Company Properties; (xiii) engage in any activity that does not comply with applicable law and regulations or otherwise engage in any illegal, manipulative or misleading activity through the use of the Program; (xiv) use the manual or automated software, devices or other processes to "scrape," "crawl," "spider" or index any page of Content from the Company Properties.
7. PROGRAMS
7.1 Cash Back. We offer the ability for Members to earn cash back (Cash Back) on their purchases completed through the Company Properties. Company receives compensation for referring buyers to the retailers, brands, merchants and other partners participating in this Program (Affiliate Stores). Company gives a portion of this fee to its Members as Cash Back. Compensation received by Company may play a part in whether retailers and products appear on our site, where they are placed, and how we promote them to you. Participation in this Program and the opportunity to earn Cash Back are offered at the sole discretion of Company and subject to your compliance with this Agreement.
(a) Online Cash Back. In order to earn Cash Back online, you must register for an Account, be signed in to one of the Company Properties use the shopping links within the Company Properties, and complete your purchase transaction during the same shopping session you started after clicking on the shopping link. If you visit other sites before completing your purchase or use coupons not provided by Company, your purchase might be associated with a service other than Company and you might not earn Cash Back on your purchase. If you disable cookies on your computer, you will not be able to earn Cash Back because cookies are used to authenticate the user and verify whose Member Account is eligible for the Cash Back.
(b) In-Store Cash Back. Company may also offer you the opportunity to earn Cash Back on purchases made in store (In-Store Cash Back) at certain physical Affiliate Store locations by linking your payment card to an in-store offer (Card Linked Offer) and subsequently using such payment card to complete the purchase transaction in accordance with the terms of the Card Linked Offer. The terms of the In-Store Cash Back Terms & Conditions and the terms accompanying each Card Linked Offer will govern how In-Store Cash Back is earned and paid to the extent they vary from this Agreement.
7.2 Hotels.Company offers a hotel reservation site through the Company Properties (Rakuten Hotels) to assist you in searching for hotels and making hotel reservations. Your use of Rakuten Hotels is subject to the Rakuten Hotels Terms & Conditions and will govern to the extent they vary from this Agreement.
7.3 Browser Extension.Company may make available a browser extension to enhance your Cash Back shopping experience (Browser Extension). Your use of Browser Extension is subject to the Browser Extension Terms and will govern to the extent they vary from this Agreement.
7.4 Rakuten Marketplace.Company may offer a marketplace through the Company Properties (Marketplace) to allow you to purchase products (Products) from participating retailers, brands, merchants, and other partners (Sellers). Company is not the merchant of record for any Product purchases made through the Marketplace and does not have any liability with respect to any Products you purchase through the Marketplace. All Product purchases made through Marketplace are subject to the Seller policies, including, without limitation, applicable shipping, privacy, and return policies. Please review applicable Seller policies prior to making your purchase. Your use of Marketplace is subject to the Rakuten Marketplace Terms, the Seller policies and any other terms accompanying each Product offer and will govern to the extent they vary from this Agreement.
8. CASH BACK EXCLUSIONS
8.1 Cash Back is earned on your net purchase amount, which excludes taxes, fees, shipping, gift-wrapping, discounts or credits, returns or cancellations, and extended warranties. Purchases of gift cards do not qualify for Cash Back. Cash Back amounts vary by store and product category and may contain exclusions in the terms of the offer and/or the applicable store page. Please review these terms carefully.
9. STORE POLICIES
9.1 A product purchased from any Affiliate Store or any Seller, whether online or in store, is governed by and subject to the applicable Affiliate Store or Seller policies, including applicable exchange and shipping policies. You agree that we are not agents of any Affiliate Store or Seller and that the Affiliate Stores and Sellers operate independently and are not under our control. Accordingly, your participation in offers or promotions of, or correspondence with, any Affiliate Store or Seller is solely between you and that Affiliate Store or Seller. We do not assume any liability, obligation or responsibility for any part of such correspondence, offer or promotion, including, without limitation, the withdrawal or modification of any such offer or promotion. Company is not responsible for changes to, or discontinuance of, any Affiliate Store or Seller, or for any Affiliate Store or Seller withdrawal from the Program, or for any effect on accrual of Cash Back caused by such changes, discontinuance or withdrawal.
10. BONUSES AND OTHER REWARDS
10.1 Company periodically offers bonuses or rewards for referring new Members to the Program or for other specific actions. If you elect to participate in our Refer-A-Friend Program, your participation is subject to our Referral Program Terms. The terms and conditions accompanying such offers will govern how they are earned and paid if the terms and conditions differ from this Agreement. All bonuses and rewards are subject to review. Company reserves the right to withhold, deny or cancel any bonuses and/or rewards and/or terminate your Account if Company, in its sole discretion, deems any bonuses and/or rewards as fraudulent, abusive, unethical, suspicious or otherwise inconsistent with our Referral Program Terms, this Agreement or any other applicable law or regulation. Company decisions are final.
11. PAYMENT OF CASH BACK AND OTHER REWARDS
11.1 Requirements.As a condition of payment of accrued Cash Back or other rewards, you must: (i) establish and maintain an Active Account (defined below); (ii) provide a valid email address that you own and are able to receive email; (iii) provide a password to protect your Account; and (iv) provide your physical address and/or your valid PayPal email address for receiving payment. If you elect to receive payment via PayPal, you must not use a PayPal account associated with another Program Account. A single PayPal email address cannot be connected to multiple Program Accounts. Additionally, you must not be a resident of a country subject to economic or trade sanctions by the U.S. State Department or U.S. Treasury Departments Office of Foreign Assets Control (OFAC) or be listed as a Specially Designated National, a Specially Designated Global Terrorist, a Blocked Person or similar designation under the OFAC sanctions regime. You further agree to provide additional information we may reasonably request to verify your identity as a condition for receiving payment.
11.2 Cash Back Payments.The minimum payment amount for Cash Back and other Cash Back Program rewards is $5.01. Balances below $5.01 remain in your Account for potential payment during the next payment period. Company pays members in U.S. dollars via check, PayPal or other payment options as Company may make available from time to time. Members may select or change their payment options in the account settings through the Company Properties. Company pays its Members accrued Cash Back and Cash Back Program related rewards in accordance with the current payment schedule. Please note that accrual rates vary depending on the Affiliate Stores policies and reporting schedules. For example, Cash Back for travel-related purchases typically does not accrue until after travel has been completed. Company reserves the right to delay payment for any purchase based on changes to Affiliate Store policies at any time. Company also reserves the right to modify the payment schedule at any time. Company is not responsible for payments delivered to the wrong address through no fault of Company or for payment errors made by payment partners, like PayPal. If your check expires without being cashed or deposited, or if it is returned uncashed to Company, the payment amount will be returned to your Account, where it may be subject to inactive account maintenance charges described in Section 12.2 below, unless you take the proper steps to restore your Account to Active status.
11.3 Gift Cards.Periodically, Company may offer gift cards in connection with a promotion or as a redemption option for your Cash Back. Gift cards are subject to the terms and conditions of the gift card issuer and the applicable Affiliate Store policies. Company is not responsible for lost or stolen payments, including gift cards. Gift cards for sign up bonuses are issued in the form of physical gift card, require a United States address, and are only redeemable within the United States (excluding U.S. territories).
11.4 Donations.Company may offer you the opportunity to donate a portion or all of your Cash Back earnings to a charity. Rakuten neither charges any fees for this service nor takes any percentage of the Cash Back earnings donated. Contributions made through Rakuten are not tax-deductible.
11.5 Account Adjustments.In our sole discretion, we may deduct Cash Back from your account to make adjustments for returns and cancellations with respect to Cash Back Program purchases. Any such adjustments will be made in accordance with this Agreement, any applicable Company policies and terms, the terms of the Affiliate Store offer and any and all applicable laws, rules and regulations. The determination of whether a purchase made through an Affiliate Store qualifies for Cash Back is at the sole discretion of Company. If an Affiliate Store fails to report a transaction to Company or fails to make payment to Company for any reason, Company reserves the right to cancel the Cash Back associated with that transaction. It is your responsibility to check your Account regularly to ensure that Cash Back has been properly credited and paid and that your Account balance is accurate. If you believe that Cash Back has not been correctly credited to your account, you must contact Company Member Services within ninety (90) days of the transaction. In addition, Company may make account adjustments for any Cash Back that Company, in its sole discretion, deems as fraudulent, abusive, unethical, suspicious or otherwise inconsistent with the Referral Program Terms, this Agreement or any other applicable law or regulation. Company decisions are final. Should you disagree with any adjustments made to your account or payments made to you, your sole remedy is to withdraw from the Program.
11.6 TaxesYou may be taxed on your receipt of bonuses and other consideration (merchandise, travel, etc.) for member referrals or other promotional activities (such as prizes from a sweepstakes) depending on the tax laws of federal, state and local jurisdictions. You will be solely responsible for any and all tax liability arising out of the consideration received in connection with any member referrals or promotional activities.
12. ACCOUNT MAINTENANCE
12.1 Updating Your AccountYou agree to keep your Account information current, complete and accurate by periodically updating the information through the Company Properties. You must be logged into Company and enter your password to change your Account information and payment preferences. You may check your Account status and recent purchase and/or earning history at any time via the Company Properties. You will maintain the confidentiality of your Account information, including username and password by which you access the Program. Any use of your username and password will be deemed to be your use, and Company is entitled to act on instructions received under your password and is not responsible for any credits or debits made to your account by someone else who uses your password. If there is a breach of security through your Account, you will immediately change your password and notify us of such breach. You agree that, unless you have first notified us immediately of any such breach, we should assume that any instruction transmitted using your username and password is yours and has been authorized by you, and we will have no obligation to inquire into the propriety of such instruction.
12.2 Account ActivityAn Active Account means you must have engaged in one of the following activities within the past twelve (12) months: (i) updated your Account information, (ii) have shopped or started a shopping trip via the Company Properties, (iii) linked a payment card to an in-store offer, (iv) have accrued Cash Back or (v) have logged in to your Account. Except where prohibited by applicable law, if you have not engaged in one of the activities in subsections (i)-(v) for more than twelve (12) consecutive months, Company reserves the right to debit your Account balance two dollars ($2.00) per month (Maintenance Fee) to recover the cost of account maintenance in its normal course of business until you reactivate your Account by engaging in one of the activities set forth above in subsections (i)-(v) or until your account balance is zero. If your account remains inactive for more than twelve (12) consecutive months and the balance in your inactive account is or becomes zero, Company reserves the right to close the Account permanently and cease to maintain your Account records and Program access. Maintenance Fees are nonrefundable, but will not cause your account balance to become negative, and will not cause you to owe money to Company.
12.3 Fraudulent ActivityWe reserve the right to investigate any purchase transactions, referral activity, or interaction with any Company Property that we believe, in our sole discretion, is abusing or has abused the Program. We reserve the right to rescind any Cash Back, bar further Cash Back awards and/or bonuses, and/or terminate any Member Account that we believe, in our sole discretion, is abusing or has abused the Program, including, without limitation, by engaging in a pattern of returning products after the corresponding Cash Back has been credited or making fraudulent referrals by creating multiple Accounts. Multiple Accounts created under the Refer-A-Friend Program with the same name, address, email address or other identifying feature may be flagged as fraudulent referrals. Any failure to comply with this Agreement, any fraud or abuse relating to the accrual or receipt of Cash Back or other rewards and bonuses, or any misrepresentation of any information furnished to Company by you or anyone acting on your behalf may result in the termination of your Account and forfeiture of any accrued Cash Back rewards. If Company has any reason to suspect fraudulent activity is associated with your Account, Company reserves the right to delay or withhold payment of Cash Back. Any suspected or actual cases of fraud activity will be escalated and reviewed in accordance with our fraud process. Company decisions are final.
13. RECEIVING COMMUNICATIONS
13.1 By signing up to be a Member, you agree to receive communications and notices by electronic mail. Our communications may be account- and membership-related (e.g., that weve added money to your account, that a purchase has been made, that we are mailing you a check on a certain date, etc.) as well as periodic shopping-related emails that highlight coupons and special deals available to Company Members. We may communicate with you regarding the Program by electronic mail or direct mail using information you provide to us. Your consent to receive electronic communications includes any notices or other information that we may be required by law to provide you in writing or otherwise. You agree to keep us apprised of your current email address should the same change after the date you become a Member. We may also send you push notifications if you install the mobile application. If you elect to provide us a mobile number, we may use it to contact you when you make account updates or for account recovery purposes. You may receive recurring messages from us during those account changes. Standard message rates apply, and carriers are not responsible for any delayed or undelivered messages. You may opt out of receiving certain communications in accordance with our Privacy Policy.
14. COMPANY APPLICATIONS
14.1 Company may make available software applications (Company Applications) to allow you to access our Programs without visiting www.rakuten.com or www.ebates.com, including mobile applications and browser extensions. For purposes of this Agreement, references to Company Properties shall include Company Applications. Company Applications and their underlying information and technology may not be exported or re-exported into any country to which the U.S. has embargoed goods or to anyone on the U.S. Treasury Departments list of Specially Designated Nationals or the U.S. Commerce Departments Table of Deny Orders. You represent and warrant that you are not located in, under the control of or a national or resident of any such country or on any such list, and that you will otherwise comply with all applicable export control laws. If you are a U.S. government end user, we are licensing the Company Application to you as a Commercial Item as that term is defined in the U.S. Code of Federal Regulations (see 48 C.F.R. 2.101), and the rights we grant you to the Company Applications are the same as the rights we grant to all others under this Agreement.
15. THIRD-PARTY PLATFORMS
15.1 Social Sign On.When you access or use the Company Properties, we may make available services from one or more third parties (Third-Party Platforms). The Company Properties support Third-Party Platforms, including Facebook, Google and Rakuten ID, to make it easier for you to sign in or create your Account. Any use of Third-Party Platforms to create and access your Account is subject to the terms and conditions and privacy policies of such third parties (Third-Party Terms). Your Rakuten ID is subject to the Rakuten Terms and Conditions and Privacy Policy.
15.2 Inbox Connections.If you create your Program Account or sign in to your Program Account with your Google email account credentials, your Google email account will automatically be linked to your Program Account. We may also offer you the ability to link your email account from other service providers to your Program Account via your Program Account settings. You may disconnect your linked email accounts at any time by updating the Settings in your Program Account settings or by removing the authorization through the settings of your email account. A connection between your email account and your Program Account is not required for you to be a Member. Connecting your email account will permit us to access your email account content (Email Content). Company will not delete or modify your email content. We may use your Email Content to confirm your Cash Back faster and more reliably and to personalize your experience with the Program. 16. YOUR FEEDBACK
16.1 You may be invited to provide us feedback, comments, ideas, suggestions, reviews and other information about our Programs (Feedback) through the Company Properties, by our member services or through one of our service providers, like Trustpilot. You hereby grant to Company and its affiliates and agents a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute and display the Feedback in any media and for any legal purpose, including, without limitation, the right to use such Feedback in advertising and promotional materials and to enhance or improve our products and services and the products and services of its affiliates.
17. COMMUNITY STANDARDS
17.1 By participating in the Program, you are becoming a Member of a community that depends on the goodwill and responsible behavior of each of our Members. Members are required to refrain from transmission or communication of images or text constituting ethnic slurs, obscenities, sexually explicit material, inflammatory or derogatory comments, or anything else that may be construed as harassing or offensive, which is targeted at the Program, the Company Properties, our employees, contractors or agents, our Affiliate Stores or Sellers, or other Members. This includes communications by means of social media or other Internet posts that violate the above community standards or promote or encourage gaming or fraudulent behavior. Members who violate this provision, as determined by us in our sole discretion, may have their access to the Program suspended or terminated without prior notice.
18. OWNERSHIP
18.1 All right, title and interest in the Program, the Company Properties and the Content belong to Company or its licensors. Additionally, Company shall maintain all right, title and interest in the Rakuten mark, the Ebates mark, the Rakuten logo, the Ebates logo and any other marks, service marks, trademarks or logos of Company and its affiliates (Company Marks). The Company Marks may not be used in connection with any product or service that is not Companys or in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Company. All other trademarks not owned by Company that are used in the Programs are the property of their respective owners, who may or may not be affiliated with, connected to or sponsored by Company.
19. INDEMNIFICATION
19.1 You agree to indemnify Company, our Affiliate Stores, our Sellers, as well as their respective officers, directors, employees, successors, agents and affiliates, for any and all claims, damages, losses and causes of action (including attorneys fees and court costs) arising out of or relating to your breach of this Agreement or for any materials in any form whatsoever that are provided by you (or through your username and/or password). You agree to cooperate as fully as reasonably required in our defense and/or settlement of any claim. We reserve the right, in our reasonable discretion, to assume exclusive control over the defense and settlement of any matter subject to indemnification by you.
20. WARRANTY DISCLAIMER
20.1 THE PROGRAM, CONTENT AND THE COMPANY PROPERTIES ARE PROVIDED AS-IS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE MAKE NO WARRANTY AS TO THE QUALITY, ACCURACY, CURRENTNESS, COMPLETENESS, RELIABILITY OR VALIDITY OF THE PROGRAMS, CONTENT OR THE COMPANY PROPERTIES, INCLUDING, WITHOUT LIMITATION, ANY PRODUCT SEARCH RESULTS, PRODUCT DESCRIPTIONS, PRODUCT AVAILABILITY, PRICING INFORMATION ADVICE, OPINION, STATEMENT, RECOMMENDATIONS, REVIEWS OR OTHER INFORMATION DISPLAYED, UPLOADED OR DISTRIBUTED IN CONNECTION WITH ANY PROGRAM. 21. LIMITATION OF LIABILLITY
21.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, STATUTORY, EXEMPLARY, PUNITIVE OR OTHER INDIRECT DAMAGES OR FOR ANY LOSS PROFITS, LOSS DATA OR LOSS OF USE DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 22. TERMINATION OR SUSPENSION
22.1 This Agreement is effective when accepted by you and will remain in effect until you or we terminate your membership in the Program. We may terminate this Agreement and your use of or access to the Program at any time, for any reason or no reason. Any violation of this Agreement or the rules and conditions of the Program may result in the termination of your Account and forfeiture of pending or prior Cash Back and other rewards. We may, in our sole discretion, at any time and without prior notice, discontinue, cancel, suspend, change or limit access to all or any part of the Program or any functionality, feature or other component of any Company Property. You agree that Company will not be liable to you or to any third party for any modification, suspension, or termination of the Program or your access to any of the Company Properties. If you are dissatisfied with any aspect of the Program at any time, your sole and exclusive remedy is to cease participating in the Program. Upon any termination of the Program, your right to use and access the Program, and the Company Properties, and to receive Cash Back and other rewards, will terminate. Termination will not prejudice either you or our remedies at law or in equity.
23. GENERAL PROVISIONS
23.1 Entire Agreement.These Terms and Conditions constitute the entire agreement between you and Company and govern your use of the Products or Company Properties superseding any prior agreements between you and Company with respect to the Products or Company Properties (including, without limitation, earlier versions of this Agreement that may have been accepted by you). Any representations, statements or agreements made or entered into elsewhere, whether directly or indirectly, written or oral or in advertising are not binding toward Company unless expressly confirmed in writing by Company to you. You may also be subject to additional terms and conditions that may apply when you use or purchase certain other services, affiliate services, third party content or third party software.
23.2 Choice of Law.The validity, construction and interpretation of this Agreement and the relationship between You and Company, including the rights and duties of the parties, will be governed by the laws of the State of California in the United States without regard to its conflict of law provisions. This shall not limit the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of applicable law.
23.3 Interpretation.Headings under this Agreement are intended only for convenience and shall not affect the interpretation of this Agreement.
23.4 Waiver and Severability of Terms.Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. If any provision of this Agreement is held to be invalid, such invalidity shall not affect the remaining provisions, except as otherwise stated.
23.5 Assignment.You may not assign, transfer, or otherwise dispose of your rights and obligations under this Agreement, in whole or in part, without our prior written consent, and any such assignment without such consent will be null and void. Company has the right to transfer, assign or otherwise dispose of these Terms and Conditions without Your consent.

Using coupons you found outside of Rakuten. Using or even attempting to use any coupon codes, offers or promotions that are not on Rakuten can void your Cash Back. There could be conflicts between Cash Back and the discounts offered by other coupon sites, exclusive emails or rewards programs.
Visiting other sites during your shopping session. Going to other sites, especially ones that offer shopping rewards, coupons or discounts, can result in the store giving the credit for your purchase to another site. In addition, browser extensions from other shopping programs (such as Honey or Invisible Hand) can interfere with linking your purchase to your Rakuten account.
Switching to a different browser window or tab. You should only use the initial tab opened for you by Rakuten at the beginning of your shopping session. If you complete your purchase in a different tab or window, we may be unable to link your purchase to your Rakuten account.

This Agreement constitutes a legally binding agreement between each individual who enrolls in ANY of the Programs (Member) or otherwise uses any one of the Company Properties. IF YOU Are a Member or use any of the Company Properties, YOU AGREE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY All OF ITS TERMS AND CONDITIONS.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DISCONTINUE PARTICIPATION IN AND USE OF THE PROGRAM(S) AND TERMINATE YOUR PROGRAM MEMBERSHIP(S) IMMEDIATELY.

1. CHANGES TO THE TERMS AND CONDITIONS

Company may provide you with notices, including those regarding changes to these Terms and Conditions, by email, regular mail, text message, in-app messaging, or other reasonable means now known or hereinafter developed.
1.2 Your continued use of the Company Property following any such notifications constitutes your acceptance of such modifications and your agreement to be bound by these Terms and Conditions. If you do not agree to any modification of these Terms and Conditions, your sole remedy is to discontinue your use of the Company Properties. The most current version of these Terms and Conditions will be available on our website and supersedes previous versions.
2. PROGRAM ACCOUNT
2.1 Our Programs are not available to and should not be accessed or used by residents of the European Economic Area ("EEA"). To become a Member, you must be at least 18 years old and provide your email address and password for Company to create your Program account (Account). Your Account will be tied to a Rakuten ID, which allows you to access certain websites and services of other Rakuten group companies using the same account credentials. Each person is limited to one Account. To redeem certain offers and promotions offered by our other Programs, you may elect to provide us additional information. Information that you submit through one of our Programs may be saved and available for your use in our other Programs, including, without limitation, any saved payment card information. Any and all information collected from you shall be subject to our Privacy Policy, which is hereby incorporated by reference.
3. INFORMAL DISPUTE RESOLUTION
3.1 We would like an opportunity to address your concerns without a formal legal case. Before filing a claim against Company, You agree to try to resolve the dispute informally by submitting your request through our Member Services page. Please be sure to select Rakuten Feedback under Topics in your request. We will try to resolve the dispute informally by contacting you in writing via email. If a dispute is not resolved within 30 days of submission through this form, you or Company may bring a formal proceeding.
4. DISPUTE RESOLUTION BY BINDING ARBITRATION; CLASS ACTION WAIVER
4.1 You and Company agree to arbitrate any and all disputes, claims, or controversies arising out of, in connection with, or relating to this Agreement, Companys business, any of the Programs or the Company Properties, and relationship with you, including any claims that may arise after the termination of this Agreement. This agreement to arbitrate includes any claims against Companys employees, agents or any subsidiaries of Company. Arbitration is a method of claim resolution that is less formal than a traditional court proceeding in state or federal court. It uses a neutral arbitrator instead of a judge or jury and the arbitrators decision is subject to limited review by courts.
4.2 All disputes concerning the arbitrability of a claim (including disputes about the scope, interpretation, breach, applicability, enforceability, revocability or validity of this Agreement) shall be decided by the arbitrator. The arbitrator shall also decide whether any claim is subject to arbitration. You further agree that the U.S. Federal Arbitration Act and federal arbitration law shall govern the interpretation and enforcement of this agreement to arbitrate.
4.3 CLASS ACTION WAIVER: YOU AND COMPANY ALSO AGREE THAT EACH IS GIVING UP THE RIGHT TO A JURY TRIAL AND THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITIES, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT OR REPRESENTATIVE PROCEEDING, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. This means that neither you nor Company can seek to assert class or representative claims against each other either in court or in arbitration and no relief can be awarded on a class or representative basis. The arbitrator also may not consolidate or join another persons claim with your claim or issue an order that would achieve the same result. You and the Company further agree that if the provisions of this paragraph, known as the Class Action Waiver, are found to be unenforceable, it cannot be severed from this arbitration agreement and the entire provision compelling arbitration shall be null and void.
4.4 To the extent possible under your local law, the arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those rules or pursuant to JAMS' Streamlined Arbitration Rules and Procedures (Rules). The Rules are available online at www.jamsadr.com. The arbitrator is bound by the terms of this Agreement. If your claim in arbitration is for less than $10,000, Company will reimburse you for filing and arbitrator fees at the conclusion of the proceeding unless your claim is found to be frivolous by the arbitrator. The exclusive venue for any dispute or issue arising out of this Agreement shall be held in San Francisco County, California.
4.5 Notwithstanding any provision in this Agreement to the contrary, you agree that if we make any future, material change to this arbitration provision, you may reject any change by sending us written notice within thirty (30) calendar days of the change to Ebates Performance Marketing, Inc. DBA Rakuten Rewards, 800 Concar Drive, Suite 175, San Mateo, CA 94402, Attn: Legal. Your decision to reject changes in a new arbitration provision, however, does not affect any prior arbitration provisions to which you have already agreed, which would still remain in effect.
4.6 This arbitration provision is optional. You may decline or opt out of this agreement to arbitrate by sending written and signed notice to Ebates Performance Marketing, Inc. dba Rakuten Rewards, 800 Concar Drive, Suite 175, San Mateo, CA 94402, Attn: Legal within thirty (30) calendar days of enrolling as a Member or using Company Properties.
4.7 Judgment upon the arbitration award may be entered in a court having jurisdiction, or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be.
5. PROGRAM LICENSE
5.1 Subject to this Agreement, we hereby grant you a non-exclusive, non-transferable license (without the right to sublicense) to access and use the Company Properties for your personal use to access the Program(s). You agree that you obtain no rights other than the rights and licenses expressly granted in this Agreement. Company reserves the right to change, upgrade or discontinue the Program and/or any Company Property and/or any feature of the Program or the Company Properties, at any time, with or without notice. All rights not expressly granted under this Agreement are reserved by Company or its licensors.
6. PROGRAM RESTRICTIONS
You agree that you will not, and will not permit others to: (i) damage, interfere with or unreasonably overload the Company Properties; (ii) introduce into the Company Properties any code intended to disrupt the Program; (iii) alter or delete any information, data, text, links, images, software, chat, communications and other content available through the Company Properties (collectively, Content); (iv) access the Program or the Company Properties by expert system, electronic agent, bot or other automated means; (v) use scripts or disguised redirects to derive financial benefit from Company; (vi) modify, reverse engineer, reverse assemble, decompile, copy or otherwise derive the source code of any Company Property for any reason; (vii) rent, sell or sublicense any of the Company Properties; (viii) provide any unauthorized third party with access to the Program; (ix) access or attempt to access confidential Content through the Company Properties; (x) interfere with the operation of the Program, including, but not limited to, distribution of unsolicited advertising or mail messages and propagation of computer worms and viruses; (xi) post any material in any form whatsoever on the Company Properties or within the Program that is defamatory, obscene or otherwise unlawful or violates any third partys right of privacy or publicity; (xii) infringe any third partys patent, copyright, service mark, trademark or other intellectual property right of any kind or misappropriate the trade secrets of any third party in connection with your use of the Program or the Company Properties; (xiii) engage in any activity that does not comply with applicable law and regulations or otherwise engage in any illegal, manipulative or misleading activity through the use of the Program; (xiv) use the manual or automated software, devices or other processes to "scrape," "crawl," "spider" or index any page of Content from the Company Properties.
7. PROGRAMS
7.1 Cash Back. We offer the ability for Members to earn cash back (Cash Back) on their purchases completed through the Company Properties. Company receives compensation for referring buyers to the retailers, brands, merchants and other partners participating in this Program (Affiliate Stores). Company gives a portion of this fee to its Members as Cash Back. Compensation received by Company may play a part in whether retailers and products appear on our site, where they are placed, and how we promote them to you. Participation in this Program and the opportunity to earn Cash Back are offered at the sole discretion of Company and subject to your compliance with this Agreement.
(a) Online Cash Back. In order to earn Cash Back online, you must register for an Account, be signed in to one of the Company Properties use the shopping links within the Company Properties, and complete your purchase transaction during the same shopping session you started after clicking on the shopping link. If you visit other sites before completing your purchase or use coupons not provided by Company, your purchase might be associated with a service other than Company and you might not earn Cash Back on your purchase. If you disable cookies on your computer, you will not be able to earn Cash Back because cookies are used to authenticate the user and verify whose Member Account is eligible for the Cash Back.
(b) In-Store Cash Back. Company may also offer you the opportunity to earn Cash Back on purchases made in store (In-Store Cash Back) at certain physical Affiliate Store locations by linking your payment card to an in-store offer (Card Linked Offer) and subsequently using such payment card to complete the purchase transaction in accordance with the terms of the Card Linked Offer. The terms of the In-Store Cash Back Terms & Conditions and the terms accompanying each Card Linked Offer will govern how In-Store Cash Back is earned and paid to the extent they vary from this Agreement.
7.2 Hotels.Company offers a hotel reservation site through the Company Properties (Rakuten Hotels) to assist you in searching for hotels and making hotel reservations. Your use of Rakuten Hotels is subject to the Rakuten Hotels Terms & Conditions and will govern to the extent they vary from this Agreement.
7.3 Browser Extension.Company may make available a browser extension to enhance your Cash Back shopping experience (Browser Extension).
7.3.1 When visiting a retailers website, the Browser Extension will either create a tracking ticket and start a Cash Back rewards shopping session or visually prompt you to press a button to start your Cash Back rewards shopping session. The Browser Extension may also alert you of a deal or offer with respect to a product or brand appearing on your search results or other pages you visit across the web, and prompt you to start a shopping session on an Affiliate Stores site. If you start a shopping session using the Browser Extension, it will set a cookie on your computer through an affiliate network for the purpose of tracking your shopping session and crediting your Cash Back reward just as if you had begun your shopping experience via any of our links. Please note, however, that if cookies or other similar tracking devices from other affiliate marketing companies are already present on your computer, the Browser Extension will not automatically overwrite those cookies, but may still offer you the ability to start a Cash Back rewards shopping session when you arrive at an Affiliate Stores website.
7.3.2 By installing the Browser Extension, we will collect and store information obtained from your use of the Browser Extension. This includes, but is not limited to, information about the coupons, deals, merchants, and offers you click on through Browser Extension. The Browser Extension may also collect and store information about the websites you view even when you are not interacting with the Browser Extension (Passive Data). Passive Data includes, but is not limited, to URLs of web pages visited, general information about the visited web page, product searches, product search results, information about products added to cart, confirmation page details, and other product information. We may share or sell Passive Data on an aggregated and anonymized basis with our business partners and affiliates. You may turn off data collection by the Browser Extension by uninstalling the Browser Extension. Use of the information collected by the Browser Extension is subject to this Agreement and our Privacy Policy.
7.3.3 When installed, the Browser Extension periodically communicates with our servers. We may update the Browser Extension when a new version is released or when new features are added. These updates occur automatically. We reserve the right to add features or functions to the Browser Extension, but have no obligation to make available to you any subsequent versions or new features of the Browser Extension.
7.4 Rakuten Marketplace.Company may offer a marketplace through the Company Properties (Marketplace) to allow you to purchase products (Products) from participating retailers, brands, merchants, and other partners (Sellers). Company is not the merchant of record for any Product purchases made through the Marketplace and does not have any liability with respect to any Products you purchase through the Marketplace. All Product purchases made through Marketplace are subject to the Seller policies, including, without limitation, applicable shipping, privacy, and return policies. Please review applicable Seller policies prior to making your purchase. Your use of Marketplace is subject to the Rakuten Marketplace Terms, the Seller policies and any other terms accompanying each Product offer and will govern to the extent they vary from this Agreement.
8. CASH BACK EXCLUSIONS
8.1 Cash Back is earned on your net purchase amount, which excludes taxes, fees, shipping, gift-wrapping, discounts or credits, returns or cancellations, and extended warranties. Purchases of gift cards do not qualify for Cash Back. Cash Back amounts vary by store and product category and may contain exclusions in the terms of the offer and/or the applicable store page. Please review these terms carefully.
9. STORE POLICIES
9.1 A product purchased from any Affiliate Store or any Seller, whether online or in store, is governed by and subject to the applicable Affiliate Store or Seller policies, including applicable exchange and shipping policies. You agree that we are not agents of any Affiliate Store or Seller and that the Affiliate Stores and Sellers operate independently and are not under our control. Accordingly, your participation in offers or promotions of, or correspondence with, any Affiliate Store or Seller is solely between you and that Affiliate Store or Seller. We do not assume any liability, obligation or responsibility for any part of such correspondence, offer or promotion, including, without limitation, the withdrawal or modification of any such offer or promotion. Company is not responsible for changes to, or discontinuance of, any Affiliate Store or Seller, or for any Affiliate Store or Seller withdrawal from the Program, or for any effect on accrual of Cash Back caused by such changes, discontinuance or withdrawal.
10. BONUSES AND OTHER REWARDS
10.1 Company periodically offers bonuses or rewards for referring new Members to the Program or for other specific actions. If you elect to participate in our Refer-A-Friend Program, your participation is subject to our Referral Program Terms. The terms and conditions accompanying such offers will govern how they are earned and paid if the terms and conditions differ from this Agreement. All bonuses and rewards are subject to review. Company reserves the right to withhold, deny or cancel any bonuses and/or rewards and/or terminate your Account if Company, in its sole discretion, deems any bonuses and/or rewards as fraudulent, abusive, unethical, suspicious or otherwise inconsistent with our Referral Program Terms, this Agreement or any other applicable law or regulation. Company decisions are final.
11. PAYMENT OF CASH BACK AND OTHER REWARDS
11.1 Requirements.As a condition of payment of accrued Cash Back or other rewards, you must: (i) establish and maintain an Active Account (defined below); (ii) provide a valid email address that you own and are able to receive email; (iii) provide a password to protect your Account; and (iv) provide your physical address and/or your valid PayPal email address for receiving payment. If you elect to receive payment via PayPal, you must not use a PayPal account associated with another Program Account. A single PayPal email address cannot be connected to multiple Program Accounts. Additionally, you must not be a resident of a country subject to economic or trade sanctions by the U.S. State Department or U.S. Treasury Departments Office of Foreign Assets Control (OFAC) or be listed as a Specially Designated National, a Specially Designated Global Terrorist, a Blocked Person or similar designation under the OFAC sanctions regime. You further agree to provide additional information we may reasonably request to verify your identity as a condition for receiving payment.
11.2 Cash Back Payments.The minimum payment amount for Cash Back and other Cash Back Program rewards is $5.01. Balances below $5.01 remain in your Account for potential payment during the next payment period. Company pays members in U.S. dollars via check, PayPal or other payment options as Company may make available from time to time. Members may select or change their payment options in the account settings through the Company Properties. Company pays its Members accrued Cash Back and Cash Back Program related rewards in accordance with the current payment schedule. Please note that accrual rates vary depending on the Affiliate Stores policies and reporting schedules. For example, Cash Back for travel-related purchases typically does not accrue until after travel has been completed. Company reserves the right to delay payment for any purchase based on changes to Affiliate Store policies at any time. Company also reserves the right to modify the payment schedule at any time. Company is not responsible for payments delivered to the wrong address through no fault of Company or for payment errors made by payment partners, like PayPal. If your check expires without being cashed or deposited, or if it is returned uncashed to Company, the payment amount will be returned to your Account, where it may be subject to inactive account maintenance charges described in Section 12.2 below, unless you take the proper steps to restore your Account to Active status.
11.3 Gift Cards.Periodically, Company may offer gift cards in connection with a promotion or as a redemption option for your Cash Back. Gift cards are subject to the terms and conditions of the gift card issuer and the applicable Affiliate Store policies. Company is not responsible for lost or stolen payments, including gift cards. Gift cards for sign up bonuses are issued in the form of physical gift card, require a United States address, and are only redeemable within the United States (excluding U.S. territories).
11.4 Donations.Company may offer you the opportunity to donate a portion or all of your Cash Back earnings to a charity. Rakuten neither charges any fees for this service no takes any percentage of the Cash Back earnings donated. Contributions made through Rakuten are not tax-deductible.
11.5 Account Adjustments.In our sole discretion, we may deduct Cash Back from your account to make adjustments for returns and cancellations with respect to Cash Back Program purchases. Any such adjustments will be made in accordance with this Agreement, any applicable Company policies and terms, the terms of the Affiliate Store offer and any and all applicable laws, rules and regulations. The determination of whether a purchase made through an Affiliate Store qualifies for Cash Back is at the sole discretion of Company. If an Affiliate Store fails to report a transaction to Company or fails to make payment to Company for any reason, Company reserves the right to cancel the Cash Back associated with that transaction. It is your responsibility to check your Account regularly to ensure that Cash Back has been properly credited and paid and that your Account balance is accurate. If you believe that Cash Back has not been correctly credited to your account, you must contact Company Member Services within ninety (90) days of the transaction. In addition, Company may make account adjustments for any Cash Back that Company, in its sole discretion, deems as fraudulent, abusive, unethical, suspicious or otherwise inconsistent with the Referral Program Terms, this Agreement or any other applicable law or regulation. Company decisions are final. Should you disagree with any adjustments made to your account or payments made to you, your sole remedy is to withdraw from the Program.
11.6 TaxesYou may be taxed on your receipt of bonuses and other consideration (merchandise, travel, etc.) for member referrals or other promotional activities (such as prizes from a sweepstakes) depending on the tax laws of federal, state and local jurisdictions. You will be solely responsible for any and all tax liability arising out of the consideration received in connection with any member referrals or promotional activities.
12. ACCOUNT MAINTENANCE
12.1 Updating Your AccountYou agree to keep your Account information current, complete and accurate by periodically updating the information through the Company Properties. You must be logged into Company and enter your password to change your Account information and payment preferences. You may check your Account status and recent purchase and/or earning history at any time via the Company Properties. You will maintain the confidentiality of your Account information, including username and password by which you access the Program. Any use of your username and password will be deemed to be your use, and Company is entitled to act on instructions received under your password and is not responsible for any credits or debits made to your account by someone else who uses your password. If there is a breach of security through your Account, you will immediately change your password and notify us of such breach. You agree that, unless you have first notified us immediately of any such breach, we should assume that any instruction transmitted using your username and password is yours and has been authorized by you, and we will have no obligation to inquire into the propriety of such instruction.
12.2 Account ActivityAn Active Account means you must have engaged in one of the following activities within the past twelve (12) months: (i) updated your Account information, (ii) have shopped or started a shopping trip via the Company Properties, (iii) linked a payment card to an in-store offer, (iv) have accrued Cash Back or (v) have logged in to your Account. Except where prohibited by applicable law, if you have not engaged in one of the activities in subsections (i)-(v) for more than twelve (12) consecutive months, Company reserves the right to debit your Account balance two dollars ($2.00) per month (Maintenance Fee) to recover the cost of account maintenance in its normal course of business until you reactivate your Account by engaging in one of the activities set forth above in subsections (i)-(v) or until your account balance is zero. If your account remains inactive for more than twelve (12) consecutive months and the balance in your inactive account is or becomes zero, Company reserves the right to close the Account permanently and cease to maintain your Account records and Program access. Maintenance Fees are nonrefundable, but will not cause your account balance to become negative, and will not cause you to owe money to Company.
12.3 Fraudulent ActivityWe reserve the right to investigate any purchase transactions, referral activity, or interaction with any Company Property that we believe, in our sole discretion, is abusing or has abused the Program. We reserve the right to rescind any Cash Back, bar further Cash Back awards and/or bonuses, and/or terminate any Member Account that we believe, in our sole discretion, is abusing or has abused the Program, including, without limitation, by engaging in a pattern of returning products after the corresponding Cash Back has been credited or making fraudulent referrals by creating multiple Accounts. Multiple Accounts created under the Refer-A-Friend Program with the same name, address, email address or other identifying feature may be flagged as fraudulent referrals. Any failure to comply with this Agreement, any fraud or abuse relating to the accrual or receipt of Cash Back or other rewards and bonuses, or any misrepresentation of any information furnished to Company by you or anyone acting on your behalf may result in the termination of your Account and forfeiture of any accrued Cash Back rewards. If Company has any reason to suspect fraudulent activity is associated with your Account, Company reserves the right to delay or withhold payment of Cash Back. Any suspected or actual cases of fraud activity will be escalated and reviewed in accordance with our fraud process. Company decisions are final.
13. RECEIVING COMMUNICATIONS
13.1 By signing up to be a Member, you agree to receive communications and notices by electronic mail. Our communications may be account- and membership-related (e.g., that weve added money to your account, that a purchase has been made, that we are mailing you a check on a certain date, etc.) as well as periodic shopping-related emails that highlight coupons and special deals available to Company Members. We may communicate with you regarding the Program by electronic mail or direct mail using information you provide to us. Your consent to receive electronic communications includes any notices or other information that we may be required by law to provide you in writing or otherwise. You agree to keep us apprised of your current email address should the same change after the date you become a Member. We may also send you push notifications if you install the mobile application. If you elect to provide us a mobile number, we may use it to contact you when you make account updates or for account recovery purposes. You may receive recurring messages from us during those account changes. Standard message rates apply, and carriers are not responsible for any delayed or undelivered messages. You may opt out of receiving certain communications in accordance with our Privacy Policy.
14. COMPANY APPLICATIONS
14.1 Company may make available software applications (Company Applications) to allow you to access our Programs without visiting www.rakuten.com or www.ebates.com, including mobile applications and browser extensions. For purposes of this Agreement, references to Company Properties shall include Company Applications. Company Applications and their underlying information and technology may not be exported or re-exported into any country to which the U.S. has embargoed goods or to anyone on the U.S. Treasury Departments list of Specially Designated Nationals or the U.S. Commerce Departments Table of Deny Orders. You represent and warrant that you are not located in, under the control of or a national or resident of any such country or on any such list, and that you will otherwise comply with all applicable export control laws. If you are a U.S. government end user, we are licensing the Company Application to you as a Commercial Item as that term is defined in the U.S. Code of Federal Regulations (see 48 C.F.R. 2.101), and the rights we grant you to the Company Applications are the same as the rights we grant to all others under this Agreement.
15. THIRD-PARTY PLATFORMS
15.1 Social Sign On.When you access or use the Company Properties, we may make available services from one or more third parties (Third-Party Platforms). The Company Properties support Third-Party Platforms, including Facebook, Google and Rakuten ID, to make it easier for you to sign in or create your Account. Any use of Third-Party Platforms to create and access your Account is subject to the terms and conditions and privacy policies of such third parties (Third-Party Terms). Your Rakuten ID is subject to the Rakuten Terms and Conditions and Privacy Policy.
15.2 Inbox Connections.If you create your Program Account or sign in to your Program Account with your Google email account credentials, your Google email account will automatically be linked to your Program Account. We may also offer you the ability to link your email account from other service providers to your Program Account via your Program Account settings. You may disconnect your linked email accounts at any time by updating the Settings in your Program Account settings or by removing the authorization through the settings of your email account. A connection between your email account and your Program Account is not required for you to be a Member. Connecting your email account will permit us to access your email account content (Email Content). Company will not delete or modify your email content. We may use your Email Content to confirm your Cash Back faster and more reliably and to personalize your experience with the Program. 16. YOUR FEEDBACK
16.1 You may be invited to provide us feedback, comments, ideas, suggestions, reviews and other information about our Programs (Feedback) through the Company Properties, by our member services or through one of our service providers, like Trustpilot. You hereby grant to Company and its affiliates and agents a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute and display the Feedback in any media and for any legal purpose, including, without limitation, the right to use such Feedback in advertising and promotional materials and to enhance or improve our products and services and the products and services of its affiliates.
17. COMMUNITY STANDARDS
17.1 By participating in the Program, you are becoming a Member of a community that depends on the goodwill and responsible behavior of each of our Members. Members are required to refrain from transmission or communication of images or text constituting ethnic slurs, obscenities, sexually explicit material, inflammatory or derogatory comments, or anything else that may be construed as harassing or offensive, which is targeted at the Program, the Company Properties, our employees, contractors or agents, our Affiliate Stores or Sellers, or other Members. This includes communications by means of social media or other Internet posts that violate the above community standards or promote or encourage gaming or fraudulent behavior. Members who violate this provision, as determined by us in our sole discretion, may have their access to the Program suspended or terminated without prior notice.
18. OWNERSHIP
18.1 All right, title and interest in the Program, the Company Properties and the Content belong to Company or its licensors. Additionally, Company shall maintain all right, title and interest in the Rakuten mark, the Ebates mark, the Rakuten logo, the Ebates logo and any other marks, service marks, trademarks or logos of Company and its affiliates (Company Marks). The Company Marks may not be used in connection with any product or service that is not Companys or in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Company. You shall not by any means bid on any keywords with any search engine containing Rakuten, Ebates or anything substantially similar to Rakuten, Ebates, Buy.com or any other Company Mark including, without limitation, Rakuten.com, Rakuten.ca, Ebates.com, Buy.com, BFAds.net or Ebates.ca. You shall not mention or use Company in any ad text, extensions or banner ads without the express written consent of Company. All other trademarks not owned by Company that are used in the Programs are the property of their respective owners, who may or may not be affiliated with, connected to or sponsored by Company.
19. INDEMNIFICATION
19.1 You agree to indemnify Company, our Affiliate Stores, our Sellers, as well as their respective officers, directors, employees, successors, agents and affiliates, for any and all claims, damages, losses and causes of action (including attorneys fees and court costs) arising out of or relating to your breach of this Agreement or for any materials in any form whatsoever that are provided by you (or through your username and/or password). You agree to cooperate as fully as reasonably required in our defense and/or settlement of any claim. We reserve the right, in our reasonable discretion, to assume exclusive control over the defense and settlement of any matter subject to indemnification by you.
20. WARRANTY DISCLAIMER
20.1 THE PROGRAM, CONTENT AND THE COMPANY PROPERTIES ARE PROVIDED AS-IS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE MAKE NO WARRANTY AS TO THE QUALITY, ACCURACY, CURRENTNESS, COMPLETENESS, RELIABILITY OR VALIDITY OF THE PROGRAMS, CONTENT OR THE COMPANY PROPERTIES, INCLUDING, WITHOUT LIMITATION, ANY PRODUCT SEARCH RESULTS, PRODUCT DESCRIPTIONS, PRODUCT AVAILABILITY, PRICING INFORMATION ADVICE, OPINION, STATEMENT, RECOMMENDATIONS, REVIEWS OR OTHER INFORMATION DISPLAYED, UPLOADED OR DISTRIBUTED IN CONNECTION WITH ANY PROGRAM. COMPANY DOES NOT WARRANT THAT THE FUNCTIONALITY OF THE COMPANY PROPERTIES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THEY WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FURTHER, COMPANY DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS REGARDING THE QUALITY OR ACCURACY OF ADVERTISEMENTS FOR ANY PRODUCTS OR SERVICES OFFERED OR PROVIDED BY ITS AFFILIATE STORES OR SELLERS IN CONJUNCTION WITH THE PROGRAMS.
21. LIMITATION OF LIABILLITY
21.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, STATUTORY, EXEMPLARY, PUNITIVE OR OTHER INDIRECT DAMAGES OR FOR ANY LOSS PROFITS, LOSS DATA OR LOSS OF USE DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE COMPANYS MAXIMUM AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED FIFTY U.S. DOLLARS ($50) OR THE MAXIMUM CASH BACK AMOUNT YOU RECEIVED IN THE LAST FOUR YEARS FROM THE DATE OF ACCEPTANCE OF THESE TERMS, WHICHEVER IS GREATER. THIS LIMITATION SHALL APPLY TO ANY AND ALL LIABILITIES OR CAUSES OF ACTION HOWEVER ALLEGED OR ARISING, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, BREACH OF CONTRACT, OR ANY OTHER CLAIM WHETHER IN TORT, CONTRACT, OR EQUITY.
22. TERMINATION OR SUSPENSION
22.1 This Agreement is effective when accepted by you and will remain in effect until you or we terminate your membership in the Program. We may terminate this Agreement and your use of or access to the Program at any time, for any reason or no reason. Any violation of this Agreement or the rules and conditions of the Program may result in the termination of your Account and forfeiture of pending or prior Cash Back and other rewards. We may, in our sole discretion, at any time and without prior notice, discontinue, cancel, suspend, change or limit access to all or any part of the Program or any functionality, feature or other component of any Company Property. You agree that Company will not be liable to you or to any third party for any modification, suspension, or termination of the Program or your access to any of the Company Properties. If you are dissatisfied with any aspect of the Program at any time, your sole and exclusive remedy is to cease participating in the Program. Upon any termination of the Program, your right to use and access the Program, and the Company Properties, and to receive Cash Back and other rewards, will terminate. Termination will not prejudice either you or our remedies at law or in equity.
23. GENERAL PROVISIONS
23.1 Entire Agreement.These Terms and Conditions constitute the entire agreement between you and Company and govern your use of the Products or Company Properties superseding any prior agreements between you and Company with respect to the Products or Company Properties (including, without limitation, earlier versions of this Agreement that may have been accepted by you). Any representations, statements or agreements made or entered into elsewhere, whether directly or indirectly, written or oral or in advertising are not binding toward Company unless expressly confirmed in writing by Company to you. You may also be subject to additional terms and conditions that may apply when you use or purchase certain other services, affiliate services, third party content or third party software.
23.2 Choice of Law.The validity, construction and interpretation of this Agreement and the relationship between You and Company, including the rights and duties of the parties, will be governed by the laws of the State of California in the United States without regard to its conflict of law provisions. This shall not limit the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of applicable law.
23.3 Interpretation.Headings under this Agreement are intended only for convenience and shall not affect the interpretation of this Agreement.
23.4 Waiver and Severability of Terms.Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. If any provision of this Agreement is held to be invalid, such invalidity shall not affect the remaining provisions, except as otherwise stated.
23.5 Assignment.You may not assign, transfer, or otherwise dispose of your rights and obligations under this Agreement, in whole or in part, without our prior written consent, and any such assignment without such consent will be null and void. Company has the right to transfer, assign or otherwise dispose of these Terms and Conditions without Your consent.

These terms incorporate the Terms and Conditions for the Rakuten cash back shopping program.
Membership Rewards points at Rakuten are available to U.S. American Express Card Members with a Card enrolled in the Membership Rewards program (Eligible Card Account) only. Card Members must be a Rakuten member and link their Membership Rewards program account to their Rakuten account at rakuten.com/american-express. Card Members must use an Eligible Card Account at checkout to earn Membership Rewards points in their Rakuten account. Corporate Cards or accounts are not eligible to participate.
Once Card Members have linked their accounts they will accrue Membership Rewards points in their Rakuten account instead of Cash Back for qualifying shopping activities determined by Rakuten. All qualifying shopping trips completed prior to a Card Member linking his/her accounts including any accrued but unpaid Cash Back, will be paid in the payment method previously selected by the Card Member. Rakuten typically will transfer accumulated Membership Rewards points from the Rakuten account to the Membership Rewards program account in accordance with Rakutens current payment schedule. Rakuten reserves the right to modify the payment schedule at any time. The minimum number of points that will be transferred is 500 Membership Rewards points. Until points are transferred from the Rakuten account to the Membership Rewards program account, Rakuten in its sole discretion retains the right to make adjustments to the Rakuten account in accordance with the Terms and Conditions. Points transferred from the Rakuten account will become available in the Membership Rewards program account within 8 to 12 weeks after receipt by American Express of the points information from Rakuten. If American Express does not receive the points information from Rakuten, you will not receive the points. Please note that points will not be made available by American Express if any Eligible Card Account is canceled or past due at the time of point fulfillment.
Card Members who opt out of earning Membership Rewards points on Rakuten, will no longer be eligible to participate in this program and earn Membership Rewards points in their Rakuten account.

You accept these terms when you enroll a card in the Service. Company may add to, change or remove any part of these terms from time to time. If Company changes any material terms that would have a material adverse effect on your rights as they are presented to you in these terms, Company will notify you via email or through other reasonable electronic means. Your continued participation in the Service, including receiving benefits and rewards when you make a qualifying transaction at participating merchants, constitutes your acceptance of any changes to these terms.
To receive benefits and rewards through the Service, you must enroll a valid, eligible card with the Service. Company leverages the transaction matching technology provided by the Rakuten Card Linked Offer Network, Inc. ("RCLON" and together with Company, "we" or "us") to provide you the Services. Company also collaborates with third party offer networks, including but not limited to Rewards Network Establishment Services Inc. (Offer Networks) to provide you additional offers and features to the Services.
By enrolling a card in the Service, you agree that your payment card network (e.g., MasterCard, American Express, Visa) or payment processor may monitor transactions on your enrolled card at participating merchants and share Transaction Data (defined below) with us for the purposes of determining whether you have made a qualifying purchase and providing you targeted offers. Transaction Data includes, but is not limited to, merchant name, merchant location or other store identifier, transaction date, andtransaction amount. We will also share details of your qualifying purchases with Offer Networks in order for you to participate in the additional rewards programs you choose. You agree that none of the payment card networks have any responsibility or liability in connection with the Service.
You may remove your payment cards from the Service at any time by visiting My Wallet. When you do so, we will no longer receive future Transaction Data associated with your payment card, but we will retain historical Transaction Data to track rewards and benefits due under the Service and for account management and member services purposes.
Card and Transaction Eligibility
The Service is limited to payment card transactions processed through the payment card networks and supported payment card processors. If a payment card transaction is processed outside one of the payment card networks or payment card processors with which we are integrated, we will not receive the Transaction Data and we will not be able to match it with an offer. Payment cards not eligible for use with the Service include, without limitation, corporate and purchasing cards, Health Savings Account (HSA) cards, Flexible Spending Account (FSA) cards, government-administered prepaid cards (including EBT cards), insurance prepaid cards and Visa Buxx.
Not all merchant locations or transactions with your enrolled card may be eligible for benefits and rewards, including PIN-based purchases, payments made through third-party digital wallets or payment apps other than Apple Pay and other transactions not processed through the payment card networks own system. Do not use a Personal Identification Number (PIN) when paying for your purchase transactions if you want the transaction to qualify for rewards or benefits under the Service.
The rewards for which you are eligible may vary depending on a variety of factors, such as the participating merchant and your level of activity within the Service. You may be eligible for rewards and offers that are not available to others and other rewards and benefits may not be available to you. Information on the type, amount, limits, and other conditions on rewards and benefits available to you, as well as current participating merchants, are available by signing in to your account with your unique login. You are responsible for reviewing this information before you make a purchase at a participating merchant, as these details may change from time to time and may affect the rewards and offers you receive.
In some cases, a participating merchants payment card processor may experience a lag time (approximately 24 hours) between when a credit card is enrolled and when the payment card processor is able to identify and provide us with the Transaction Data associated with the card. If you believe that you are eligible for rewards for dining at a participating merchant, and those rewards have not registered in your account within 10 days of the dine, please visit https://www.rakuten.com/help/missing-cash-back We reserve the right to require that you provide a receipt from the participating merchant or documents reasonably required by us to evidence an eligible transaction in order to receive your reward.
Limits on enrolled cards
You may register up to twelve (12) cards with our restaurant program, but any one eligible card may be enrolled in only one dining program. If you subsequently enroll a registered card with another dining program that is not operated by us, we will remove your card from participating in our dining program. For example, if you enrolled your credit card to earn rewards under our Restaurants In-Store Offers, and you later enroll that same credit card to earn rewards under a third-party dining program, you will no longer be eligible to earn rewards under our Restaurant In-Store Offers, and we will notify you of this by email.
Data Sharing and Usage
To operate the Service, we will share and use payment card and Transaction Data in order to:
Provide information about your enrolled card to payment card networks so they may monitor transactions on your card at participating merchants.
Receive Transaction Data from payment card networks or payment card processors for enrolled cards at participating merchants to determine qualifying transactions and provide you with benefits and rewards. Such data may also be used to target offers that may be of interest to you in the future.
Provide all or a portion of the information collected to Offer Networks, and our respective third-party suppliers, vendors, or contractors to facilitate and administer the Services.
Analyze Transaction Data to create performance reports that may be shared with publishers, merchants and their agents. These analyses may also be used to support general marketing to encourage consumers to enroll in the Service.
Provide Transaction Data to participating merchants or their agents to validate qualifying transactions and assess the results of specific campaigns.
Share Transaction Data with certain participating publishers so they can provide rewards and benefits to you and assess merchant campaign performance.

We cooperate with government and law enforcement officials and private parties to enforce and comply with the law. License to the Service

By using the Services, you are authorizing us, our Offer Networks, participating merchants, Payment Card Networks, and payment card processors to obtain, provide and use transaction information related to your purchases (such as date, time and amount) at participating merchants in order to calculate rewards, redeem rewards and facilitate and make the Services available.
You agree and authorize us to collect, retain and use information collected in your use of the Service. Your payment card information will be encrypted and stored in the Services databases.
Electronic Communications
You agree that we may communicate with you by means of electronic communications regarding these terms, the Service, payment card information and any other matter relating to your use of the Service.
Termination
We reserve the right, at any time, to modify or discontinue offering the Service in our sole discretion. If you are dissatisfied with any aspect of the Service at any time, your sole and exclusive remedy is to cease using the Service. You agree that we will not be liable to you or to any third party for any modification, suspension or termination of the Service.
Service Limitations, Qualifications & Disclaimers
Any failure to comply with these terms, any fraud or abuse relating to the accrual or receipt of benefits and rewards, or any misrepresentation of any information furnished to Company or its affiliates by you or anyone acting on your behalf may result in the termination of your enrollment in the Service and forfeiture of your benefits and rewards.
The Service is being provided to member "as is," with no warranty. We reserve the right to terminate the Service at any time with or without notice. To the maximum extent permitted by law, we disclaim all representations and warranties, express or implied, with respect to the Service.
You agree to indemnify and hold Company, RCLON, the Offer Network, the payment card networks and each of their parents, subsidiaries, affiliates, officers, directors and employees harmless from any claim or demand, including reasonable attorney's fees, made by any party due to or arising out of your use of the Service.
If any provision of these terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. Company's failure to insist upon or enforce strict performance of any provision of the Agreement shall not be construed as a waiver of any provision or right. View ArticleApple will soon stop supporting older Safari extensions, including the Rakuten Ebates Cash Back Button, in the Safari browser. If you currently have the Button extension and use it in the Safari browser, youll need to install the new version from the Mac App Store.
The new version is compatible with MacOS 10.13 or later and Safari 11 or later. You can continue using the old version for now, but note that Apple will remove it sometime in the near future. You can also install the Button for Chrome, Edge and Firefox.
If youre installing the Button for the very first time, follow the same steps as below.
Go to the Mac App Store. Alternatively, when you have the Safari browser open, you can select Safari in the upper left of the menu bar and then Safari Extensions. The Mac App Store will launch.
Look for the Rakuten Ebates Cash Back Button on the page, or select Done in the upper right and search for Rakuten Ebates Cash Back in the upper-left search box on the Mac App Store page.
Select Get in the upper-right corner, which will turn into Install. Select Install, then Open when the installation is complete.
Youll see a success message. To finish, select Enable Rakuten Ebates in Safari. Important: You must enable the Button for it to work.
If you accidentally close the window to enable the extension, select Safari in the upper left of the menu bar and then Preferences. Then, go to the Extensions tab and check the box for Rakuten Ebates Cash Back on the left.
Your Button should now be installed and ready for use. If you had the old version previously installed, this new version will replace it automatically.

My Cash Back Balance
Your Cash Back Balance is updated every time you earn Cash Back. It includes all recently added Cash Back from online orders, credit card purchases, In-Store Cash Back and other qualified offers.
When your payment is prepared, your Cash Back Balance will be cleared and moved over to your Big Fat Check History. This happens every three months, in accordance with our payment schedule.
There is a 45-day window between the end of the payment period and when payments are delivered. Any Cash Back that is earned after a Cash Back posting period has ended will be added to your next eligible Big Fat Check.

When you shop online, you can activate Cash Back by clicking on the drop-down notification that appears when shopping directly on a stores site. You can also activate Cash Back through the Cash Back Button icon that appears on your browser bar. In both cases, you will be notified that Cash Back has been activated.
You can tell by the color of the icon whether Cash Back has been activated:
Purple - The website youre on does not offer Cash Back.
Red - Cash Back is available. Click the icon and then the Activate Cash Back button.
Blue - Youve activated Cash Back, and youre ready to shop.

Cash Back Activated confirmations
When you activate the Cash Back Button, you will receive a confirmation that a RakutenShopping Trip has been started. If youdon'treceive that confirmation, that means we werent able to offer Cash Back.
While the overwhelming majority of our merchants do participate in the Cash Back Button program, a select few may not. If thats the case, we recommend that you visit Rakuten.com and click through to their site to start a RakutenShopping Trip.
Its critical to click the Cash Back Button every time you make a purchase. If you click the Cash Back Button and make a purchase, then surf elsewhere on the Web and return to that store to make a second purchase, your second purchase will not earn Cash Back unless you click on the Cash Back Button and start another Rakuten Shopping Trip first. This is because the merchant needs us to prove to them that we sent you to their store.

Returned or cancelled orders may void Cash Back and be deducted from your Cash Back Balance, depending on the stores policy. If a store processes your exchanged order as a cancellation and a new transaction is created, the exchange may be treated as a cancelled order.
To ensure you receive Cash Back on exchanged orders, you can instead return the item and place an entirely new order at that store. Just make sure to start your shopping with Rakuten.

Use of Rakuten Hotels
Rakuten Hotels is provided to assist you in searching for hotels and making hotel reservations. As a condition of your use of this Rakuten Hotels, you warrant that: 1) you are at least 18 years of age; 2) you will use Rakuten Hotels in accordance with these terms; 3) you will only use Rakuten Hotels to make legitimate reservations for you or for another person for whom you are legally authorized to act; and 4) any and all information supplied by you on Rakuten Hotels is true, accurate, current, and complete. Rakuten has the right to change these terms in whole or in part, at any time, with or without notice.
Your Cash Back
When you make a reservation on Rakuten Hotels (Booking), you will earn a portion of your purchase in Cash Back. Cash Back is calculated on the amount you pay for your Booking only. Cash Back is not available on any insurance, taxes, service fees, charges for optional incidentals (such as minibar snacks or telephone calls), regulatory surcharges, and any other fees, charges, and surcharges that the hotel may assess upon check-out. When you are signed into your Rakuten account, you may view nightly rates with the expected Cash Back already deducted from the rate (After Cash Back Rate). The After Cash Back Rate is not a discount. You will still be charged by the full nightly rate and earn your Cash Back after your stay. Cash Back is only paid on completed hotel stays. Please allow up to fourteen (14) days after your hotel stay for Cash Back to be added to your account. Cash Back will be paid out in accordance with the Terms and Conditions for Cash Back shopping.
Hotel Supplier Policies
Separate terms and conditions from the hotel and/or hotel supplier (Hotel Supplier) will apply to your Booking. These terms will be made available to you during the booking process and on the Hotel Supplier websites. Please read those terms and conditions carefully before making any Bookings. You agree to abide by the terms imposed by any Hotel Supplier with whom you elect to deal, including, but not limited to, payment of all amounts when due and compliance with the Hotel Suppliers rules and restrictions regarding your stay.
Payment
To make a Booking, you must provide us your payment information. We will collect, use, and share your payment information with our partners and Hotel Suppliers solely to facilitate your Booking. We will securely store and use your payment information as described in our Privacy Policy. You acknowledge that Travelscape, LLC or Vacationspot, SL shall be the merchant of record for your Bookings and shall be treated by any tax authority in any pertinent jurisdiction as the supplier to the Booking for VAT (Value Added Tax) purposes as applied by Directive 2006/112/EC.
Cancellations
You may view your past and upcoming Bookings on Rakuten Hotels at any time. Any cancellations will be subject to the policies of the Hotel Supplier, which may include minimum nightly rate charges, penalties, tax recovery charges, and other service fees set forth in the Hotel Supplier policies. Cancellation does not guarantee a refund. Please review the cancellation policies of the Hotel Supplier prior to making your Bookings. If you cancel or modify your Booking outside of Rakuten Hotels (for example, over the phone or with the Hotel Supplier directly), we will not be able to track your Booking and credit your Cash Back. To ensure your Cash Back is properly credited to your account, please make any and all modifications to your Bookings on Rakuten Hotels. This may mean canceling a reservation and rebooking it on Rakuten Hotels.
Support
We will provide you support for issues relating to your Cash Back and issues with operation of the Rakuten Hotels. If you are dissatisfied with any aspect of your hotel experience, your sole and exclusive remedy is to contact the Hotel Supplier.
Communications
You agree that we may communicate with you by means of electronic communications regarding these terms, your Bookings, your payment information, and any other matter relating to your use of Rakuten Hotels.
Information Usage and Sharing
When you use Rakuten Hotels, we may also collect and store information relating to your use of Rakuten Hotels (Usage Information). Usage Information may include, but is not limited to, information about past and upcoming Bookings and your search history on Rakuten Hotels. We may use and share Usage Information to:
1. Manage your account and provide you information about your Bookings.
2. Provide you benefits and rewards, such as Cash Back.
3. Provide you more relevant offers that may be of interest to you in the future.
4. Improve your experience on Rakuten Hotels and our products and services.

Information Disclosed for Our Protection and the Protection of Others
We cooperate with government, law enforcement officials, and private parties to enforce and comply with the law. Intellectual Property
We, along with our corporate affiliates, the Hotel Suppliers, and other licensors own all of the text, images, software, trademarks, service marks or other material contained on Rakuten Hotels. You will not copy or transmit any of the material except for your personal, non-commercial use. Your use of and access to Rakuten Hotels does not grant you any license or right to use any of the marks included on Rakuten Hotels.
No Warranty
We try to keep Rakuten Hotels safe, secure, and functioning properly, but we cannot guarantee the continuous operation of or access to Rakuten Hotels. Booking updates and other notification functionality from us, our partners, and Hotel Suppliers may not occur in real time. Such functionality is subject to delays beyond our control. By using Rakuten Hotels, you agree that you are using Rakuten Hotels and making Bookings at your own risk, and that they are provided to you on an AS IS and AS AVAILABLE basis. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitations on Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES RELATED TO YOUR USE OF RAKUTEN HOTELS, REGARDLESS OF REASON, WILL NOT EXCEED US$100.
Termination
We reserve the right, at any time, to modify or discontinue offering Rakuten Hotels in our sole discretion. Miscellaneous
Any failure to comply with these terms, any fraud or abuse relating to the accrual or receipt of benefits and rewards, or any misrepresentation of any information furnished to us, our partners, or our affiliates by you or anyone acting on your behalf may result in the termination of your account and/or forfeiture of your benefits and rewards, including any Cash Back. You agree to indemnify and hold us and our parents, subsidiaries, affiliates, officers, directors and employees, harmless from any claim or demand, including reasonable attorneys fees, made by any party due to or arising out of your use of Rakuten Hotels.
These terms shall be governed by and construed in accordance with the laws of the State of California, without reference to conflicts of law rules. As a condition of the use of Rakuten Hotels, you agree to submit to the personal and exclusive jurisdiction of the courts located within the county of San Francisco, California. These terms and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction.
If any provision of these terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. Our failure to insist upon or enforce strict performance of any provision of these terms shall not be construed as a waiver of any provision or right. How the Rakuten Cash Back Visa Credit Card works
When you start a Shopping Trip with Rakuten or Ebates and use your Rakuten Cash Back Visa Credit Card to pay for your purchase, youll receive an extra 3% Cash Back in your Rakuten Account. Paying for your booking
Full payment with a credit or debit card is required at the time of booking a reservation. This guarantees your reservation until the check-in date, though some hotels require you to pay a deposit within 72 hours of booking your reservation.

Some cities charge a hospitality or tourism tax. Hospitality taxes are not included in the price displayed in Rakuten Hotelssearch results, but all taxes will display on the payment page and are included in your total price.
Canceling your booking

How to cancel your hotel booking
Sign in to your Rakuten.com account.
Browse to My Account or navigate directly to Rakuten Hotels
Browse to My Reservations
Browse to the Upcoming tab
Choose the booking you wish to cancel
Select "Cancel Booking"
Review the hotels cancellation policy and complete your cancellation
If youdon'tsee the Cancel Booking option, the most likely explanation is that the reservation stay has already commenced. In this case, it is not possible to cancel the booking online within Rakuten Hotels. If youdon'tsee the Cancel Booking option and the reservation stay has not commenced or you need assistance cancelling your booking, contact Rakuten Hotels Customer Support at 1.800.390.8931.
If a cancellation occurs after a reservation stay has completed, Rakuten Hotels reserves the right to deduct the respective Cash Back reward from a member account. If this Cash Back reward has already been paid, Rakuten Hotels subsequent deduction may result in a negative Cash Back balance.
Refunds
When you cancel your hotel booking, you may be eligible to receive a refund of the amount you paid, depending on the cancellation policy and terms and conditions of your booking. When and how you receive that refund will depend on how you paid for your booking.
Rakuten Hotels generally processes refunds within 24 hours, but it may take up to two billing cycles for your refund, if you are entitled to one, to appear within your payment card statement. If you have not received a credit within sevendays, please contact your bank or credit card company.
Non-refundable bookings
When you cancel a non-refundable booking, you will not receive a refund for the amount you paid.The hotel may charge you an additional cancellation fee.

Rooms booked with Rakuten Hotels are guaranteed for late arrival.

You can check into most hotels any time between their earliest check-in time and midnight. If you will arrive after midnight, please contact the hotel directly to ensure they hold your room.
For details such as accepted forms of payment, minimum check-in age, earliest check-in times and luggage storage, check the hotel information section of your online reservation. If the information you are looking for is not listed, please contact your hotel directly.
Checking out
You can check out any time before the hotels check-out time on the last day of your booking.
To request a late check-out time, call your hotel directly. If approved, additional charges may apply.

Before you contact Rakuten Hotels to change your booking, check the hotels change and cancellation policy in your confirmation email.
Guest name, bed type, smoking preference, special requests and accessibility options can be changed at no charge.
Room type, number of guests and travel dates can be changed under very limited circumstances, and your hotel may charge you for the change. Additionally, these changes may result forfeiture of Cash Back rewards for your hotel stay.
Rakuten Hotels doesnt charge for changes to your booking, but we must pass on any change fees that the hotel charges. Penalty fees are highest when cancellations occur within 48 hours of your scheduled check-in date. Any applicable fees or rate differences need to be paid with a credit card.

View ArticleDont need Cash Back reminders when youre shopping? No problem! The Cash Back Button offers a few options for disabling them.
Option 1: Delay activating
When the reminder appears, you can click Activate Later to delay activating Cash Back until checkout. The reminder will reappear at checkout, and you can also activate Cash Back anytime by clicking the R icon in your toolbar.
Option 2: Disable for individual stores
For certain stores, you can check the box for Dont show on (Store Name). Youll then stop seeing reminders for that store. You can still activate Cash Back anytime youre shopping by clicking the R icon in your toolbar.
Option 3: Disable for multiple stores
To turn off reminders for multiple stores at once, follow these steps:
Click the R icon in your toolbar.
Click Settings at the bottom of the drop-down that appears.
Check the box that says Do not display Activation Hover on these sites.
Enter the URLs of sites youdon'twant Activate Cash Back reminders for.
Click Save.
To activate Cash Back for these stores, click the R icon in your toolbar when youre shopping.
When the icon turns blue, Cash Back has been activated, and youre ready to shop.

The Chrome browser has auto-update on by default. Extensions auto-update daily.
To manually update all your extensions at once:
In the address bar, type chrome://extensions/ and press return.

Click Update at the top center.
All your extensions will then be up to date.
Edge
The Edge browser is part of the Windows operating system andcan'tbe separately updated. It receives updates through Windows Update, like the rest of the operating system.
To update your Windows operating system:
Open Windows Update by clicking the Start button in the lower-left corner. In the search box, type update.
In the list of results, click either Windows update or Check for updates.
Check the boxes for the updates you want to make and click Install updates.
Keep your computer on and charged during the update process.

Take these steps to turn on auto-update for Firefox:
In the address bar, type about:addons and press return.
Look for the Rakuten extension and click on the extension name.
Look for Automatic updates near the bottom of the page and select Default.
All done! Firefox extensions auto-update daily.
Safari
The Safari browser has auto-update on by default.
To make sure auto-update is selected:
Click Safari at the top left of the menu bar and select Preferences, and then click Extensions.
Select the Rakuten extension on the left side.
In the lower-left corner, check the box for Automatically update extensions from the Safari Extensions Gallery.
All done! Your Cash Back Button should now update automatically.

Click on the three dots (Settings and more) in the upper-right corner and select Extensions. Click on Rakuten: The Free Cash Back Shopping Assistant.
Make sure the slider under Rakuten: The Free Cash Back Shopping Assistant is blue and labeled On.
To add the Button to your navigation bar, make sure the slider under Show button next to the address bar is blue and labeled On.
