Executive Bio

Mr. Alan C. Smith is a Partner at Fenwick & West, LLP. He is resident in the Seattle office. Mr. Smith's practice focuses on emerging companies, public companies, mergers and acquisitions, capital markets offerings, and venture capital and strategic investments. In addition, he has represented many of the regions leading public companies, for which he has advised on corporate governance and securities matters and has led a variety of private and public financing transactions and mergers and acquisitions. Mr. Smith also has an active venture capital financing practice, having represented many West Coast venture capital firms. Prior to joining Fenwick & West, he served as a Partner at Orrick, Herrington & Sutcliffe LLP and was the Chair of Orrick's Seattle office. Mr. Smith also served at Perkins Coie LLP and as a Law Clerk to Judge Stephen S. Trott of the U.S. Ninth Circuit Court of Appeals from 1996 to 1997. He is admitted to practice in Oregon and Washington and before the United States Courts of Appeals for the 9th Circuit. Mr. Smith is a frequent speaker on corporate finance topics, including the initial public offering process, venture and angel financing, and mergers and acquisitions. He has been recognized as one of the top corporate and mergers and acquisitions lawyers in Washington by Chambers USA in 2007; as a Super Lawyer by Seattle Magazine from 2003 through 2007; and as one of the Top 40 Under 40 by the Puget Sound Business Journal in 2004. Mr. Smith holds J.D. from Stanford Law School with Order of the Coif in 1996 and B.A. from Stanford University in 1993.
