F. Sheldon Prentice Esq. — Executive VP, General Counsel & Corporate Secretary at NBT Bancorp

Mr. F. Sheldon Prentice, Esq. has been General Counsel and Corporate Secretary of NBT Bancorp, Inc. and NBT Bank since April 2010 and also serves as its Executive Vice President. Mr. Prentice served as Senior Vice President and General Counsel of Merchants Bank Inc. He served as Senior Vice President and General Counsel of Merchants Bancshares Inc., from March 2008 to April 2010. He was responsible for all legal affairs of Merchants Bank including merger agreement negotiations, preparation of registration materials, diligence investigation of companies and products, interpretation of contracts and agreements and investment strategies. He was responsible for business development, introducing many current and prospective customers and personnel recruitment, recruiting senior level employees in various departments. Mr. Prentice serves as intermediary counsel between management, board members, legislators, stockholders, regulators and investors. He served as the Senior Vice President, General Counsel and Secretary of Chittenden Corporation from December 1985 to December 2007. He served as Senior Vice President, General Counsel and Secretary of Chittenden Trust Company (???CTC???) from 1985 to March 2008. He joined Chittenden in 1985 as Vice President and General Counsel. He served as Assistant Counsel of National Life Insurance Company from 1980 to 1985 and from 1977 to 1980 as an Associate of Davis Polk & Wardwell. He remained at the successor to Chittenden Corporation, Peoples United Bank, until March 2008. He served as an Adjunct Professor of Securities Regulations at Vermont Law School from 1984 to 1992. He serves as a Member of Advisory Board of National Insurance Partners, Inc. Mr. Prentice has been active in a number of civic organizations throughout the years. He serves as Dartmouth Mini-Reunion Chair for the Class of 1972. He serves as the Chair of Green up Vermont and a trustee of Vermont Legal Aid. Mr. Prentice is a District Enrollment Officer for Dartmouth College, covering central Vermont. He served on Dartmouth's Alumni Council. He received the Dartmouth Alumni Award for distinguished service to Dartmouth and his professional career. He is a member of the Vermont Bar Association and the NASD Board of Arbitrators and the American Bankers Association Government Relations Council. He is licensed to practice law in Vermont and New York. He was a long-time member of the Burlington Rotary Club and was a Paul Harris Fellow. He is a Member of the New York Bars. He is a Member of the Federal District Courts in Vermont and the Eastern and Southern Districts of New York. Mr. Prentice taught U.S. history to American service personnel stationed in Bad Kreuznach, Germany. Mr. Prentice holds a Bachelor's Degree from Dartmouth College and a Juris Doctorate from Fordham University Law School.
